Parcel 2 of, REPLAT OF LOT 2A OF ARROWHEAD FOUNTAINS CENTER, according to
Book 693 of Maps, Page 34, records of Maricopa County, Arizona.
SUBJECT TO: Current taxes and other assessments, reservations in patents and all easements,
rights of way, encumbrances, liens, covenants, conditions, restrictions, obligations, and liabilities
as may appear of record.
And the Grantor hereby binds itself and its successors to warrant and defend the title, against all
acts of the Grantor herein, and no other, subject to the matters set forth.

ASSIGNMENT AND ASSUMPTION OF COMMERCIAL LEASE
THIS ASSIGNMENT AND ASSUMPTION OF LEASE is dated and effective as of the 6th day of June, 2017, by COLLATERAL
HOLDINGS, LLC, an Arizona limited liability company ("Assignor"), and CLOD, LLC, and Arizona limited liability company
("Assignee").
WHEREAS Assignor is Landlord under that certain lease ("Lease"), dated July 1, 2010 and commencing February 21, 2011,
by and between Maricopa County, a political subdivision of the state of Arizona as Lessee, and Arrowsport Holdings, LLC,
an Arizona limited liability company, as Lessor; Lessor's interests in said Lease being transferred to Collateral Holdings,
LLC, via Assignment document, recorded June 3, 2013 in Maricopa County, Arizona records as document 2013-0508554;
said Lease being amended August 17, 2015; The leased premises ("Premises") being identified as Suite 105, 16140 N.
Arrowhead Fountains Center Drive, Peoria, Arizona.
WHEREAS Assignor desires to assign its interest in the Lease, to Assignee, and Assignee desires to assume Assignor's
obligations under the Lease.
NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged,
Assignor and Assignee agree as follows:
1. ASSIGNMENT OF LEASES/SECURITY DEPOSITS:
Assignor does hereby transfer, assign, convey and deliver to Assignee, its entire right, title, and interest in the Lease and
the Premises. It is understood that Assignor does not hold any Deposits of any kind, from Tenant.
2. ASSUMPTION OF OBLIGATIONS:
Assignee hereby accepts this Assignment, and for the benefit of Assignee, expressly assumes and agrees to hereafter
perform all of the terms, covenants, conditions and obligations of Assignor which accrue from and after the date hereof.
3. INDEMNITY:
Assignor agrees to save, indemnify, defend and hold Assignee harmless from any claims, demands, actions, losses,
expenses and liabilities (including legal fees) of Assignee, arising from any obligations and liabilities, arising prior to the
date hereof.
Assignee agrees to save, indemnify, defend and hold Assignor harmless from any claims, demands, actions, losses,
expenses and liabilities (including legal fees) of Assignor, arising from any obligations and liabilities arising out of
obligations and liabilities so assumed.
4. SUCCESSORS AND ASSIGNS:
This Agreement shall bind and insure to the benefit of the parties hereto and their respective successors and assigns.
5. COUNTERPARTS:
This Agreement may be executed in multiple counterparts, each of which shall be deemed an original.
