Adobe Dam Regional Park
This Termination of Use Management Agreement and Release (Agreement) is entered into by
Maricopa County, a political subdivision of the state of Arizona (County), and Fort Adobe Paintball
Complex, LLC, an Arizona limited liability company (Concessionaire).
1. The County and the Concessionaire mutually agree to early termination (Termination) of
the Use Management Agreement for the Management, Operation and Maintenance of
the Fort Adobe Paintball Complex located at Adobe Dam Regional Park (C-30-07-028-1-
00) dated April 18, 2007, as amended (UMA). The original termination date under the
UMA is December 31, 2016 with renewal option of five years that was not exercised.
Pursuant to this Agreement, the parties agree that the effective date of the Termination
of the UMA shall be as of June 30, 2016.
2. Upon each party's due consideration, each party has determined and the parties agree
that it is in each party's best interest to terminate this UMA early.
3. Minimum Annual Fees (Concession Fees) in the amount of twenty five thousand sixty
eight dollars and four cents ($25,068.04) are currently outstanding, due and owed under
the UMA by the Concessionaire to the County.
4. As full and final payment of the Concession Fees described herein, the parties agree that
the Concessionaire will transfer, and the County, through its Parks and Recreation
Department, will accept, ownership of Concessionaire's property described as follows: a

• ADA Ramp System with 1 1/4 Stainless Steel Railing
• LED Porch Light and Occupancy Indicator Light Outside Each Suite
• One Pedal Flush Ceramic China Toilet and One Urinal in Men's Suite (1)
• One Pedal Flush Ceramic China Toilet in Women's Suites (1)
• ADA Toilet, Sink and Grab Rails in ADA Unisex Suite
• Framed Mirrors
5. Concessionaire hereby warrants that the Trailer is in good condition. Concessionaire
hereby further warrants that it owns the Trailer free and clear of any liens or debts.

Concessionaire warrants that the resale value of the Trailer is approximately twenty-five
thousand dollars ($25,000.00).
6. Concessionaire has closed its business and has no more income under the UMA. The
County, through its Parks and Recreation Department, expects that the Trailer will
enhance its current facilities.
7. In consideration of the mutual promises made herein and upon receipt of the Trailer, each
party agrees to hereby release the other party from any further obligations and liability
under the UMA, except for obligations and liabilities that continue beyond termination
pursuant to the terms and conditions of the UMA, and each party agrees to bear its own
costs associated with the this Agreement.
8. This Agreement shall be governed by and construed in accordance with the laws of the
State of Arizona.
