AMENDMENT No. 2 to LICENSE AGREMENT
Between
MARICOPA COUNTY, LICENSOR
And
FOOTHILLS COMMUNITY SERVICES / THE BRIDGE, LICENSEE
RECITALS
A. Licensor and Licensee (collectively the “Parties”) are parties to that certain License
Agreement No. P-50288 dated and approved April 18, 2016 and subsequently amended on
July 20, 2016 by the Maricopa County Board of Supervisors (the “Agreement”). The
Agreement is for non-exclusive use of the east parking lot at 1206 W. Madison Street,
Phoenix, Arizona, consisting of approximately 20,625 square feet of vacant land (the
“Premises”).
B. The term of the Agreement expires on June 30, 2017.
C. Licensee acknowledges that Licensor anticipates conveying the Premises in the near future
and, as a result, terminating this Agreement in accordance with its terms.
D. Licensor and Licensee now mutually desire to amend the Agreement to extend the term.
AGREEMENT
NOW THEREFORE, in consideration of the foregoing mutual promises contained herein
and other good and valuable consideration, the sufficiency and adequacy of which the
Parties acknowledge Licensor and Licensee agree to amend the Agreement as follows:
1. The accuracy of the foregoing recitals is acknowledged and by this reference incorporated into this
Agreement.
2. The term of the Agreement is hereby extended from July 1. 2017 through June 30, 2018, unless it
is otherwise terminated. The Agreement is subject to termination pursuant to the provisions of
A.R.S. 38-511, the provisions of which are incorporated herein by this reference. The
Agreement may be terminated immediately, with or without cause, without liability, by
either party upon written notice to the other party.
3. The effective date of this amendment is the date of execution by the Maricopa County
Board of Supervisors.
4. The foregoing paragraphs contain all the changes made by this amendment. All other terms
and conditions of the original Agreement remain the same and in full force and effect.
