AMENDMENT TO DEVELOPMENT AGREEMENT
Date: The date of this Amendment to Development Agreement (the "Amendment") is
, 2017.
Parties: The parties to this Amendment are as follows:
Maricopa County, a political subdivision of the State of Arizona ("Maricopa County"
or the "County"),
and
First American Title Insurance Company, a Nebraska corporation, as Trustee under
Trust No. 8708, and not in its individual or corporate capacity ("Owner").
RECITALS
WHEREAS, the parties on September 07, 2016 executed the Zanjero Trails Development
Agreement (the "Development Agreement") covering certain real property described in Exhibit
A to the Development Agreement;
WHEREAS, attached to the Development Agreement was a document labeled Exhibit B,
dated February 10, 2016 (the Initial Exhibit B);
WHEREAS, the parties now desire to replace that document with the updated version
attached hereto, dated January 26, 2017, to be referred to as Exhibit B.

AGREEMENT
NOW, THEREFORE, in consideration of the above premises and the mutual covenants and
agreements contained herein and other good and valuable consideration, the receipt and
sufficiency of which are hereby acknowledged, the parties agree as follows:
1.1 Replacement of Initial Exhibit B. The parties hereby agree that Exhibit B
attached to this Amendment be substituted for the Initial Exhibit B as an
attachment to the Development Agreement.
1.2 Effective Date. The attached Exhibit B shall be deemed to be effective as of the
date of this Amendment.
1.3 As to any portion of the Development Agreement not specifically altered by this
Agreement, all such provisions of the Development Agreement are hereby
affirmed and ratified.
