AMENDMENT TO AGREEMENT TO CONSTRUCT SUBDIVISION IMPROVEMENTS
THIRD PARTY TRUST
Date: The date of this Amendment (herein referred to as the "Amendment") is
, 2017.
Parties: The parties to the Amendment are as follows:
Maricopa County, a political subdivision of the State of Arizona ("Maricopa County"
or the "County"),
and
Maricopa County Municipal Water Conservation District Number One, a political
subdivision of the state of Arizona ("Beneficiary"),
and
First American Title Insurance Company, a Nebraska corporation, as Trustee under
Trust No. 8708, and not in its individual or corporate capacity ("Trustee" and the
above -referenced Trust No. 8708 being sometimes referred to as the "Trust").
County, Beneficiary and Trustee are sometime collectively referred to herein in this
Amendment as the "Parties".

RECITALS
WHEREAS, the Parties on September 07, 2016, executed an Agreement to Construct
Subdivision Improvements - Third Party Trust (the "TPT Agreement") covering certain real
property described in Exhibit A to the TPT Agreement;
WHEREAS, attached to the TPT Agreement was a document labeled Exhibit B, which was
dated February 10, 2016 (the "Initial Exhibit B");
WHEREAS, the Parties now desire to replace that attachment with the more recent
version, dated January 26, 2017, attached hereto and to be referred to herein as "Exhibit B".
AGREEMENT
NOW, THEREFORE, in consideration of the above premises and the mutual covenants and
agreements contained herein and other good and valuable consideration, the receipt and
sufficiency of which are hereby acknowledged, the Parties agree as follows:
1.1 Replacement of Initial Exhibit B. The Parties hereby agree that Exhibit B
attached to this Amendment be substituted for the Initial Exhibit B as an
attachment to the TPT Agreement and as a replacement for the Initial Exhibit B.
1.2 Effective Date. The attached Exhibit B shall be deemed to be effective as of the
date of the Amendment.
1.3 As to any portion of the TPT Agreement not specifically altered by this
Agreement, all such provisions of the TPT Agreement are hereby affirmed and
ratified.
