License No. P-50108 AMENDMENT No. 5 C-86-08-071-0-05 AMENDMENT NO. 5 TO FACILITY USE AGREEMENT BETWEEN DIGNITY HEALTH, d/b/a CHANDLER REGIONAL MEDICAL CENTER, (“USER”) AND MARICOPA COUNTY, BY AND THROUGH THE DEPARTMENT OF PUBLIC HEALTH (“COUNTY”) RECITALS A. User and County (collectively, the “Parties”) are Parties to that certain Facility Use Agreement No. P50108 dated April 4, 2008 and approved by the Maricopa County Board of Supervisors and subsequently amended December 17, 2008, January 10, 2010, June 19, 2013 and January 13, 2015 (the “Agreement”). The Agreement is for use of County leased space at 3002 N. Arizona Avenue, #13, Chandler, AZ 85225. B. The term of the Agreement expires March 31, 2017. C. User and County now mutually desire to amend the Agreement to extend the term, update the vaccination schedule and expand the definition of “Services” and “Recipients”. AGREEMENT NOW THEREFORE, in consideration of the foregoing and other valuable considerations, User and County agree to amend Agreement P50108 as follows: 1. The term of the Agreement is hereby extended one (1) year, commencing April 1, 2017 and expiring on March 31, 2018. Unless terminated earlier by either Party by giving a thirty (30) day written notice of termination, the Agreement will automatically renew for one (1) additional year, expiring March 31, 2019. This Agreement is subject to termination pursuant to the provisions of A.R.S. §38-511. 2. Exhibit “A” to the Agreement is hereby deleted and shall be replaced in its entirety by Exhibit “A,” attached hereto and incorporated herein by this reference, which reflects the 2017-2019 vaccination dates and times. 3. The effective date of this amendment is the date of execution by the Maricopa County Board of Supervisors. 4. The foregoing paragraphs contain all the changes made by this amendment.
