AGREEMENT FOR RIGHT OF ENTRY

Gila Bend 260, LLC, an Arizona limited liability company, GRANTOR, for and in
consideration of the sum of Five Hundred Dollars ($500.00) and other valuable consideration,
receipt of which is hereby acknowledged, do(es) hereby grant and convey to MAR1COPA
COUNTY, a political subdivision of the State of Arizona, its successors, and assigns, a Right of
Entry, for the following purposes, namely: The right to enter upon the hereinafter described land
to perform geotechnical testing, environmental testing and investigation, and historical
documentation to locate environmentally and historically sensitive sites and determine measures
of mitigation, including incidental purposes consistent therewith, on, over, under and across the
ground embraced within a parcel of land situated in the County of Maricopa, State of Arizona,
and described as follows:

NOW THEREFORE, in consideration of the same and further consideration hereinafter
set forth, it is agreed, that this instrument contains the entire agreement between the parties
hereto and there being no further consideration paid than herein specified.
THE COUNTY OF MARICOPA AGREES:
A. To use the property described in map for geotechnical testing, environmental testing and
historical documentation.
B. That this permission is not a waiver in any way of the right to compensation for such land
or of any remedy authorized by law to secure payment.
C. This Right of Entry, shall continue in effect, pending completion of geotechnical testing,
• environmental testing and historical documentation, not to exceed one (1) year from the
date of Grantor signing this Right of Entry.
D. To perform geotechnical testing, environmental testing and investigation and historical
documentation to locate environmentally and historically sensitive sites and detettnine
• measures of mitigation.
E. To pay the Grantor the sum of Five Hundred Dollars ($500.00) as payment in full for the
right to enter onto the land described herein.
F. Grantee agrees to indemnify and hold harmless Grantor(s) for damages and claims arising
out of the negligent or willful acts or omissions of Grantee, its employees, officers, and
agents, in the exercise of Grantee's rights pursuant to the terms of this Right of Entry.
THE GRANTOR AGREES:
1. To grant permission for right of entry for the land described in map to the County of
Maricopa and/or its agents for geotechnical testing, environmental testing and historical
documentation.
2. To accept the sum of Five hundred Dollars ($500.00) as payment in fall for the use of the
property described in map.
3. That, upon the Grantor's signing of this Right of Entry, the County shall have immediate
use of the property described herein for geotechnical testing, environmental testing and
historical documentation.
4. That this Right of Entry shall continue in effect, pending completion of geotechnical
testing, environmental testing and historical documentation, not to exceed one (1) year
from the date of Grantor signing this Right of Entry.
