FIRST AMENDMENT TO NON-EXCLUSIVE LICENSE AGREEMENT
For AIR QUALITY MONITORS
At WELL SITE #230
THIS FIRST AMENDMENT TO NON-EXCLUSIVE LICENSE AGREEMENT FOR AIR
QUALITY MONITORS AT WELL #230 ("First Amendment") is entered into as of the date last
set forth below, by and between the City of Phoenix, a municipal corporation ("City") and
Marieopa County, a political subdivision of the State of Arizona ("County").
RECITALS
A. City and County entered into that certain Non-Exclusive License Agreement No. 131583
(P-50245) dated June 22, 2011 ("License Agreement"), whereby County was granted
non-exclusive access by City, for an initial term of five (5) years, at Well Site 230 located
at 5712 E. Thunderbird Road, Phoenix, AZ, (the "Site").
B. The License Agreement provides for five (5) one (1) year extensions.
C. City and County now desire to amend the License Agreement as hereinafter provided.
AGREEMENTS
NOW, THEREFORE, the parties agree as follows:
1. The Recitals are incorporated herein by this reference.
2. The term of the License Agreement is hereby extended for one (1) year commencing
retroactively on June 21, 2016 through June 20, 2017. This First Amendment is subject to
the provisions of A.R.S. §38-511, the provisions of which are incorporated herein by this
reference.
3. This First Amendment may be executed in any number of identical counterparts all of
which, when taken together, will constitute one and the same instrument. Delivery of this
First Amendment may be accomplished by electronic transmission of an executed
counterpart of this First Amendment. Signatures thus transmitted will be as valid as
manual signatures for all purposes.
4. Except as specifically amended herein, all other terms and conditions of the License
Agreement shall remain in full force and effect. In the event of any conflict between the
terms of the First Amendment and the terms and provisions of the License Agreement,
the terms and provisions of this First Amendment will supersede control.
