RECITALS
A. Arizona Center for Nature Conservation, an Arizona non-profit corporation, (Licensor) and
Maricopa County, a political subdivision of the State of Arizona, (Licensee) are Parties to a License
Agreement dated May 4, 2022 (Agreement) for Licensee’s Permitted Use of property located at
455 North Galvin Parkway, Phoenix, AZ.
B. The term of the Agreement expires May 31, 2024.
C. Licensor and Licensee now mutually desire to enter into this First Amendment to the Agreement
(Amendment) to: (a) exercise renewal option; (b) update Licensee notice information; and (c)
provide administrative language.
AGREEMENT
NOW THEREFORE, in consideration of the foregoing and other good and valuable
consideration, receipt and sufficiency of which is hereby acknowledged, Licensor and Licensee
agree to amend the Agreement as follows:
1. The Recitals, by this reference, are hereby incorporated in this Amendment.
2. Capitalized terms used in this Amendment without definition shall have the meanings assigned to
such terms in the Agreement unless the context expressly requires otherwise.
3. Pursuant to Section 3 (D.) of the Agreement, the parties agree to exercise the first of two renewal
options to extend the term of the Agreement. The term of the Agreement shall be extended two (2)
years and expire May 31, 2026. The Agreement may be extended for one (1) additional period of
two (2) years by mutual written agreement of the parties.
4. Licensee’s notice contact information for Licensor Program Manager in Section 13 of the
Agreement is deleted in its entirety and replaced with the following:

5. The Agreement is hereby amended to add the following section:
26. DELEGATION OF AUTHORITY
The Assistant County Manager for Maricopa County and/or the Real Estate Director shall
administer this Agreement, including the execution of documents to advance
administration of this Agreement.

6. The Agreement is subject to cancellation pursuant to the provisions of A.R.S. § 38-511.
7. The foregoing paragraphs contain all the changes made by this Amendment. All other terms and
conditions of the Agreement remain the same and in full force and effect.
