AMENDMENT NO. 1 TO THE
CONTRACT
BETWEEN MARICOPA COUNTY
ADMINISTERED BY ITS HUMAN SERVICES
DEPARTMENT
AND
THE SOCIETY OF ST. VINCENT DE PAUL
Maricopa County (“County”) by and through the Maricopa County Human Services Department and
The Society of St. Vincent De Paul (referred to as Contractor”) entered into a Contract on or about
August 25, 2016, for the provision of overnight accommodations for homeless men and women and
weather relief services at the Human Services Campus. The County and the Contractor may be
referred to individually as “Party” or collectively as “Parties.”
The Parties now wish to amend the Agreement as follows:
I. Amend the Term in Paragraph 3.1 as follows: Term
3.1 Extend the expiration date of the Agreement from February 28, 2017 to June
30, 2017.
II. Decrease the notice of termination required in Paragraph 6.2 from 60 to 30 days as follows:
6.2 Either Party may terminate this agreement at any time by giving the other
Party at least thirty (30) calendar days prior notice in writing (unless terminated by
the Board of Supervisors under the Availability of Funds provision). The notice shall
be given by personal delivery or by registered or certified mail, postage prepaid and
return receipt requested, to the persons at the addresses set forth in paragraph
15.0.
III. Increase contract funding amount in paragraph 7.1 by $25,170 from $95,000 to $120,170
with a commensurate increase in a base amount of funding for operation costs for overflow
shelter services in Paragraph 7.2.1 from $60,000 to $85,170
IV. Amend Paragraph 7.2.2 to permit the Contractor to use $35,000 of unspent Weather Relief
funds for either Weather Relief emergency shelter or overflow shelter services until June
30, 2017 as follows:
7.2.2 A maximum of $35,000 for term of the contract may be used for Weather
Relief emergency shelter in alignment with Human Services Campus protocol, to
ensure homeless individuals are assisted with shelter services during times of
inclement weather. Such services shall be invoiced at the rate of $700/night. Any
unexpended Weather Relief emergency shelter funds may be used for operation
costs for overflow shelter services consistent with paragraph 7.2.1 of the
Agreement.

V. Parties agree that the statutory language of A.R.S. §38-511 are applicable to this
Amendment and incorporate the same by reference.
VI. The foregoing paragraphs contain all the changes to the Agreement as amended. All other
terms of the original Agreement and Amendments not amended hereby, remain in full force
and effect as approved and amended.
