Lease No. P-50199 C-85-12-018-3-01 Amendment No. 1 to License Agreement for Use of Real Property This Amendment No. 1 (this “Amendment”) to License Agreement for Use of Real Property, License No. P-50199, dated and approved by the Maricopa County Board of Supervisors April 11, 2012, (the “Agreement”) is made and entered into by and between the Troon Country Club, Inc., (“Licensor”) and Maricopa County, a political subdivision of the State of Arizona (“Licensee”) (collectively referred to herein as “Parties”). All capitalized terms not otherwise defined in this Amendment have the same meanings as contained in the Agreement. RECITALS A. The Agreement is for use of property located at 24303 N. Alma School Road, Scottsdale, Arizona 85255, consisting of approximately 100 square feet of vacant space at the Maintenance Yard for Licensee’s Monitor Site. B. The term of the Agreement expires February 1, 2017. C. Licensee desires to exercise its one option to renew the term for five years and update Licensee’s notice address. AGREEMENT NOW, THEREFORE, in consideration of the foregoing introduction and recitals, which are incorporated herein by reference, the following mutual covenants and conditions, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Licensor and Licensee hereby agree as follows: 1. The term of the Agreement is hereby extended for five (5) years, to commence February 2, 2017 and expire February 1, 2021. 2. The notice address for Licensee is changed to the following: Maricopa County Facilities Management Attn: Chief Real Estate Officer 2801 West Durango Street Phoenix, Arizona 85009 3. This Amendment is subject to the provisions of A.R.S. § 38-511, the provisions of which are incorporated herein by this reference. 4. This Amendment shall not become effective until it is executed by the Chairman of the Maricopa County Board of Supervisors (the “Effective Date”). 5. In all other respects, the Agreement is affirmed and ratified and, except as expressly modified herein, all terms and conditions of the Agreement shall remain in full force and effect.
