AMENDMENT No. 5 TO LICENSE AGREEMENT
FOR USE OF REAL PROPERTY (“Amendment”)
BETWEEN
MARICOPA COUNTY, (“Licensor”)
AND
CITY OF PHOENIX, (“Licensee”)
RECITALS
A. Licensor and Licensee are parties to that certain License Agreement No. P-50189
approved by the Maricopa County Board of Supervisors on August 31, 2011 and
subsequently amended October 31, 2012, December 11, 2013, November 5, 2014 and
December 14, 2015 (the “License”). The License is for access to and use of Property or
Properties as defined in the License Agreement.
B. The term of the License expires December 31, 2016.
C. Licensor and Licensee now mutually desire to extend the term for one (1) additional five
(5) year term and update Licensor’s notice address.
AGREEMENT
NOW THEREFORE, in consideration of the foregoing mutual promises contained
herein and other good and valuable consideration, the sufficiency and adequacy of which
the parties acknowledge Licensor and Licensee agree to amend the License as follows:
1. The term of the License is hereby extended five (5) years, to commence January 1, 2017,
and expire December 31, 2021. This Amendment is subject to termination pursuant to the
provisions of A.R.S. §38-511, the provisions of which are incorporated herein by this
reference.
2. Licensor address for notices and demands is changed as follows:
Licensor: Maricopa County Facilities Management
Attn: Chief Real Estate Officer

Phoenix, AZ 85009-6356
3. The effective date of this amendment is the date of execution by the Maricopa County
Board of Supervisors.

4. The foregoing paragraphs contain all the changes to the License made by this
Amendment. All other terms and conditions of the License remain the same and in full
force and effect, except as amended hereby.
