RE: Integrate and Align the Homeless Coordinated Entry System with Medicaid
Eligible Services
Dear Maricopa County Human Services Department:
Vitalyst Health Foundation (VHF) is pleased to offer this Letter of Agreement
between VHF and Maricopa County administered by and through the Maricopa
County Human Services Department (Contractor) to Integrate and Align the
Homeless Coordinated Entry System in partnership with the Corporation for
Supportive Housing in Maricopa County. We believe that the work will closely align
with the unique skills provided by the local representative of the Corporation for
Supportive Housing. The purpose of this letter is intended to accept the
accompanying proposal dated May 6, 2016 attached as Exhibit A.
PURPOSE
Integrate and Align Systems and Services:
Maricopa County, in collaboration with other public and philanthropic funders,
seeks to leverage every opportunity to connect housing and health care resources
to provide services and reduce the unsheltered and homeless population.
Connecting the two primary systems of care for these households will increase the
types of services currently accessible for many of our community’s most
vulnerable and high cost residents. The regional Homeless Coordinated Entry
System is positioned to identify, assess and refer homeless households to Medicaid
eligible health and housing services.
EXPECTATIONS OF VHF CONTRACTORS
 Monthly reports with invoice, as set forth below;
 Provide feedback on how VHF can improve their role related to
housing in Arizona and nationally, and;
 Help connect and build relationships, networks, and collaborative
efforts.
COMPENSATION & PAYMENT SCHEDULE
VHF agrees to reimburse Contractor up to $60,000.00 in accordance with the
proposed budget.

Within five days after the end of each month, we request that the contractor
submit an invoice to MMitros@VitalystHealth.org. Invoices submitted by Tuesday
of each week are usually processed and mailed by the Friday of the same week.
However, VHF reserves the right to process invoices 10 days from receipt of
invoice.
While VHF does not anticipate future changes to the scope of work or list of
deliverables, should modification be necessary to accomplish the goals of the
project or respond to a significant change in anticipated financial support, such
changes will be subject to negotiation and mutual agreement of VHF and
Contractor, and shall be made in writing and signed by both parties.
Contractor is responsible for the payment of all federal, state and local income
taxes related to fees for service.
INDEPENDENT CONTRACTOR
For all purposes relating to this Agreement, the parties shall be independent
contractors and not agents or employees of the other party.
GOVERNING LAW
This Agreement and the rights and obligations of the parties hereunder shall be
construed, interpreted, and enforced in accordance with, and governed by, the
laws of the State of Arizona.
TERMINATION
VHF reserves the right to terminate the contract at any time, without penalty or
recourse, by giving written notice to Contractor at least fourteen (14) days prior to
the effective date of such termination. The Contractor shall be entitled to receive
just and equitable compensation for that work completed prior to the effective
date of termination.
ACCEPTANCE OF TERMS AND CONDITIONS
If you have questions about the scope of work, or terms of payment, please let me
know. Otherwise, please indicate your acceptance by signing and returning the
enclosed copy of this letter, along with a signed copy of your enclosed W-9 form.
Once all the signatures are collected a scanned copy will be emailed to all
