License No. P-50172 Phoenix 131584 (1) C-85-11-028-3-01 AMENDMENT No. 1 to NON-EXCLUSIVE LICENSE AGREEMENT For AIR QUALITY MONITORS At FIRE STATION No. 40 RECITALS A. City of Phoenix, an Arizona municipal corporation (“City”) and Maricopa County, a political subdivision of the State of Arizona (“County”), (collectively, the “Parties”) are Parties to that certain Non-Exclusive License Agreement for Air Quality Monitors approved on July 6, 2011, by the Maricopa County Board of Supervisors and authorized by the City Council via Ordinance S-37825 on May 4, 2011 (the “Agreement”). The Agreement is for access and use of Fire Station No. 40 at 3838 N. 83rd Avenue, Phoenix, AZ (the “Site”). B. The original term of the Agreement expires July 5, 2016. C. The Parties now mutually desire to amend the Agreement to extend the term, update County notice address and delete Section 9(l) of the original Agreement. AGREEMENT NOW THEREFORE, in consideration of the foregoing recitals and other good and valuable consideration, receipt and sufficiency of which is hereby acknowledged, City and County agree to amend Agreement No. P-50172 as follows: 1. The term of the Agreement is hereby extended one (1) year, to commence July 6, 2016 and expire July 5, 2017. The Agreement is subject to termination pursuant to the provisions of A.R.S. §38-511, the provisions of which are incorporated herein by this reference. 2. Notice address for Maricopa County Real Estate Division is changed as follows: Maricopa County Facilities Management Attn: Chief Real Estate Officer 2801 W. Durango Street Phoenix, AZ 85009 3. Section 9(l). Iran and Sudan. of the original Agreement is deleted in its entirety. Page 1 of 2 4. The foregoing paragraphs contain all the changes made by this Amendment. All other terms and conditions of the original Agreement remain the same and in full force and effect.
