Memorandum of Commitment and Terms of Employment
This Memorandum of Commitment and Terms of Employment ("Memorandum") is entered into
on May 31, 2016, by and between Maricopa County (the "County") and Joy Rich ("Rich"), the terms of
which are set forth below:
RECITALS
WHEREAS, the County desires to employ Rich as County Manager, effective May 30, 2016, in
accord with the commitments and terms set forth in this Memorandum;
WHEREAS, Rich desires to accept the position of County Manager in accordance with the
commitments and terms set forth in this Memorandum;
WHEREAS, in consideration of the foregoing recitals and mutual promises and covenants set
forth below, the County and Rich agree as follows:
Section 1: Duties
A. The County shall employ Rich as County Manager to perform such legal, permissible and
proper duties as assigned by the Board of Supervisors ("Board").
B. Rich shall devote her full working time and her best efforts in the performance of her duties
and shall not accept other employment by any other employer during her term of service.
C. Rich began service as the County Manager on May 30, 2016. Rich is an exempt employee
for Fair Labor Standards Act purposes and an unclassified, at-will employee.
D. Rich shall be allowed to serve as a member of or attend the meetings of public, professional
or advisory boards and organizations whose purpose advances or supports the County at-
large or the position of County Manager as part of her employment and that do not
otherwise interfere with the performance of her assigned duties.
Section 2: Termination, Performance Assessments and Resignation
A. Rich may only be terminated by action of the majority of the Board.
B. Both Rich and the County agree to give 90 days prior written notice of intent to terminate
employment without cause. This Memorandum remains in effect until amended or
terminated by either party with 90 days written notice.
C. If the Board terminates Rich's employment for cause, no notice is required. For cause
termination would be gross incompetence or engaging in illegal or immoral conduct.
Section 3: Compensation and Benefits
A. Rich's salary will be $109.23 an hour, or $227,198.40 annually. Compensation increases are
at the discretion of the Board, subject to Rich's performance and budgetary issues. Rich's
salary shall not be reduced except as part of a general budget reduction.
B. Rich is eligible to participate in the County's deferred compensation program, including the
County's 457 and 401(a) plans.
C. Rich shall be eligible to participate and select from group health, medical, dental, life,
disability, and other coverage programs available to other County employees.
D. Rich's leave accruals and all aspects governing use and rollover of leave for an unclassified
employee are governed by the Maricopa County Employee Leave Plan.
Section 4: Performance Evaluation
A. The Board agrees to review and evaluate the performance of Rich at least once annually in
accordance with specific criteria developed jointly by the Board and Rich.
B. Around the time of the annual performance evaluation, the Board and Rich shall define
specific criteria upon which Rich will be evaluated for the following year. The criteria will
include goals and performance objectives that they determine necessary for: 1) the proper
operation of the County; 2) that are consistent with the Board's policy objectives; and 3)
that are consistent with the established job description for the position of County Manager.
Such goals and objectives shall be in writing and may be altered by the Board, at any time, in
consultation with Rich.
Section 5: Appointment and Dismissal by the County Manager
A. The Board agrees that Rich shall be solely responsible to recommend for appointment all
County Manager Office staff, all Deputy County Managers, Assistant County Managers, non-
elected department heads (except those appointed by the Board) and non-elected deputy
department heads. Such decisions will be processed and presented to the Board in a
manner consistent with all personnel actions.
B. The Board agrees that Rich shall be solely responsible to commence discipline and/or
termination from County employment all County Manager Office staff, Deputy County
Managers, Assistant County Managers, non-elected department heads (except those
appointed by the Board) and non-elected deputy department heads. Such decisions shall be
processed in a manner consistent with all personnel actions.
Section 6: Indemnification

Manager consistent with the provisions as set forth in the Maricopa County Self-Insured Declaration of
Trust.
