Between
Marshall & Swift/Boeckh, LLC, the service-providing affiliate of CoreLogic Solutions, LLC
&
Maricopa County, a political subdivision of the State of Arizona
WHEREAS, Maricopa County (“County”) and Marshall & Swift/Boeckh, LLC
(“Contractor”) entered into a Sole Source Contract dated January 25, 2012 and with a term
effective on January 26, 2012 (“Contract”).
WHEREAS, County and Contractor have agreed to modify the Contract by changing
certain terms and conditions;
NOW, THEREFORE, in consideration of the foregoing, and for other good and valuable
consideration, receipt of which is hereby acknowledged, the parties hereto agree as follows:
Section 1.0 TERM
The parties agree to extend the term of this Contract so that it shall now end on July 31, 2021.
Section 6.1 INDEMNIFICATION
The following shall be added to the end of the last paragraph of Section 6.1:
THE CONTRACTOR AND COUNTY AGREE THAT THE CONTRACTOR’S TOTAL
LIABILITY FOR DIRECT, OBJECTIVELY MEASURABLE MONEY DAMAGES FOR ALL
CLAIMS ARISING UNDER OR RELATED TO THIS CONTRACT SHALL NOT EXCEED
$1 MILLION. THE EXISTENCE OF MULTIPLE CLAIMS SHALL NOT INCREASE THIS
LIMIT.

Exhibit A is REVISED to include the NEW pricing effective May 1, 2016 per the attached Exhibit
A-1.
Exhibit B
Exhibit B is REVISED to include the attached Exhibit B-1, effective May 1, 2016.
