THE PEW CHARITABLE TRUSTS
Grant Agreement Terms and Conditions
This Agreement is between the Maricopa County by and through its Department of Public Health
(Grantee), a political subdivision of the state of Arizona, and The Pew Charitable Trusts (Pew), a
Pennsylvania not-for-profit corporation, recognized as exempt from income tax as a publicly-
supported charitable organization described in Section 501(c)(3) of the Code. The Grant,
including any interest earned thereon, may be used only for the purpose stated in this Agreement.
The effective date of this Agreement is January 21, 2016 (Effective Date), and it shall terminate
on June 30, 2016 (Termination Date).
Reports and Payment. The narrative reporting requirements (which contain a description of the
work Grantee will carry out in connection with the project funded under this Grant), the reporting
and payment schedule and the financial reporting requirements associated with the Grant are
attached hereto and incorporated herein (including, where appropriate, by reference to Grantee's
proposal). All narrative and financial reports must be submitted to lverstegen@pewtrusts.org or
as otherwise instructed in writing by Pew.
Submission of Work Product. In addition to narrative and financial reports, Grantee must submit
to Pew copies of any original Work Product (as defined below) directly resulting from the Grant
(including, but not limited to, Work Product in printed, electronic or other formats such as
publications, recordings and software programs) promptly after such Work Product is created.
Polls and Surveys. If Grantee completes any polls or surveys funded through this Agreement it
shall comply fully with the Robert Wood Johnson Foundation Guidelines for Funding and
Releasing Polls and Surveys (which are available at
www.rwjf.org/files/guidelinesforpollsandsurveys.pdf).
Grant Budget. The approved budget for this Grant is incorporated herein by reference.
Expense Reallocation. Reallocation of expenses among project budget categories must be
approved by Pew if the reallocation exceeds the greater of five (5) percent of the total Grant
awarded or $5,000.
Indirect Expenses. Expenditures of Grant funds (and any interest earned theron) for Indirect
expenses may not exceed the lesser of $1,917 or ten (10) percent of Salaries and Benefits
expenses allocated to the Grant.
Intellectual Property. "Work product" consists of the process and impact evaluation (Evaluation),
including drafts thereof, prepared by Grantee in connection with the project funded under this
Grant (collectively, Work Product). Grantee hereby grants to Pew, the Robert Wood Johnson
Foundation, and the de Beaumont Foundation, and agrees to obtain from any subcontractors or
subgrantees, a nonexclusive, irrevocable, perpetual, worldwide, royalty-free, transferable and
sub-licensable license for noncommercial purposes to use, display, perform, reproduce, publish,
copy, archive, excerpt, distribute, create derivative works from and otherwise disseminate, in
whole or in part, any or all of the Work Product. This Section shall survive the termination of
this Agreement.
Datasets. Upon Pew's request, Grantee shall provide Pew in a form satisfactory to Pew with a
copy of any and all data, datasets, source documents or other information Grantee used to develop
the Work Product (the Datasets). Grantee hereby grants to Pew, the Robert Wood Johnson

Foundation, and the de Beaumont Foundation a nonexclusive, irrevocable, perpetual, worldwide,
royalty-free, transferable and sub-licensable license to use the Datasets and agrees, if necessary,
to obtain such licenses for Pew from third parties. If Grantee is unable to obtain such third-party
licenses, Grantee will notify Pew in writing.
Protection of Human Subjects. If research involving human subjects is performed pursuant to
this Agreement, the Grantee shall ensure that it complies with applicable statutes, regulations and
policies concerning the protection of human research subjects. Particularly, the Grantee shall be
responsible for compliance with: (I) the requirements set forth by the Department of Health and
Human Services, at 45 C.F.R. Part 46; FDA regulations (21 C.F.R. Parts 50 and 56), if research
involves investigational new drugs or investigational new devices; and (ii) the Privacy
Regulations in the Health Insurance Portability and Accountability Act of 1996 (45 C.F.R. Parts
160 and 164) for the use and disclosure of protected health information.
Acknowledgment of Pew. Grantee agrees to provide an acknowledgment of Pew's role as the
funder of the Work Product by placing on all final and/or disseminated versions of the Work
Product and derivatives the following language, "This [project, product, report, issue brief, etc.] is
supported by a grant from the Health Impact Project, a collaboration of the Robert Wood Johnson
Foundation and The Pew Charitable Trusts, with support from the de Beaumont Foundation."
Disclaimer. Unless otherwise requested by Pew, for all written Work Product and derivatives
created pursuant to this Agreement and publicly disseminated, Grantee shall include the
following disclaimer (unless Pew provides alternative wording): "The views expressed are those
of the author(s) and do not necessarily reflect the views of the Health Impact Project, The Pew
Charitable Trusts, the Robert Wood Johnson Foundation, or the de Beaumont Foundation."
No Campaign Intervention or Lobbying. No payments under this Agreement may be used (i) to
participate or intervene in (including the publishing or distribution of statements) any political
campaign on behalf of (or in opposition to) any candidate for public office or (ii) to carry on any
lobbying activities within the meaning of Section 501(c)(3) of the Code and the regulations
thereunder and/or as defined under the federal Lobbying Disclosure Act ("LDA"). Grantee
represents that it is not established, financed, maintained, or controlled by a "covered official"
under the LDA.
Replacement of Personnel. The replacement of Grantee's project staff and/or key personnel
would be a material deviation from this Agreement and, thus, cause for termination. Accordingly,
the Grantee agrees to provide Pew with written notification two weeks before replacing such
project staff and/or key personnel, provided, however, that where immediate termination of such
staff or personnel is clearly necessary to protect the interests of the project, Grantee need only
provide Pew with written notification both as soon as possible and before selecting a replacement.
Subcontractors and Subgrantees. Grantee agrees that, if it engages subcontractors or subgrantees
(Subcontractor) to help carry out the project funded by this Grant, it shall use its best efforts to
ensure that such Subcontractors are bound by this Agreement. At a minimum, Grantee shall .
notify Subcontractor in writing of the following requirements: (a) Subcontractor is prohibited
from using names, logos, or other marks owned by or associated with Pew or the Health Impact
Project for any purpose without Pew's prior written consent; (b) if applicable, Subcontractor shall
grant Pew, the Robert Wood Johnson Foundation, and the de Beaumont Foundation a license to
any Work Product it creates (as set forth in "Intellectual Property" above); (c) Subcontractor shall

Contract ID: 00029371

the work related to this Grant.
Compliance with Laws. Grantee agrees that it and any agents shall comply with all applicable
federal, state and local laws, regulations, and rules and, upon request, shall provide Pew with
documentation of such compliance.
Grantee Status. Grantee represents that it either (a) has been determined by the Internal Revenue
Service to be tax-exempt under Section 501(a) of the Code or (b) is an organization described in
Section 170(c)(1) of the Code.
Evaluation. All activities conducted hereunder are subject to Pew's review and acceptance to
confirm that funds are being spent in accordance with this Agreement and Section 501(c)(3) of
the Code. At its own expense, Pew may monitor and conduct an evaluation of operations under
this Agreement and Grantee will participate in such an evaluation if requested by Pew.
Grantee's Records. Grantee will keep systematic records of all expenditures relating to this Grant.
These records, including bills, invoices, canceled checks and receipts, will be retained by Grantee
for five years after the Termination Date and will be available for Pew's inspection during that
period. Pew may, at its own expense, examine or audit Grantee's records related to activities
supported by this Grant.
Independent Parties. Grantee, its employees, agents, and representatives are independent parties
and are not Pew employees or agents.
Indemnification. Grantee shall indemnify, defend and hold harmless Pew and its officers,
directors, employees, agents, affiliates, and contractors from and against any and all claims,
liabilities, damages, losses, expenses, demands, suits, and judgments, including without limitation
reasonable attorneys' fees and costs, arising from or relating to (a) Grantee's performance of this
Agreement or breach thereof or (b) the intentional misconduct or negligent acts or omissions of
Grantee, its employees, agents, contractors, or consultants in connection with the performance of
its obligations under this Agreement. This provision shall survive the termination of this
Agreement.
Governing Law. The state and federal courts in Philadelphia, Pennsylvania will have exclusive
jurisdiction over any and all disputes arising out of, or in any way related to, this Agreement, and
Grantee shall submit to the personal jurisdiction of those courts. The laws of the Commonwealth
of Pennsylvania shall apply to any such disputes without regard to any conflict of law principles.
Unexpended Funds. Any portion of the payments made under this Agreement not expended at
the completion of the term, must be returned to Pew with a final report.

is located in Pennsylvania and that Grantee may be required to register with the Pennsylvania
Department of State pursuant to the Pennsylvania Solicitation of Funds for Charitable Purposes
Act.
No Use of Pew Name. Grantee agrees not to use the names, logos or any other marks owned by
or associated with Pew, including the Health Impact Project or any other Pew department or
project name, on or in any form of publicity (including in Grantee's publicly distributed client
lists, on Grantee's websites, in Grantee's social media platforms including, but not limited to,

LinkedIn, Twitter or Facebook, or in any of Grantee's other promotional materials) without
Pew's prior written consent in each instance which consent may be withheld by Pew in its sole
and absolute discretion.
Termination and Postponement.
a. Pew may, in its sole discretion, terminate, postpone or cancel any or all Grant payments

purpose(s) or submit timely reports; (2) Grantee's application or any required report is
inaccurate in any material respect; (3) Grantee substantially fails to perform any of its

status as an organization described under Section 501(a) or Section 170(c)(1) of the
Code, as the case may be, materially changes; or
2. Grantee fails to timely comply with any of its applicable federal, state, local, or other
