Proposal and Agreement
South Phoenix Healthy Start
Maricopa County Department of Public Health
Community Health Action Office of Family Health Services
2737 W. Southern Avenue, Suite 8, Tempe, AZ 85282
Attn: Lisa Derrick, Program Director
1. Management Overview
ChallengerSoft (“CS”) is pleased to provide Maricopa County Department of Public
Health (“MCDPH”) with this proposal / agreement for a Case Management System, to
support its Healthy Start Program. The ChallengerSoft Case Management System (“CS-
HealthyStart”) contains many forms, functions and reports which you can use as a
template for your own implementation. We agree to provide our software based on the
schedule below. The initial payment includes the cost to add customized forms to the
system based on your specifications. Since CS-HealthyStart is a web-based solution, the
system runs within a standard web-browser (Internet Explorer is required). Any PC or
laptop with high-speed Internet access can access the system (broadband internet access
is required). The on-going monthly subscription covers licensing, maintenance, support,
and periodic updates as they become available. Standard reports supplied with the
system include the HRSA Performance Measures and other required reports, which can
be run at any time for management reporting purposes. Your license also includes CS-
DART, a comprehensive Data Analysis and Reporting Toolkit. The Effective Date of
this agreement is the date it is signed by you below.
2. Project Scope & Costs
a) One-time Costs: The system consists of the functionality demonstrated to you, and as
described in our product literature, including:
- Support for all Healthy Start case types (Pediatric, Prenatal, IC, etc.)
- Web-based data entry forms, using the SAHS Template as a base system.
- Integrated Scheduling for use by Case Managers and Program management
- ChallengerSoft Data Analysis and Reporting Toolkit (“CS-DART”)
The base-level system also includes any non-proprietary forms and reports defined to us
by other programs. Because we understand that your requirements may be different, we
agree to customize the system based on requirements that you specify. Your Initial
Payment includes the customization you require. The System Requirements
Specifications (SRS) will be clearly documented using an online system, which will be
accessible to all project team members. The system includes the development of all
mandatory reporting requirements including HRSA / MCHB Performance Measures and
Benchmarks. ChallengerSoft will also develop for you at no additional cost, all other
reports required by your program. These will be documented in the SRS. In addition,
ad-hoc reports can also be generated by you using the CS-DART toolkit supplied with the
system. Following your approval of the requirements, the customization will be
performed by us in a timely manner. Please note that we will do our best to

accommodate minor on-going changes to the system as needed. Unless the change is
deemed substantial, there will be no additional charge for such changes. The Project
schedule will be set by the Project Team. The Project Team will consist of a combination
of key staff members nominated by you, and ChallengerSoft staff. The time needed
before go-live, will be determined by the Project Team, and will depend upon the level of
required changes. All changes and the timing of their availability will be documented in
writing, and approved by you before being implemented.
b) Monthly Costs: The Monthly Subscription payment (due starting on Effective Date) is
based on the number of users, and is outlined in the Cost Summary below. A demo
system can made available for testing purposes throughout the project. All authorized
staff members will be encouraged to use the test system. Monthly costs also include
subscription-based licensing, maintenance, support and hosting. Periodic updates based
on new product versions or changes in your mandatory reporting needs are also included.
The quoted package prices includes the use of CS-DART, which allows all authorized
users to access pre-defined reports, or perform ad-hoc queries.
c) Hosting: Hosting is provided by our hosting partner, presently MPCA. Their
VirtualCHC Data Center is located in Grand Rapids, Michigan, with high-speed access to
the internet backbone. As a trusted partner, MPCA has many years of experience in
providing hosting services. Our service level agreement with MPCA provides 99.9%
availability during normal working hours (7am-9pm Eastern, Mon-Sat). Any required
system maintenance, is normally scheduled outside these working hours.
d) Training / Consulting: In addition to the online project calls, training will be supplied
on-site based on 2 trips during the implementation process. The charges for this time will
be based on the schedule below. ChallengerSoft will provide training to your key
administration staff. It is anticipated that training and first-level support for end-users
(who will use only a limited number of functions) will be provided by your
administrators. Typically, following the Administrator training, all end-users may attend
the on-site training provided by ChallengerSoft. Centralization of support calls to
ChallengerSoft is recommended. If additional on-site training is requested, it will be
made available at then-current rates plus expenses.
e) User Group: As the number of Healthy Start and other MCH programs using our Case
Management System increases, we have encouraged our customers to form a User Group.
By participating, you and your peers will not only be able to make suggestions for future
versions, but you will also benefit from the suggestions of others.
3. Term and Termination
The Initial Term of this agreement is two years commencing on the Effective Date. Non-
payment of either initial payment or monthly subscription within 30 days of due date will
be considered a breach, and will render this agreement null and void. We reserve the
right to adjust monthly subscription pricing based on the number of online users. Use of
the software is also subject to the terms and conditions of the standard EULA (end-user
