CONSENT TO
TEMPORARY ACCESS LICENSE AND INDEMNIFICATION
AND
HOLD HARMLESS AGREEMENT
Tres Rios Golf, LLC, an Arizona Limited Liability Company(the “Concessionaire”) is party to that
certain agreement titled Maricopa County Parks and Recreation Use Management Agreement for
the management, operation, maintenance and improvement of the Tres Rios Golf Course at Estrella
Mountain Regional Park (the “Use Management Agreement”).
The Temporary Access License and Indemnification and Hold Harmless Agreement between the
City of Goodyear and the County of Maricopa (the “License”) to which this consent is attached
involves portions of the property subject to the Use Management Agreement. Concessionaire
acknowledges that the development of the Wetlands Treatment Facility, as defined in the License,
may benefit Concessionaire’s operations under the Use Management Agreement and is therefore
willing to consent to the issuance of the License in the form attached hereto as Exhibit 1.
NOW, THEREFORE, in consideration of the above recitals, mutual covenants set forth
herein, the terms and conditions set forth in the License and other good and valuable consideration,
the adequacy and sufficiency of which is hereby acknowledged, Concessionaire, on behalf of
themselves and their respective successors and assigns, consent to the County of Maricopa and the
City of Goodyear executing the License and exercising the rights granted thereunder as it applies to
the portion of the Wetlands Locations, as defined in the License, located within the property subject
to Concessionaire’s Use Management Agreement.
