any Student, employee, or patient in the performance of this Agreement.
4.3 School and Clinical Facility shall each designate a coordinator who shall
be reasonably available for consultation with the other respective coordinator

and hold harmless the other party, its agents, representatives, officers, directors,
officials, and employees for, from and against all claims, damages, losses and
expenses, including, but not limited to, attorneys’ fees, court costs, expert witness
fees, and the cost of appellate proceedings, relating to, arising out of, or alleged to
have resulted from the negligent acts, errors, omissions or mistakes relating to the
performance of this Agreement. Each party’s duty to defend, indemnify and hold
harmless the other party, its agents, representatives, officers, directors, officials,
and employees shall arise in connection with any claim, damage, loss or expense

will in no way be construed as limiting the scope of the indemnity in this Section.
The scope of this indemnification does not extend to the sole negligence of
either party.
4.6 School shall give at least ten (10) days advance written notice of any
cancellation, non-renewal, or change in limits of the coverages.
4.7 School shall maintain workers’ compensation and commercial general
liability insurance or funded self-insurance for its employees.
4.8 School shall be responsible for planning the educational curriculum and
shall maintain appropriate records and reports on each Student’s clinical
experience.

the event that any investigation is conducted with respect to a Student’s
experience or performance at Clinical Facility. Students may be asked to sign a
form granting School and Clinical Facility permission to share information
relevant to his or her experience or performance.
Clinical Facility also agrees to cooperate with and assist School in investigating
facts which may serve as a basis for taking any disciplinary or academic action
against a Student, School faculty member and/or School employee. School shall
be responsible for the discipline of Students, School faculty members and/or
School employees in accordance with School’s applicable policies and
procedures. School may, but need not, consult with Clinical Facility concerning
any proposed disciplinary action. Clinical Facility agrees to abide by School’s
recommended disciplinary action.

timely investigation and disposition of audits, peer review matters, disciplinary
actions and third-party liability claims arising out of any services provided under
