Lease L-7415 Amendment No. 1 C-88-10-017-1-02 AMENDMENT No. 1 TO LEASE AGREEMENT L-7415 Between COLLATERAL HOLDINGS, LLC, “Lessor” As Successor in Interest to ARROWSPORT HOLDINGS, LLC And MARICOPA COUNTY, “Lessee” RECITALS A. Lessor and Lessee are parties to that certain Lease Agreement No. L-7415 dated and approved by the Maricopa County Board of Supervisors May 26, 2010, and administrative change on September 26, 2012, (the “Agreement”) recognizing Leif Walker, representing Homesteaders Life Company, as Receiver of the property until sold at Trustee’s Sale scheduled for October 24, 2012. The property was sold by the Trustee at public auction on June 5, 2013, to Collateral Holdings, LLC. The Agreement is for leased premises, which is a part of the property, at 16140 N. Arrowhead Fountain Center Drive, #105, Peoria, Arizona, consisting of 5,324 square feet of office space. B. The term of the Agreement expires January 31, 2016. C. Lessor and Lessee now mutually desire to amend the Agreement to exercise the first of two options to renew, set a new Base Year for operating expenses and update Lessor’s notice address. AGREEMENT NOW, THEREFORE, in consideration of the foregoing, the mutual promises contained herein and other good and valuable consideration, the sufficiency and adequacy of which the parties acknowledge Lessor and Lessee agree to amend the Agreement as follows: 1. The recitals, by this reference, shall be incorporated herein and are made a part of this Agreement. 2. The term of the Agreement is hereby extended five (5) years, expiring January 31, 2021, with one (1) 5-year renewal option remaining at the sole discretion of the Lessee, unless terminated earlier as provided for in the Agreement. This Agreement is subject to termination pursuant to the provisions of A.R.S. § 38-511. Page 1 of 3 3. The Base Year for operating expenses as defined in Section 3.2 of the Agreement is hereby changed to Calendar Year 2016. 4. Written notices to be given as defined in Section 9.1 of the Agreement are changed as follows: Collateral Holdings, LLC Attn: Leif Walker 1350 E. The effective date of this Amendment is the date of execution by the Chairman of the Maricopa County Board of Supervisors. 6. The foregoing paragraphs contain all the changes made by this Amendment No. 1. All other terms and conditions of the original agreement remain the same and in full force and effect.
