P-50233 Amendment No. 1 C-22-14-014-L-01 AMENDMENT No. 1 TO LICENSE AGREEMENT FOR USE OF REAL PROPERTY Between MARICOPA COUNTY, (“LICENSOR”) And PORTABLE, PRACTICAL, EDUCATIONAL PREPARATION, INC., (“LICENSEE”) RECITALS A. Licensor and Licensee, collectively referred to as (the “Parties”), are Parties to that certain License Agreement No. P50233 approved by the Maricopa County Board of Supervisors August 21, 2013, (the “License”). The License is for use of premises at Maricopa Workforce Connections One-Stop Career Centers: West Valley Career Center located at 1840 N. 95th Ave #160 Phoenix, AZ 85037 (“Facility 1”). B. The term of the License expires June 30, 2015. C. Licensor and Licensee now mutually desire to amend the license to extend the term, adjust the reimbursement amounts, remove Facility 2 from the License and adjust the Reimbursement in Section 42 and update Exhibit 2 of the License. AGREEMENT NOW THEREFORE, in consideration of the foregoing and other valuable considerations, the sufficiency and adequacy of which the Parties hereby acknowledge, Licensee and Licensor agree to amend the License as follows: 1. The term of the License is hereby extended one (1) year, commencing on July 1, 2015 and expiring on June 30, 2016. Licensee shall have one (1) one-year Renewal Term remaining. 2. Facility 2 is hereby removed from the License. 3. Reimbursement. The Parties agree that the costs associated with the operation of Facility 1 are shared among the strategic partners and agencies that are co-located in Facility 1. Licensee’s yearly reimbursement amount associated with this License will adjust to $3,306 to be paid by Licensee to Licensor monthly at an amount of $275.50. 4. Licensee and Licensor agree to amend and replace the operating costs as reflected in the attached Exhibit 2, incorporated herein by this reference. The foregoing paragraphs contain all the changes made by this amendment. All other terms and conditions of the original agreement remain the same and in full force and effect.
