FIRST AMENDMENT TO MASTER SERVICES AGREEMENT BETWEEN THE ARIZONA BOARD OF REGENTS FOR AND ON BEHALF OF ARIZONA STATE UNIVERSITY AND ITS CENTER FOR VIOLENCE PREVENTION AND COMMUNITY SAFETY AND MARICOPA COUNTY BOARD OF SUPERVISORS ACTING ON BEHALF OF THE MARICOPA COUNTY SHERIFF’S OFFICE (Maricopa County Agenda # C-50-15-071-M-01) THIS FIRST AMENDMENT TO MASTER SERVICES AGREEMENT (this “Amendment”) is made and entered into this _____ day of ________________, 2015 by the Arizona Board of Regents, for and on behalf of Arizona State University and its Center for Violence Prevention and Community Safety (“ASU”), and Maricopa County Board of Supervisors, Acting on Behalf of the Maricopa County Sheriff’s Office (“MCSO”). RECITALS WHEREAS, the Maricopa County Board of Supervisors approved a Master Services Agreement between ASU and MCSO (the “Master Agreement”) on March 25, 2015 under which ASU will provide certain consulting services and technical assistance to MCSO; WHEREAS, Section 11 of the Master Agreement includes insurance terms which do not contemplate MCSO’s self-insurance program; and WHEREAS, the parties now wish to amend Section 11 of the Master Agreement to modify the insurance terms. AGREEMENT NOW, THEREFORE, the parties hereto agree as follows: 1. Insurance Requirements. Section 11 of the Master Agreement is hereby amended and restated in its entirety and will read as follows: 11.1 As a public institution of the State of Arizona, ASU is self-insured under the State of Arizona, Department of Administration, Risk Management Department as provided under A.R.S. §§ 41-621 et seq. That self- insurance program provides ASU with adequate insurance coverage as 1 necessary and reasonable to insure itself and its personnel in connection with the performance of this Agreement. 11.2 Maricopa County, Arizona maintains for all its departments, boards, committees and employees insurance and self-insurance in accordance with the Declaration of Trust for Maricopa County, Arizona Self-Insured Trust Fund and A.R.S. 11-981. That insurance and self-insurance program provides MCSO with adequate insurance coverage as necessary and reasonable to insure itself and its personnel in connection with the performance of this Agreement. 2. Effect of Amendment. Except as modified by this Amendment, and only to the extent so modified, all other terms and conditions of the Master Agreement will remain unmodified and in full force and effect. 3. Conflict or Inconsistency. In the event there is any conflict or inconsistency between the terms and conditions of this Amendment and the terms and conditions of the Master Agreement, the terms and conditions of this Amendment will govern and control the rights and the obligations of the parties. 4. Counterparts. This Amendment may be executed in any number of counterparts, each of which shall be an original, but all of which taken together will constitute one and the same instrument. 2 IN WITNESS WHEREOF, the parties hereto have caused this Amendment to be executed by their duly authorized representatives on the date first above written.
