ADDENDUM TO LEASE/PURCHASE SUPPLEMENT — ARIZONA COUNTIES
THIS ADDENDUM TO LEASE/PURCHASE SUPPLEMENT (this 'Addendum"), which is entered into
as of «Date>> between IBM CREDIT LLC ("Lessor") and Maricopa County ("Lessee"), is intended to modify and supplement
the Lease/Purchase Supplement No. L00029686 (the "Supplement") to the Lease/Purchase Master Agreement For State and
Local Government Licensed Software & Services Only between Lessor and Lessee dated 11/24/2014
(the "Master Agreement"), Capitalized terms not otherwise defined herein shall have the meanings set forth in the
Supplement and the Master Agreement
Notwithstanding anything to the contrary set forth in the Master Agreement:
1. The term of this Supplement shall commence on the Commencement Date and shall expire
at the close of the calendar year in which it was executed, and at the close of the calendar year for each additional term
for which it may be renewed pursuant to the Master Agreement, as modified and supplemented by this Addendum; and
2. Upon the expiration of the initial term of this Supplement, and upon expiration of any renewal
term hereof, the term of this Supplement shall be renewed automatically for a subsequent one-year renewal term;
provided, however, the term of the Supplement shall terminate and not be subject to renewal upon payment of the final
Lease Payment set forth in the Supplement, unless sooner terminated pursuant to the Master Agreement or the
Supplement.
IN WITNESS WHEREOF, Lessor and Lessee have caused this Addendum to be executed in their
names by their duly authorized representatives as of the date first above written.
