FOURTH AMENDMENT TO TEACHING SERVICES AGREEMENT THIS FOURTH AMENDMENT TO TEACHING SERVICES AGREEMENT (this “Amendment”) is made effective the later of February 1, 2015, or the last date this agreement has been executed by both parties, by and between DIGNITY HEALTH, a California nonprofit public benefit corporation d/b/a ST. JOSEPH'S HOSPITAL AND MEDICAL CENTER (“Hospital”) and MARICOPA COUNTY OFFICE OF THE MEDICAL EXAMINER, a Maricopa County office in the State of Arizona (the “Group”). Hospital and Group are parties to a certain Teaching Services Agreement effective April 8, 2008 and its subsequent amendments (collectively, the “Agreement”). For good and valuable consideration, the parties agree that the Agreement is amended as follows: 1. Section 6(a), Term. The term of this Agreement is renewed from February 1, 2015 and extended through January 31, 2017. 2. Section 12, Insurance. Section 12 is deleted from the Agreement in its entirety and replaced with Section 12, Insurance, as follows: “Both parties shall maintain professional liability insurance or self-insurance and general liability insurance or self-insurance in the minimum amounts of $2,000,000 per occurrence/$4,000,000 annual aggregate throughout the term of this Agreement. If such insurance is on a “claims-made” basis, and such coverage is later terminated, or converted to an “occurrence” coverage (or vice versa), both parties shall also acquire “prior acts” or “tail” coverage (as applicable), in the above amounts, covering all periods that this Agreement is or has been in force. Each party shall provide the other party with written evidence of such insurance upon request. This Section 12 shall survive the expiration or termination of the Agreement.” 3. Master List. The Parties acknowledge that this Agreement, together with any other contracts between Hospital and Physician/Group, will be included on the master list of physician contracts maintained by Dignity Health. If there is any conflict or inconsistency between this Amendment and the Agreement, the provisions of this Amendment shall control and govern in the interpretation and construction of the Agreement. Except as otherwise amended by this Amendment, all of the terms and conditions of the Agreement shall remain in full force and effect.
