This Contract is entered into this 10th day of September, 2014 by and between Maricopa County (collectively
“County”, “District”, “You/your”), a political subdivision of the State of Arizona, and International Business
Machines Corporation, a New York corporation (collectively “IBM”, “Contractor”) for the purchase of services
(including, without limitation, customized development and support, business consulting, and maintenance
services). For purposes of clarity, no IBM or non-IBM software or products will be purchased under this contract.
1.0 CONTRACT TERM:
1.1 This Contract is for a term of Five (5) years, beginning on the 10th day of September, 2014 and
ending the 30th day of September, 2019.
1.2 The County may, at its option and with the agreement of IBM, renew the term of this Contract for
additional terms up to a maximum of five (5) years, (or at the County’s sole discretion, extend the
contract on a month-to-month basis for a maximum of six (6) months after expiration). The
County shall notify IBM in writing of its intent to extend the Contract term at least thirty (30)
calendar days prior to the expiration of the original contract term, or any additional term
thereafter.
2.0 FEE ADJUSTMENTS:
A Transaction Document specifies the amount payable for Services, based on one or more of the following
types of charges: one-time, recurring, time and materials, or fixed price. Additional charges may apply
(such as travel related expenses). IBM will inform County in advance whenever additional charges apply.
Charges for Services are billed as specified in a Transaction Document, which may be in advance,
periodically during the performance of the Service, or after the Service is completed. Unless otherwise
provided in this Agreement (including any applicable Attachment or Transaction Document): i) Services
for which Customer prepays must be used within the applicable contract period; and ii) IBM does not give
credits or refunds for any prepaid or other charges already due or paid, unless the applicable services fail to
fulfill the requirements of the Transaction Document.
If a Transaction Document provides an estimated total charge for time and materials or for usage charges,
the estimate is for planning purposes only. IBM shall provide County with individual billing rates for all
project personnel. IBM invoices charges based on actual time and materials expended or Customer’s actual
or authorized use, subject to any specified minimum commitment.
From time to time, IBM may change its charges. Customer receives the benefit of a decrease in charges for
amounts that become due on or after the effective date of the decrease.
Unless provided otherwise in an Attachment or Transaction Document, IBM may increase recurring
charges for Services, labor rates, and minimums for Services provided under this Agreement, by giving
Customer three months' written notice. An increase applies on the first day of the invoice or charging
period on or after the effective date IBM specifies in the notice.

remittance delivery capabilities with their designated financial institution for access to
those details.

3.5.1 County currently holds ICPA’s with numerous governmental entities throughout the State
of Arizona. These agreements allow those entities, with the approval of IBM, to
purchase their requirements under the terms and conditions of the County Contract.
4.0 AVAILABILITY OF FUNDS:

SERIAL 13149-CI
4.1 The provisions of this Contract relating to payment for services shall become effective when funds
assigned for the purpose of compensating IBM as herein provided are actually available to County
for disbursement. The County shall be the sole judge and authority in determining the availability
of funds under this Contract. County shall keep IBM fully informed as to the availability of funds.
4.2 If any action is taken by any state agency, Federal department or any other agency or
instrumentality to suspend, decrease, or terminate its fiscal obligations under, or in connection
with, this Contract, County may amend, suspend, decrease, or terminate its obligations under, or in
connection with, this Contract. In the event of termination, County shall be liable for payment
only for services rendered prior to the effective date of the termination, provided that such services
are performed in accordance with Exhibit C, D or any subsequent Transaction Document of this
Contract. County shall give written notice of the effective date of any suspension, amendment, or
termination under this Section, at least ten (10) days in advance.

as otherwise agreed to in writing between the parties.
5.2 During the Contract term, County shall provide Contractor’s personnel with adequate workspace
for consultants and such other related facilities as may be required by Contractor to carry out its
contractual obligations.
6.0 TERMS and CONDITIONS:
6.1 MUTUAL INDEMNIFICATION:
6.1.1 Both parties shall indemnify (the indemnifying party shall be referred to herein as the
“Indemnitor”) at the Indemnitor’s expense, the other party, and its employees (such
persons are referred to herein collectively and individually as the “Indemnitee”), against
claims made by third parties against an Indemnitee for costs, damages, and attorneys’
fees that a court finally awards against Indemnitee or that are included in a settlement
approved in advance by Indemnitor, for any bodily injury or death, or property damage,
to the extent caused by the Indemnitor, provided that Indemnitee: (a) promptly notifies
Indemnitor in writing of the claim; and (b) allows Indemnitor to control, and cooperates
with Indemnitor in, the defense and any related settlement negotiations.
The scope of this indemnification does not extend to the sole negligence of County.
6.2 INSURANCE:
6.2.1 Contractor, at Contractor’s own expense, shall purchase and maintain the herein
stipulated minimum insurance from a company or companies duly licensed by the State
of Arizona and possessing a current A.M. Best, Inc. rating of B++. In lieu of State of
Arizona licensing, the stipulated insurance may be purchased from a company or
companies, which are authorized to do business in the State of Arizona, provided that
said insurance companies meet the approval of County. The form of any insurance
policies and forms must be acceptable to County.
6.2.2 All insurance required herein shall be maintained in full force and effect until all work or
service required to be performed under the terms of the Contract is satisfactorily
completed and formally accepted. Failure to do so may, at the sole discretion of County,
constitute a material breach of this Contract.
6.2.3 Contractor’s insurance shall be primary insurance as respects County, and any insurance
or self-insurance maintained by County shall not contribute to it.

SERIAL 13149-CI
6.2.4 Any failure to comply with the claim reporting provisions of the insurance policies or any

afforded under the insurance policies.
6.2.5 The insurance policies may provide coverage that contains deductibles or self-insured
retentions. Such deductible and/or self-insured retentions shall not be applicable with
respect to the coverage provided to County under such policies. Contractor shall be
solely responsible for the deductible and/or self-insured retention and County, at its
option, may require Contractor to secure payment of such deductibles or self-insured
retentions by a surety bond or an irrevocable and unconditional letter of credit.
6.2.6 County reserves the right to request and to receive, within 10 working days, certified
copies of any or all of the herein required insurance certificates. County shall not be
obligated to review policies and/or endorsements or to advise Contractor of any
deficiencies in such policies and endorsements, and such receipt shall not relieve
Contractor from, or be deemed a waiver of County’s right to insist on strict fulfillment of
Contractor’s obligations under this Contract.
6.2.7 The insurance policies required by this Contract shall name County, its agents,
representatives, officers, directors, officials and employees as Additional Insureds.
6.2.8 The policies required hereunder shall contain a waiver of transfer of rights of recovery

insurance with a limit of not less than $2,000,000 for each occurrence, $2,000,000
Products/Completed Operations Aggregate, and $4,000,000 General Aggregate Limit.
The policy shall include coverage for bodily injury, broad form property damage,
personal injury, products and completed operations and blanket contractual coverage, and
shall not contain any provision which would serve to limit third party action over claims.
There shall be no endorsement or modification of the CGL limiting the scope of coverage
for liability arising from explosion, collapse, or underground property damage.
6.2.10 Errors and Omissions Insurance (inclusive of Cyber Liability):
Errors and Omissions insurance and, if necessary, Commercial Umbrella insurance,
which will insure and provide coverage for errors or omissions of the Contractor, with
limits of no less than $2,000,000 for each claim, and $15,000,000 in the aggregate
6.2.11 Certificates of Insurance.
Prior to commencing work or services under this Contract, Contractor shall have
insurance in effect as required by the Contract in the form provided by the County, issued
by Contractor’s insurer(s), as evidence that policies providing the required coverage,
conditions and limits required by this Contract are in full force and effect. Such
certificates shall be made available to the County upon ten (10) business days. BY
SIGNING THE AGREEMENT PAGE IBM AGREES TO THIS REQUIREMENT
AND FAILURE TO MEET THIS REQUIREMENT WILL RESULT IN
CANCELLATION OF CONTRACT.
In the event any insurance policy(ies) required by this contract is (are) written on a
“claims made” basis, coverage shall extend for two years past completion and acceptance
of Contractor’s work or services and as evidenced by annual Certificates of Insurance.
If a policy does expire during the life of the Contract, a renewal certificate must be sent to
County fifteen (15) days prior to the expiration date.

SERIAL 13149-CI
6.2.12 Cancellation and Expiration Notice.
Insurance required herein shall not be permitted to expire, be canceled, or materially
changed without thirty (30) days prior written notice to the County.
6.3 WARRANTY OF SERVICES:
6.3.1 IBM warrants that it performs each IBM Service using reasonable care and skill and
according to its current description (including any completion criteria) contained in the
Statements of Work, including all descriptions, specifications and attachments made a
part of this Contract. County’s acceptance of services or goods provided by IBM shall
not relieve IBM from its obligations under this warranty.
6.3.2 In addition to its other remedies, County may, at IBM's expense, request the correction of
any services failing to meet IBM's warranty herein. Services corrected by IBM shall be
subject to all the provisions of this Contract in the manner and to the same extent as
services originally furnished hereunder.
6.3.3 Items Not Covered by Warranty
IBM does not warrant uninterrupted or error-free operation of any Service. Unless
otherwise specified in an Attachment or Transaction Document, IBM provides Materials
and non-IBM Services WITHOUT WARRANTIES OF ANY KIND. However, non-
IBM suppliers may provide their own warranties to Customer.

INCLUDING ANY WARRANTY OR CONDITION OF NON-INFRINGEMENT.
6.4 INSPECTION OF SERVICES:

statement of work to insure acceptance by the County. IBM Service logs and completion
checklists can be made available to the County upon request.
6.4.2 County has the right to inspect and test all services called for by the Contract, to the

6.7 FORCE MAJEURE

accident, terrorism, network or telecommunication system failure, sabotage or any other cause
beyond the control of such party (“Force Majeure”), provided that such party promptly gives the
other party written notice of such Force Majeure.
6.8 TERMINATION FOR CONVENIENCE:
The County reserves the right to terminate the Contract, in whole or in part at any time, when in
the best interests of the County without penalty or recourse. Upon receipt of the written notice,
IBM shall immediately stop all work, as directed in the notice, notify all subcontractors of the
effective date of the termination and minimize all further costs to the County. In the event of
termination under this paragraph, all documents, data and reports prepared by IBM under the
Contract shall become the property of and be delivered to the County upon demand. IBM shall be
entitled to receive compensation at the rates or fees contained herein, for work in progress, work
completed and materials accepted before the effective date of the termination.
6.9 TERMINATION FOR DEFAULT:
6.9.1 In addition to the rights reserved in the Contract, the County may terminate the Contract
in whole or in part due to the failure of IBM to comply with any term or condition of the
Contract, to acquire and maintain all required insurance policies, bonds, licenses and
permits as agreed to between the parties, or to make satisfactory progress in performing
the Contract. The Procurement Officer shall provide written notice of the termination
and the reasons for it to IBM.
6.9.2 Upon termination under this paragraph, all goods, materials, documents, data and reports
prepared by IBM under the Contract shall become the property of and be delivered to the
County on demand.
6.9.3 The County may, upon termination of this Contract, procure, on terms and in the manner
that it deems appropriate, materials or services to replace those under this Contract. IBM
shall be liable to the County for any excess costs incurred by the County in procuring
materials or services in substitution for those due from IBM.
6.9.4 IBM shall continue to perform, in accordance with the requirements of the Contract, up to
the date of termination, as directed in the termination notice.
6.10 TERMINATION BY THE COUNTY:
If IBM should be adjudged bankrupt or should make a general assignment for the benefit of its
creditors; or if a receiver should be appointed on account of its insolvency, the County may
terminate the Contract. If IBM should persistently or repeatedly refuse or should fail, except in
cases for which extension of time is provided, to provide enough properly skilled workers or

SERIAL 13149-CI
proper materials, or persistently disregard laws and ordinances, or not proceed with work or
otherwise be guilty of a substantial violation of any provision of this Contract, then the County
may terminate the Contract. Prior to termination of the Contract, the County shall give IBM
fifteen (15) business day’s written notice. Upon receipt of such termination notice, IBM shall be
allowed fifteen (15) business days to cure such deficiencies.
6.11 TERMINATION AND WITHDRAWAL OF SERVICE
Either party may terminate a Service transaction if the other materially fails to meet its obligations
concerning the Service.
County may terminate a Service, on notice to IBM provided County has met all minimum
requirements and paid any adjustment charges specified in the applicable Attachments and
Transaction Documents.
For a maintenance Service, County may terminate without adjustment charge, provided any of the
following circumstances occur:
6.11.1 County permanently removes the eligible product, for which the Service is provided,
from productive use within County’s Enterprise;
6.11.2 the eligible location, for which the Service is provided, is no longer controlled by County
(for example, because of sale or closing of the facility); or
County agrees to pay IBM for i) all charges for Services IBM provides and any products and
Materials IBM delivers through Service termination, and ii) reimbursable expenses IBM incurs
through Service termination.
IBM may withdraw a Service or support for an eligible product on three months' written notice to
County. If IBM withdraws a Service for which County has prepaid and IBM has not yet fully
provided it to County, IBM will give County a prorated refund.
Any terms that by their nature extend beyond termination or withdrawal remain in effect until
fulfilled and apply to respective successors and assignees.
6.12 STATUTORY RIGHT OF CANCELLATION FOR CONFLICT OF INTEREST:
Notice is given that pursuant to A.R.S. §38-511 the County may cancel this Contract without
penalty or further obligation within three years after execution of the contract, if any person
significantly involved in initiating, negotiating, securing, drafting or creating the contract on
behalf of the County is at any time while the Contract or any extension of the Contract is in effect,
an employee or agent of any other party to the Contract in any capacity or consultant to any other
party of the Contract with respect to the subject matter of the Contract. Additionally, pursuant to
A.R.S §38-511 the County may recoup any fee or commission paid or due to any person
significantly involved in initiating, negotiating, securing, drafting or creating the contract on
behalf of the County from any other party to the contract arising as the result of the Contract.
6.13 ADDITIONS/DELETIONS OF SERVICE:
6.13.1 The County reserves the right to add and/or delete materials to a Contract. If a service
requirement is deleted, payment to IBM will be reduced proportionately, to the amount of
service reduced in accordance with the contract price. If additional materials are required
from a Contract, prices for such additions will be negotiated between IBM and the
County.
6.13.2 The County reserves the option to review the proposed staff for provision of services
defined in the SOW. Also, upon request by the County, IBM will be required to remove
any employees working on County projects when requested by the County. Contractor
will provide replacement personnel as soon as practicable. County understands that

SERIAL 13149-CI
requiring replacement personnel may impact the delivery schedule for which Contractor
may request an equitable adjustment to schedule and price.
6.14 RELATIONSHIPS:
In the performance of the services described herein, IBM shall act solely as an independent
contractor, and nothing herein or implied herein shall at any time be construed as to create the
relationship of employer and employee, partnership, principal and agent, or joint venture between
the District and IBM.
6.15 BACKGROUND CHECKS AND CLEARANCES
All IBM staff or subcontractor staff providing services under this Agreement must undergo a
background check to be performed by the Maricopa County Sheriff’s Office or other MCSO-
approved law enforcement agency prior to commencement of work. The background check may
also include completion of Arizona Department of Public Safety (DPS) Terminal Operator
Certification (TOC) Level “D.” All background checks required for IBM employees or
subcontractors shall be performed at no charge to IBM or its affiliates.
MCSO will keep the information contained in the background screening report, and the results of
the report, confidential and communicate such information only to those with a need to know in
order to determine what action to take as a result of the report results. MCSO will destroy all
background screening information upon being advised by IBM that the employee is no longer a
resident IBM employee or upon expiration or termination of this contract.
If any IBM Employee brings a claim against IBM arising from MCSO’s possession of, or MCSO
allowing any third party to obtain possession of the Social Security Number, Date of Birth, or
Home Address provided to MCSO by IBM (collectively the “Personal Information”) of that
employee, MCSO will defend IBM against such claim at MCSO’s expense and pay all costs,
damages, and attorney’s fees that a court finally awards or that are included in a settlement
approved by MCSO, provided that IBM:
1. Promptly notified MCSO in writing of the claim; and
2. Allows MCSO to control, and cooperates with MCSO, in the defense and any related settlement
negotiations.
6.16 SUBCONTRACTING:
IBM may not assign this Contract or subcontract to another party for performance of the terms and
conditions hereof without the written consent of the County, which shall not be unreasonably
withheld. All correspondence authorizing subcontracting must reference the Proposal Serial
Number and identify the job project.
6.17 AMENDMENTS:
All amendments to this Contract shall be in writing and approved/signed by both parties. Maricopa
County Office of Procurement Services shall be responsible for approving all amendments for
Maricopa County.
6.18 ACCESS TO AND RETENTION OF RECORDS FOR THE PURPOSE OF AUDIT AND/OR
OTHER REVIEW:
6.18.1 In accordance with section MCI-371 of the Maricopa County Procurement Code IBM
agrees to retain all books, records, accounts, statements, reports, files, and other records
and back-up documentation relevant to this Contract for six (6) years after final payment
or until after the resolution of any audit questions which could be more than six (6) years,
whichever is latest. The County, Federal or State auditors and any other persons duly
authorized by the Department shall have full access to, and the right to examine, copy
and make use of, any and all said materials.

SERIAL 13149-CI
6.18.2 If at any time it is determined by the County that a rate or fee for which payment has
been made is disallowed, the County shall notify IBM in writing of the disallowance.
The course of action to address the disallowance shall be at sole discretion of the County,
and may include either an adjustment to future claim submitted by IBM by the amount of
the disallowance, or to require reimbursement forthwith of the disallowed amount by
IBM by issuing a check payable to Maricopa County.
6.19 AUDIT DISALLOWANCES:
If at any time, County determines that a rate or fee for which payment has been made is
disallowed, such as overpayment, County shall notify IBM in writing of the disallowance. County
shall also state the means of correction, which may be but shall not be limited to adjustment of any
future claim submitted by IBM by the amount of the disallowance, or to require repayment of the
disallowed amount by IBM.
6.20 SEVERABILITY:
The invalidity, in whole or in part, of any provision of this Contract shall not void or affect the
validity of any other provision of this Contract.
6.21 RIGHTS IN DATA:
IBM or its suppliers retains ownership of the copyright in any of IBM’s or its suppliers’ works,
methodologies, templates and other products that pre-exist or were developed outside of this
Agreement and any modifications or enhancements of such works that may be made under this
Agreement. The County retains ownership and rights to all data and information developed from
such data which may be contained in a report deliverable. The County may use, reproduce,
distribute and prepare derivative works in the normal course of the County's business.
6.22 INTEGRATION:
This Contract represents the entire and integrated agreement between the parties and supersedes
all prior negotiations, proposals, communications, understandings, representations, or agreements,
whether oral or written, express or implied.
6.23 VERIFICATION REGARDING COMPLIANCE WITH ARIZONA REVISED STATUTES §41-
4401 AND FEDERAL IMMIGRATION LAWS AND REGULATIONS:
6.23.1 By entering into the Contract, IBM warrants compliance with the Immigration and
Nationality Act (INA using e-verify) and all other federal immigration laws and regulations
related to the immigration status of its employees and A.R.S. §23-214(A). IBM shall obtain
statements from its subcontractors certifying compliance and shall furnish the statements to
the Procurement Officer upon request. These warranties shall remain in effect through the
term of the Contract. IBM and its subcontractors shall also maintain Employment
Eligibility Verification forms (I-9) as required by the Immigration Reform and Control Act
of 1986, as amended from time to time, for all employees performing work under the
Contract and verify employee compliance using the E-verify system and shall keep a record
of the verification for the duration of the employee’s employment or at least three years,
whichever is longer. I-9 forms are available for download at USCIS.GOV.
6.23.2 The County retains the legal right to inspect contractor and subcontractor employee
documents performing work under this Contract to verify compliance with paragraph
6.23.1 of this Section. Contractor and subcontractor shall be given reasonable notice of the
County’s intent to inspect and shall make the documents available at the time and date
specified. Should the County suspect or find that IBM or any of its subcontractors are not
in compliance, the County will consider this a material breach of the contract and may
pursue any and all remedies allowed by law, including, but not limited to: suspension of

SERIAL 13149-CI
work, termination of the Contract for default, and suspension and/or debarment of IBM.
All costs necessary to verify compliance are the responsibility of IBM.

Appendix C: Agency Source Data Information Tables
GENERAL CONVERSION RULES
 A data source consists of one or more of the data sets listed below.
 No alien data will be converted from a data source into COPLINK. IBM defines alien data as any
data not originally entered into the application associated with the data source. Examples of
alien data include but are not limited to:
o Documents migrated from your retired system of record and into your current system of
record through a means other than the system’s associated application.
o Pawn data contained in your police department’s RMS but originate from another system
(often a sheriff’s office).
o Mugs that originate from your Jail Management System but are also fed into your RMS
to view photos of potential suspects.
 Data must be delivered unmodified in order to qualify for standard data source prices. Prohibited
modifications include but are not limited to:
o Filtering of Juveniles and/or sex crime victims
o Data obfuscation
o Date range sub-setting
 Any required filtering will be implemented by IBM as part of the integration process and will be
approved by the contributing agency prior to data being shared with other agencies.
 IBM cannot convert Proprietary Binary File Formats

ADDITIONAL TERMS AND CONDITIONS
1. Transaction Documents
Transaction Documents are part of this Agreement only for those transactions to which they apply. Each
transaction is separate and independent from other transactions. All Attachments and Transaction Docu-
ments are to be presented to Maricopa County Office of Procurement Services for review and execution.
Only the Maricopa County Chief Procurement Officer or his designees have the authority to execute an
agreement between the parties. The Transaction Document Process is outlined in Exhibit B of the
Agreement.
2. Definitions
Materials – literary works or other works of authorship (such as software programs and code, documen-
tation, reports, and similar works) that IBM may deliver to County as part of a Service. The term “Materi-
als" does not include: i) Machine Code, or ii) licensed program products or other items available under
their own license terms or agreements.
Service – performance of a task, assistance, support, or access to resources (such as an information da-
tabase) that IBM makes available to County.
3. Personnel
Each party will assign personnel that are qualified to perform the tasks required of such party under this
Agreement and is responsible for the supervision, direction, control, and compensation of its personnel.
Subject to the foregoing, each party may determine the assignment of its personnel and its contractors.
IBM may engage subcontractors to provide or assist in providing Services, in which case IBM remains re-
sponsible for the fulfillment of its obligations under this Agreement and for the performance of the Ser-
vices.
4. Materials Ownership and License
An Attachment or Transaction Document will specify Materials to be delivered to County and identify them
as “Type I Materials,” “Type II Materials,” or otherwise as both parties agree. If not specified, Materials
will be considered Type II Materials.
County will own the copyright in Materials created as part of a Service that are identified as “Type I Mate-
rials” and each such Material will constitute a “work made for hire” to the extent permissible under U.S.
copyright law. If any such Materials are not works made for hire under applicable law, IBM assigns the
ownership of copyrights in such Materials to County. County grants IBM an irrevocable, nonexclusive,
worldwide, paid-up license to use, execute, reproduce, display, perform, sublicense, distribute, and pre-
pare derivative works based on, Type I Materials.
IBM or its suppliers will own the copyright in Materials created as part of a Services transaction that are
identified as Type II Materials. IBM grants County an irrevocable, nonexclusive, worldwide, paid-up li-
cense to use, execute, reproduce, display, perform, and distribute (within County’s Enterprise only) cop-
ies of Type II Materials.
IBM or its suppliers retains ownership of the copyright in any of IBM’s or its suppliers’ works that pre-exist
or were developed outside of this Agreement and any modifications or enhancements of such works that
may be made under this Agreement. To the extent they are embedded in any Materials, such works are
licensed in accordance with their separate licenses provided to County, if any, or otherwise as Type II
Materials.
Each party agrees to reproduce the copyright notice and any other legend of ownership on any copies
made under the licenses granted in this section.
5. County Resources
If County is making available to IBM any facilities, software, hardware or other resources in connection
with IBM’s performance of Services, County agrees to obtain any licenses or approvals related to these
resources that may be necessary for IBM to perform the Services and develop Materials. IBM will be re-
lieved of its obligations that are adversely affected by County’s failure to promptly obtain such licenses or

approvals. County agrees to reimburse IBM for any reasonable costs and other amounts that IBM may
incur from County’s failure to obtain these licenses or approvals.
Unless otherwise agreed in a Transaction Document, County is responsible for i) any data and the con-
tent of any database County makes available to IBM in connection with a Service under this Agreement,
ii) the selection and implementation of procedures and controls regarding access, security, encryption,
use, and transmission of data, and iii) backup and recovery of the database and any stored data.
IBM’s responsibilities regarding such data or database, including any confidentiality and security obliga-
tions, are governed by the Attachments and Transaction Documents applicable to the particular Services
Transaction (which prevail over the terms of any separate confidentiality agreements) and subject to the
Limitation of Liability and other terms in this Agreement.
6. Automatic Service Renewal
Renewable Services renew automatically for a same length contract period unless either party provides
written notification (at least one month prior to the end of the current contract period) to the other of its
decision not to renew. During an automatic renewal period, County may terminate the Service on one
month’s written notice, and IBM will provide County a prorated credit for any unused Services for which
County has paid in advance.
7. Intellectual Property Protection
7.1 Third Party Claims
If a third party asserts a claim against County that a Material IBM provides to County under this Agree-
ment infringes that party's patent or copyright, IBM will defend County against that claim at IBM’s expense
and pay all costs, damages, and attorney's fees that a court finally awards against County or that are in-
cluded in a settlement approved in advance by IBM, provided that County:
a. promptly notifies IBM in writing of the claim;
b. allows IBM to control, and cooperates with IBM in, the defense and any related settlement negotia-
tions; and
c. is and remains in compliance with the Material’s applicable license terms and County’s obligations
under section 12.2 (Remedies) below.
7.2 Remedies
If such a claim is made or appears likely to be made, County agrees to permit IBM, in IBM’s discretion, ei-
ther to i) enable County to continue to use the Material, ii) modify it, or iii) replace it with one that is at
least functionally equivalent. If IBM determines that none of these alternatives is reasonably available,
then on IBM’s written request, County agrees to promptly return the Material to IBM and discontinue its
use. IBM will then give County a credit equal to the amount County paid IBM for the creation of the Mate-
rials.
7.3 Claims for Which IBM is Not Responsible
IBM has no obligation regarding any claim based on any of the following:
a. anything provided by County or a third party on County’s behalf that is incorporated into a Material
or IBM’s compliance with any designs, specifications, or instructions provided by County or a third
party on County’s behalf;
b. modification of a Material by County or a third party on County’s behalf;
c. the combination, operation, or use of a Material with any product, hardware device, program, data,
apparatus, method, or process that IBM did not provide as a system, if the infringement would not
have occurred were it not for such combination, operation or use; or
d. the distribution, operation or use of a Material outside County’s Enterprise.
This Intellectual Property Protection section states IBM’s entire obligation and County’s exclusive remedy
regarding any third party intellectual property claims.
8. Limitation of Liability
8.1 Items for Which IBM May be Liable
Circumstances may arise where, because of a default on IBM’s part or other liability, County is entitled to
recover damages from IBM. Regardless of the basis on which County is entitled to claim damages from

IBM (including fundamental breach, negligence, misrepresentation, or other contract or tort claim), IBM’s
entire liability for all claims in the aggregate arising from or related to each Service (including any Material
or Machine Code provided with the Service) or otherwise arising under this Agreement will not exceed the
amount of any actual direct damages up to the greater of $100,000, or the charges (if recurring, 12
months' charges apply) for the Service that is the subject of the claim.
This limit also applies to any of IBM’s subcontractors and program developers. It is the maximum for
which IBM and its subcontractors and program developers are collectively responsible. The following
amounts are not subject to a cap on the amount of damages:
a. payments referred to in the Intellectual Property Protection section above; and
b. damages for bodily injury (including death) and damage to real property and tangible personal
property for which IBM is legally liable.
8.2 Items for Which IBM is Not Liable
Except as expressly required by law without the possibility of contractual waiver, under no circumstances
is IBM, its subcontractors, or program developers liable for any of the following even if informed of their
possibility:
a. loss of, or damage to, data;
b. special, incidental, exemplary, or indirect damages or for any economic consequential damages; or
c. lost profits, business, revenue, goodwill, or anticipated savings.
9. General Principles of Our Relationship
9.1 Notices and Communications
Written communications, including notices to the receiving party’s designated representative, are to be
sent to the address (physical, e-mail or facsimile) specified in an applicable Transaction Document. The
parties consent to the use of electronic means and facsimile transmissions to send and receive communi-
cations in connection with our business relationship arising out of this Agreement, and such communica-
tions are acceptable as a signed writing. An identification code (called a “user ID”) contained in an elec-
tronic document is sufficient to verify the sender’s identity and the document’s authenticity.
9.2 Assignment and Resale
Neither party may assign this Agreement, in whole or in part, without the prior written consent of the oth-
er. Any attempt to assign without consent is void. The assignment of this Agreement, in whole or in part,
within the Enterprise of which either party is a part or to a successor organization by merger or acquisition
does not require the consent of the other. IBM is also permitted to assign its rights to payments without
obtaining County’s consent. It is not considered an assignment for IBM to divest a portion of its business
in a manner that similarly affects all the County.
County agrees not to resell any Service without IBM’s prior written consent. Any attempt to do so is void.
9.3 Compliance with Laws
IBM will comply with laws applicable to IBM generally as a provider of information technology products
and Services. IBM is not responsible for determining the requirements of laws applicable to County's
business, including those relating to Services that County acquires under this Agreement, or that IBM's
provision of or County's receipt of particular Services under this Agreement meets the requirements of
such laws. Neither party is obligated to take any action that would violate applicable law.
Each party will comply with all applicable export and import laws, regulations, and associated embargo
and sanction regulations, including prohibitions on export for certain end uses or to certain end users.
9.4 Other Principles of Our Relationship
a. Neither party grants the other the right to use its (or any of its Enterprise's) trademarks, trade
names, or other designations in any promotion or publication without prior written consent.
b. The exchange of any confidential information will be made under a separate, signed confidentiality
agreement. However, to the extent confidential information is exchanged in connection with any
Service under this Agreement, the applicable confidentiality agreement is incorporated into, and
subject to, this Agreement.

c. This Agreement and any transaction under it do not create an agency, joint venture, or partnership
between County and IBM. Each party is free to enter into similar agreements with others to devel-
op, acquire, or provide competitive products and services.
d. Each party grants only the licenses and rights specified in this Agreement. No other licenses or
rights (including licenses or rights under patents) are granted either directly, by implication, or oth-
erwise. The rights and licenses granted to County under this Agreement may be terminated if
County fails to fulfill its applicable payment obligations.
e. No right or cause of action for any third party is created by this Agreement or any transaction under
it, nor is IBM responsible for any third party claims against County except as described in the Intel-
lectual Property Protection section above or as permitted by the Limitation of Liability section above
for bodily injury (including death) or damage to real or tangible personal property for which IBM is
legally liable to that third party.
f. County is responsible for selecting the Services that meet its needs and for the results obtained
from the use of the Services, including County’s decision to implement any recommendation con-
cerning County’s business practices and operations.
g. Where approval, acceptance, consent or similar action by either party is required under this Agree-
ment, such action will not be unreasonably delayed or withheld.
h. Neither party is responsible for failure to fulfill any non-monetary obligations due to events beyond
its control.
i. As reasonably required by IBM to fulfill its obligations under this Agreement, County agrees to pro-
vide IBM with sufficient and safe access (including remote access) to County’s facilities, systems,
