To Whom It May Concern:
This letter is in reference to that certain General Services Contract, dated July 17, 2013, by and between Paws Plus
("PawsPlus") and Maricopa County (the "Contract"). Article X of the Contract provides that such Contract shall not be
assignable by PawsPlus without your prior written consent.
Currently, PawsPlus is considering a transaction (the "Transaction") in which it will assign certain of its assets,
including but not limited to the Contract, to Petco Support Services, LL,C, a California limited liability company (the
"Assignee"). Accordingly, if such a transaction were consummated, all of the rights and obligations under the Contract
would be transferred to Assignee.
PawsPlus hereby requests that, contingent upon the closing of such Transaction, you (i) consent to the assignment
of the Contract upon the consummation of such Transaction and (ii) acknowledge and agree that the Transaction shall have
no effect on the Contract or its terms.
Please indicate your acceptance of the foregoing by executing and dating this letter below and returning a copy to
me via e-mail at cniebur@pawsplus.com as promptly as possible, and no later than July 8, 2014. Please concurrently mail
the original to the address listed below:
