organization and its principals were not suspended or debarred. As of
November 26, 2003, when the County enters into a covered transaction

suspended or debarred or otherwise excluded. As such, each prospective
concessionaire must submit a certification (e.g. certified letter) within sixty
(60) days of award that it is not currently under such suspension or
debarment. Requirements for suspension and debarment are contained
in the Federal codification of the government-wide non-procurement
debarment and suspension common rule, which implements Executive
Orders 12549 and 12689, Debarment and Suspension.

under any provision of this Agreement, such consent, approval or other action shall
not be unreasonably withheld, delayed or conditioned by a Party unless the provision
in question expressly authorizes such Party to withhold or deny consent or approval
or decline to take action in accordance with a different standard, in which case the

conditioned in accordance with the different standard.
6.22 Further Assurances; Cooperation.

EXHIBIT 5.1.4— LAKE PLEASANT JET PACK MANAGEMENT PLAN
1. CHAPTER 3— MANAGEMENT PLAN
The Management Plan incorporates an adaptive management approach to monitoring and
evaluating the effect of allowing flyboarding in the waters of Lake Pleasant. The adaptive
management approach will enable resource managers to determine how well management
actions meet their objectives and whether or not changes need to be made or additional steps are
needed to modify.
In consultation with the Monitoring Team, MCPRD will establish standard and limits of
acceptable change using indicators such as the following: access, visual characteristics, site
management, visitor management, social encounters, and visitor impacts. MCPRD staff will then
monitor the activity on an ongoing basis and document any changes to these indicators which
result from the implantation of the activity.
Should the team determine that the limits of acceptable change have been exceeded, the
"Determining Use Team" would determine what, if any, adaptations or changes should be
recommended to achieve the initial goals established for the plan, or to further refine the
management plan to determine additional steps to be undertaken to achieve the objectives of the
plan.
All recommendations from the "Determining Use Team" are presented to and evaluated by the
Department Director, in concert with the Bureau of Reclamation and Maricopa Water District,
for approval and implementation. In addition, MCPRD would coordinate with MCSO and
AZGFD on law enforcement activities in the area. If problems with unlawful use are noted,
MCPRD would ensure proper action is taken to mitigate the issue.
1.1. (3.1) Management Objectives
MCPRD established objectives for consideration under this plan and are outlined in Table 1
below:
Table 1: Objectives
OBJECTIVE ACTIONS
Pilot program • Monitor the activity on pilot (or trial) basis until it is proven to be a safe
and well-managed activity.

1.2. (3.2) Management Actions
This plan outlines the conditions of use to the pilot program. The duration of the pilot program
will be for one (1) year from the Parks Commissioners approval, expiring in March 2015, at
which time it will either be re-evaluated and made a permanent use or ceased.
It is also important to call out that there are two different user groups related to this activity when
it comes to managing the use: 1) Public Use, and 2) Commercial Use. The two user groups may
be subject to different or overlapping conditions of use. See Appendix C for "Frequently Asked
Questions" as addressed by Arizona Game and Fish Department's Boating Law department for
legal interpretation(s).
1.2.1. (3.2.1) Conditions of Use
Public and Commercial Use:
A. This activity is considered to fall under Arizona Revised Statutes - A.R.S 5-301 and
5-302 and Arizona Game and Fish Commission Rule R12-4-501 that considers the
FlyBoard apparatus to be a motorized watercraft and is considered registered if the
Personal Watercraft (PWC) (or power unit) it is attached to is registered (the PWC
must have safety equipment, i.e. fire extinguisher, life jacket, etc. on-board).
B. Similar to any other watercraft, the "jet-pack" apparatus should be cleaned and
drained to prevent quagga muscle contamination in the waterways. 1
C. The Attorney General's opinion states that water ski rules do not apply; therefore,
neither an observer nor ski flags are required.
D. PWC's are not manufactured with lights; therefore, a PWC cannot be operated at
night unless altered with after-market additions.
Commercial Use:
At a minimum the following shall be followed and will be included in all Commercial
Management Concession Agreements (CMCA):
A. The owner's manual to provide additional guidance to both MCPRD and the jetpack
vessel concession operator(s) for each kind of apparatus.
B. Each flyer must wear a helmet, properly fitted life jacket (personal floatation device).
C. Each PWC Operator must wear properly fitted life jacket (personal floatation device)
and must have on board a first aid kit.
D. Insurance requirements are as follows:
'Arizona's Aquatic Invasive Species (AIS) Interdiction Act (HB2157) was approved and signed into law
in July of 2009.
37
SAContractsUGA's\Commercial IVIgant Concession \AZ Party Zone, LLC dba AZ Flyboard Rentals
i. The Concessionaire shall maintain the following insurance coverage:
1. General liability insurance, products liability, liquor liability: Two million
dollars ($2,000,000) per occurrence; Four million dollars ($4,000,000) per
aggregate.
1 Additional insured status with an endorsement as broad as ISO Additional
Insured Endorsement CG20101185.
3. Vehicle Liability: One million dollars ($1,000,000) combined single limit
for all vehicles.
4. Statutory Worker's Compensation and Employer's Liability of one million
dollars ($1,000,000) per accident, one million dollars ($1,000,000) per
disease and one million dollars ($1,000,000) disease policy limits.
5. Waiver of subrogation/recovery against the County to be included in all
policies.
6. Coverage must include environmental clean-up unless documentation is
provided by the Concessionaire that this is not available or feasible.
ii. Additional Requirements.
The County will be named as "additional insured" under all policies of
insurance with the exception of Worker's Compensation policy. In addition,
the Bureau of Reclamation will be named as "additional insured" for
conducting business at Lake Pleasant. Copies of all insurance policies or
certificates thereof will be made available to the County upon request. Copies
of the Certificate of Insurance (COI) will be furnished annually to the County.
The County will be given thirty (30) days advance written notice of
cancellation of a policy, non-renewal, or change in coverage or limits.
iii. Concessionaire Property Losses.
The Concessionaire assumes all risk of loss and shall be responsible for any
and all losses to the Concessionaire's property and all Concessionaire
improvements within the Concession Site. Loss to the property may result
from, but is not limited to, theft, vandalism, fire and any fire-fighting activities
(including prescribed burns), landslides, rising waters, winds, falling limbs or
trees and acts of God.
E. The following must be provided by any concessionaire for record with the
Department's Contract Administrator:
i. Liability Release Form (to include "Maricopa County" in Document)
ii. Boater Education Certificates
iii. CPR Certificates
iv. First Aid Certificates
v. Instructor Certificates
38
SAContracts\IGA's\Commercial Mgmt Concession I AZ Party Zone, LLC dba AZ Flyboard Rentals
F. Safety Requirements: Due to jetpack vessel's novel design and configuration, current
and conventional vessel safety regulations may not fully address safety concerns
unique to these vessel types and their operation. The following are safety concerns
that shall be addressed:
i. A trained and qualified PWC rider must accompany each flyer regardless of
type of j etpack being used.
Safety procedures and training for both the crewmembers and passengers
should be developed to address circumstances unique to these operations that
are not addressed in special operating requirements. Specific procedures
should include and are not limited to:
1. Emergency procedures for injuries, drowning, loss of vessel control, and
retrieval of conscious and unconscious person(s) in the water, inadvertent
dragging of passengers and subsequent notifications to the company office
family members, appropriate law enforcement and MCPRD.
2. Assessment of adequate gear quick release(s) and other disengagement
mechanisms.
3. Adequate communications including a clear two-way communication
arrangement when a jetpack vessel utilizes two operators.
4. Establishment of safe environmental operating conditions such as weather,
lake state, and operating area (e.g. surrounding vessel traffic, obstructions
above and below the water, water depth, etc).
5. Assessment of the need for additional person(s) and/or chase boat to
provide assistance and maintain situational awareness of the jetpack
operation and surrounding/oncoming traffic, particularly in congested
areas or remote operations.
6. Assessment of PFD flotation adequacy, particularly when any equipment
worn could create negative buoyancy. Some jetpack backpacks are
designed with built in positive flotation and some equipment may not.
1.2.2. (3.2.2) Monitoring the Use
Flyboarding is a new recreational activity, and as such little statistical information is known. The
effects, if any, are unknown, and as such a monitoring program will be required. Monitoring may
take place randomly and unannounced or as a result of complaints.
The Monitoring Team shall consist of at least one representative from each of the following
agencies:
• Maricopa County Parks and Recreation Department
• Maricopa Water District
• Maricopa County Sheriff's Office
• Arizona Game and Fish Department
Methods for Monitoring:
39
SAContractslIGA's1Commercial Mgmt Concession1AZ Party Zone, LLC dba AZ Flyboard Rentals
Monitoring may be accomplished by photo or site monitoring, visitor feedback, and/or other
methods. Routine monitoring may be tracked in Appendix D.
• Monitoring can be done on public use or commercial use.
• Completed monitoring fauns will be turned in the Lake Pleasant Park Supervisor.
• Accidents, user conflicts, and resource damage shall be reported to MCSO and/or
MCPRD.
• Once a month the Park Supervisor or designee will do a site visit either via boat or from
shore line to observe activity and record using monitoring form.
• The Monitoring Team and park staff will be trained on the use of the monitoring form.
1.2.3. 3.2.2 Terminating the Use
The Department has notes some extreme situations, which if encountered, shall result in an
immediate termination of this activity. Those situations, or management indicators, that
would justify a management action include:
• In the event of death or serious injuries or systematic complaints from other park users,
this use will be terminated immediately.
• Number of conflicts with other park users.
• If damage to the environment or park facilities is noticed, this use will be terminated
immediately.
1.2.4. (3.2.3) Continuing the Use
• A mid-term and one year (at end of pilot period) review of the activity will be conducted
by the "Determining Use Team".
• The "Determining Use Team" will review the monitoring form(s) and provide summary
of the pilot program. All recommendations from the "Determining Use Team" will be
presented to and evaluated by the MCPRD Director, in concert with the Bureau of
Reclamation and Maricopa Water District, for approval and implementation into a
permanent activity or if the activity will require additional monitoring or management.
• Any uses that are not consistent with as set forth in this management plan must be
reviewed by MCPRD prior to implementation.
1.3. (3.3) Implementation Strategy
In order to implement this plan as effectively as possible, the Department will need to:
• Update the CMCA appendix and/or exhibits to reflect new activity;
• Obtain Parks Commission and/or Board of Supervisor's approval on all CMCA's;
• Train staff (internal and external) on monitoring form;
• Dedicate a page on the park's website and create flyer to educate users (i.e. seeing
something new);
• No additional department funds are allocated to this activity.

Exhibit 5.1.4 Management Plan Appendix C Frequently Asked Questions — Legal
Interpretations
From: Kevin Bergersen
Sent: Monday, March 10, 2014 12:32 PM
Subject: Flyboarding and Related Device Enforcement Issues
To all Arizona Marine Law Enforcement Officers and Partners -
Our Department has been asked to provide an interpretation on a couple of new water jet-
driven vessel systems on the market in Arizona that allow an operator to "fly" up to 30 feet
above the water. These systems mainly consist of the boat unit (engine/jet pump), hose/control
cables and the flight unit/pack (See photos).
The boat unit (engine/jet pump), can be manned or unmanned, with some boat units
(engine/jet pump) being PWCs with the hose/cables and flight units attached. Other boat units
are streamlined hulls that do not have seating for an operator or passenger.
These are relatively new devices and you may be seeing more of them on Arizona's waterways
and have enforcement questions this email is designed to address. The following are answers to
several questions we have received: particularly the fourth question down regarding their
status relative to water skiing statutes (revised opinion):
Q. Are these considered "watercraft"?
A. Yes. These vessel systems are considered to be "vessels" by both the US Coast Guard and the
State of Arizona. They fall under "watercraft" definitions per A.R.S § 5-301 and Arizona Game
and Fish Commission Rule R12-4-501. Therefore, all Arizona registration, operation, navigation
and boating safety laws apply and it doesn't matter if the boat units are commercial in nature
("for hire") or recreational in nature.
Q. Are the users subject to safety equipment carriage requirements?
A. Yes. Both types must comply with the general carriage requirements of safety equipment for
all vessels. In addition, the PWC-based boat unit must comply with the PWC specific
requirements when used by a person riding on the PWC. Per A.R.S 5-350(A) and (B) PFD wear
and lanyard use, are in play.
Q. How is the reckless PWC Statute to be interpreted for these devices?
45
SAContraets\IGA's\Conunercial Mgrnt Concession I AZ Party Zone, LLC dba AZ Flyboard Rentals
A. The prima facie evidence for reckless operation under 5-350 (C) are in play, but limited to
components 2 and 4 as follows:
1. Operates the personal watercraft within a zone of proximity to another watercraft
closer than sixty feet unless both are leaving a flat wake or are traveling at a speed of five
nautical miles per hour or less. Not likely to apply: These devices generally will not be operating
above wake speed so this component will usually not apply
2. Operates the personal watercraft within the vicinity of a motorboat in a manner that
obstructs the visibility of either operator. This will apply if the airborne unit directs the water
thrust in such a manner to obstruct the visibility of a boater other than the boat unit (engine/jet
pu mp ).
3. Heads into the wake of a motorboat that is within a zone of proximity closer than sixty
feet and causes one-half or more of the length of the personal watercraft to leave the water.
Not likely to apply: given boat unit (engine/jet pump) is towed slowly behind aerial operator and
not likely to leave the water, this component will usually not apply.
4. Within a zone of proximity to another watercraft closer than sixty feet, maneuvers
quickly, turns sharply or swerves, unless the maneuver is necessary to avoid a collision. This will
apply is the aerial operator is making significant direction of flight movements that result it
sudden changes in direction to the boat unit (engine/jet pump).
Q. Do these devices fall under water skiing provisions of A.R.S. 5-346?
A. No. Our Department's Arizona Attorney General representatives have provided an opinion
that "an operational flyboard is not in tow by a watercraft, and that an operational flyboard is
not a contrivance" similar to water-skis, surfboards, or wakeboards, which are towed by
watercraft. The requirements of A.R.S. § 5-346 are therefore inapplicable to flyboards. Thus, Ski
flags and observers are not required.
Q. Do the Navigation Rules apply to their use?
A. Yes. Since both types are considered watercraft, the Navigation Rules would apply to their
operation.
Are the boat unit (engine/jet pump) exempted from having a FUN?
A. No.
Q. Who is considered the operator where there is only one person flying and no-one is riding
the boat unit (engine/jet pump)?
A. This configuration allows the individual flying to control both the throttle and the directional
jets. This individual would be the sole operator of the vessel. Keep in mind, both types of boat
units can be configured for a sole operator.
Q, Who is considered the operator "where one is flying and one is riding"?
A. In the case of multiple operators for a single vessel, either or both would be responsible for
the operation of the watercraft/flyboard combination. This would be similar to an offshore
racing vessel with one individual working the throttles and the other steering the vessel. Keep
in mind, the PWC boat unit can also be configured to allow the individual flying to control the
directional jets, but the throttle to be controlled by a second operator sitting on the boat unit.
46
SAContractslIGA's1Commercial Mgmt Concession I AZ Party Zone, LLC dba AZ Flyboard Rentals
Q. What other considerations are there in the situation of multiple operators for a single
vessel?
A. If on a USCG Navigable waterway (Colorado River System) and the vessel is being rented and
one of the operators is employed by the rental company, that individual is now operating a
vessel for hire with passengers. This may put them in the position of needing a US Coast Guard
Captain's License on the Colorado River system.

1. DESCRIPTION
The Flybearcl 0 is an engine which allows propulsion in the air, above and under water.
The nozzles placed under the feet create 90% of the thrusting and help the user to move according to his feet's tilt.
The nozzles placed in the hands ensure stabilization as ski poles (optional).
Despite its intuitive use, the Flyboard 0 is nevertheless on extreme sport which requires to be practiced with vigilance.
The Flyboard 0 is free to use for all recreational and leisure rentals. Lucrative shows and demonstrations are the exclusivity of ZAPATA RA-
CING.
The Flyboard is protected by international patents.
All rights reserved. Any reproduction, even partial of the product by any means whatsoever is prohibited.
95% of the parts are made in France.
2. SAFETY — RISKY BEHAVIOUR — GENERAL INFORMATION
It is recommended not to use the Flyboard0 under the age of 16
(No weight restriction)
It is forbidden and dangerous to practice Flyboard when winds exceed 60 km/h and waves exceed 1 meter height.
It is mandatory to follow an hour of training in a specialized center initiation to understand the basics and the main security rules (please
refer to the "where to try" section on www.zapata-racing.com .)
It is forbidden to use the Flyboard ® under the influence of alcohol, narcotics or drugs which could affect alertness.
MANDATORY EQUIPMENT:
- Buoyancy Vest with CE certification
Wakeboard helmet type
- Neoprene shorts: the penetration of water through the orifices of the body during a fall or during contact with Flyboard
0 water jets may cause serious internal injuries. Wearing a simple bathing suit is not an adequate protection.
- A back protector is recommended when the Flyhoard 0 is used with the electronic system in position 4 (full power)
IMPORTANT:
It is essential to respect the navigation laws according to the country where the Flyboard 0 is used.
Make sure the area where the Flyboard 0 is practiced is cleared from any other watercraft such as boats, other PWC or other Flyboard0
users as well as swimmers, divers and other sea users.
Before lifting up to mare than 2 meters or diving: make sure there is a minimum depth of 4 meters and that the water is
clear enough to estimate the depth and the reliefs. It is strongly recommended not to take off, land or use the Flyboard ® near to
any source of risk such as rocks, docks, beaches, boats, banks etc. Injuries can be important
-First, the Flyboard0 user must be in water in swimming position.
-Never direct the arms nozzles to anyone.
35
- Do not exceed your limits and avoid aggressive movements to reduce loss of control's risks. This is a high performance engine,. UK
not a toy.
• Do not reproduce figures and risk behaviors such as showed on TV or Internet (hack flips). These are made by professionals. You iisk
serious injury, put your life in danger and risk to seriously damage the equipment if the figures are not done perfectly.
Do not take too tight trajectory opposite to the PWC but follow the turn with a radius of curvature of 4 meters minimum. An aggressive path
leads teen overly breaking Flybaard 0 and an abrupt turn of the PVK with the possible following cases:
- Fall of the Flybeard D user
-Fall of the PWC driver
- Breakage of the ports FB02020 - FB02021 - FI102022
- Damage the hose REF F1302002 by causing a separation between the inner and outer wall at the connection with the strap, or may result
in an immediate or delayed tear of the hose.
• Do not turn 060 ° to the watercraft as this may:
a) Damage the hose REF F002002 by causing a separation between the inner and outer wall of the hose at the connection with the strap,
or result in an immediate or delayed tear of the hose.
b) Damage the cable sheath if the Flyboard 0 is used with the electronic option
rf--
- For taking off a novice person, the watercraft driver mustn't exceed 4500 rev / min. It is important not to accelerate if the user fails to
leave the water because the user may he propelled in the air in positioning the feet flat. If the person fails to take off, it means his feet
are not well positioned.
-When the Flyboard 0 is used by 2 persons (without electronic kit), the watercroft driver mustn't exceed 6000 rev! min. It's recommen-
ded to use the speed governing key when using PVIC over 250 hp.
- If the Flyboard0 user uses the throttle for the first time, he must begin with the learning step 1 - position only 1 LED lit during 20 mi-
nutes at least.
- Each step must be performed for 20 minutes minimum before crossing the next level.
- At the exception of the LED 4 which should never be used before 10 hours of training (position 3 for personal watercraft over 150 hp).
-The Flyboard0 user and the PWC driver must be sure the distance between the Flyboard® and the PWC is never less than 4 meters.
- The Flyboard0 user and the PWC driver must be sure that the Flyboard0 user has sufficient stability and does net fall en his back be-
fore a new step in height.
37
- The Flyboard 0 user must always he positioned to move forward and never backward to limit falls on his hack.
-The Flyhoard 0 user must constantly control his relative position to the PK and be even more vigilant when he rises above 4 meters
height.
-The Flyboard 0 user must always check the presence of any objects, reefs, buoys, etc.....
- When falling into water, the Flyboard CD user must always check the distance between him and the watercraft because the inertia may
push the PLY( at a low speed in the user direction.
-When falling into water, it is essential that the Flyhoard CD user or the watercraft driver releases the accelerator as soon as possible and
turn off the engine.
- When the Flyboarcl 0 user is underwater (fall or dip) the watercraft driver must immediately releases the gas and turn the engine off.
- A minimum level in swimming is compulsory.
- The Flyhoard CD should not he used by water phobic people.
When falling especially an the back, the Flyboard 0 user can come down to a 2 meters depth so he must anticipate an apnea of about
10 seconds during the fall and during immersion.
At any time the Flyboard 0 user must be prepared for this eventuality, it is advisable to full us much as possible from the front so that
the nozzles are directed downward, which greatly helps in cushioning the fall.
- Never take a path towards the PWC as well as hack to front.
3. TYPE OF PWC
- Any type of watercraft when it is approved and certified by the authorities in the country where it is used.
- Power requirement: 100 hp
- Maximum power requirements: 300 hp
-It is extremely dangerous and not recommended to remove the PW( buoyancy elements.
- Adapters depend on PWC brand and model and are available from our distributors
4. ADAPTATION TO THE VNM
To connect the Flyboard CD on the watercraft:
a) Remove the steering and reverse systems.
b) Assemble the pump interface (FB03001) with the appropriate adaptor according to PWC brand and model.
38
5. WHERE TO PRACTICE FLYBOARD® ?
The Flyhoard 0 can be used in both lakes and open seas when the minimum water depth of 4 meters is respected.
It is strictly forbidden to use the Flybeard in confined spaces such as swimming pools etc...
Do not start the wutercraft or use the Flyboard 0 in insufficient water depths (1 meter minimum) with sandy bottom, it may damage the
Flyboard 0 bearings and the hearing when it is used with the electronic kit.
In the event of such use, check the operation of all bearings before further use to avoid breakage of heavy equipment.
Warning! It is the responsibility of the user to make sure there is sufficient depth in the stretch of water used.
