Agreement
This Agreement is entered into between Maricopa County, a political subdivision of the State of
Arizona (the "County"), and Sun States Sports, Inc., an Arizona corporation, dba The 500 Club
Golf Course ("The 500 Club"). The County and The 500 Club are sometimes collectively
hereinafter referred to as the "Parties" and individually as a "Party."
WHEREAS, the County and The 500 Club entered into the Adobe Mt. Golf Course Lease
Agreement (CS 896024) dated November 21, 1988, as amended as follows: Amendment 1 (CS
896024-1) dated May 21, 1989; Amendment 2 (CS 896024-2) dated January 5, 1994;
Amendment 3 (CS 896024-3) dated September 10, 1995; and, Amendment 4 (C-30-98-022-0-
04) dated September 20, 1998 (the "Golf Course Agreement");
WHEREAS, The 500 Club has been operating and managing the Adobe Mt. Golf Course; and,
WHEREAS, the Parties desire that The 500 Club continue operating and managing the Adobe
Mt. Golf Course.
NOW, THEREFORE, in consideration of the mutual representations, warranties, covenants and
agreements contained herein and for other good and valuable consideration, the receipt and
sufficiency are hereby acknowledged, the County and The 500 Club do hereby agree as follows.
The County and The 500 Club agree that, until December 31, 2039, the 500 Club shall continue
to operate and manage the Adobe Mt. Golf Course under the same terms and conditions that
currently exist under the Golf Course Agreement.
IN WITNESS WHEREOF, the Parties have executed this Agreement as of the day of
