AGREEMENT BETWEEN THE
MARICOPA COUNTY DEPARTMENT OF TRANSPORTATION
AND (Jurisdiction Name) TO SHARE SOFTWARE APPLICATION(S)
Purpose:
The purpose of this Agreement is to provide __________________ with a copy of the
___________________ application, and access to the application’s source code developed under the
authority of the Maricopa County Department of Transportation (MCDOT).
Terms of the Agreement:
1. MCDOT will provide the City, Town, or County (jurisdiction) with a copy of the application and access
to the source code at no cost to the jurisdiction.
2. MCDOT is not responsible for any maintenance or updates to the application or database.
3. The jurisdiction pledges that they will not patent, sell, or share the source code or application with
another public/private entity.
4. The jurisdiction can only use and/or modify the software for its own use.
5. MCDOT does not accept any responsibility or liability for this product being used on equipment
owned by the jurisdiction.
6. MCDOT is providing this application AS-IS and does not make any warranties that it will function as
designed.
7. The signatories to this Agreement hereby warrant that they have the authority to execute this
Agreement and bind the respective entities that are Parties to this Agreement.
8. MCDOT does not have any actual knowledge that the Software will infringe on any copyright or
trademark of any third party and it knows of no reason why any third party would have the right to
impede or otherwise interfere with Jurisdiction’s use of the software as envisioned in this Agreement.
However, MCDOT has conducted no specific investigation or made any inquiry to ascertain whether
any basis exists for such claims. The jurisdiction assumes all risks of any such claims and liabilities
resulting therefrom and agrees to hold harmless MCDOT and Maricopa County from any such claims
