COST SHARING AGREEMENT
THIS COST SHARING AGREEMENT ("Agreement") is entered into this _____ day of ______
2026 ("Effective Date"), by and between the CITY OF BUCKEYE, ARIZONA, an Arizona
municipal corporation ("City"), and TRILLIUM LAND COMPANY, LLC, a Delaware limited
liability company ("Master Developer"). The City and Master Developer are sometimes referred
to herein individually as a "Party" and collectively as the "Parties."
RECITALS
A. The City and Master Developer are Parties to that certain Floreo at Teravalis Development
Agreement dated April 1, 2025, recorded as Document No. 20250197318 in the Official
Records of Maricopa County, Arizona ("Development Agreement").
B. The Development Agreement requires Master Developer to design, construct, and
complete the Permanent Public Safety Facility (as defined in the Development Agreement),
which consists of a fire station with a police component.
C. Master Developer and the City have agreed that certain enhancements to the Permanent
Public Safety Facility, including battalion quarters ("Battalion Quarters") and a fourth
apparatus bay ("Fourth Bay"), will benefit both Parties and require a cost-sharing
arrangement.
D. Section 7.2(c) of the Development Agreement provides that the City shall procure all
necessary Fixtures, Furniture, and Equipment ("FFE") and Master Developer shall
reimburse the City for such costs not to exceed Two Hundred Fifty Thousand Dollars
($250,000.00).
E. The Parties desire to memorialize the terms of their cost-sharing arrangement.
NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth herein
and in the Development Agreement, and for other good and valuable consideration, the receipt and
sufficiency of which are hereby acknowledged, the Parties agree as follows:

Master Developer anticipates exceeding that threshold, Master Developer shall notify
the City at least twenty (20) days in advance, and the Parties shall meet and confer in
good faith regarding the scope of the improvements. The City may reduce or modify

delivery of written invoices with supporting documentation to City.
