SECOND AMENDMENT TO LICENSE AGREEMENT CA00107/P50394 BETWEEN ARIZONA CENTER FOR NATURE CONSERVATION AND MARICOPA COUNTY 455 NORTH GALVIN PARKWAY, PHOENIX AZ C-85-22-038-X-02 RECITALS A. Arizona Center for Nature Conservation, an Arizona non-profit corporation, (Licensor) and Maricopa County, a political subdivision of the State of Arizona, (Licensee) are Parties to a License Agreement dated May 4, 2022 (Agreement) and amended February 7, 2024 (First Amendment) for Licensee’s Permitted Use of property located at 455 North Galvin Parkway, Phoenix, AZ. B. The renewal term of the Agreement expires May 31, 2026 (First Renewal Term). C. Pursuant to Section 3(D) of the Agreement, Licensee has exercised its option to renew the Agreement for the second two-year term (Second Renewal Term) by providing Licensor with written notice of Licensee’s intent to renew no later than sixty (60) days prior to the expiration of the First Renewal Term. D. Licensor and Licensee now mutually desire to enter into this Second Amendment to the Agreement (Second Amendment) to: amend Section 3(C) of the Agreement to reflect the additions of the First Renewal Term and the Second Renewal Term. AGREEMENT NOW THEREFORE, in consideration of the foregoing and other good and valuable consideration, receipt and sufficiency of which is hereby acknowledged, Licensor and Licensee agree to amend the Agreement as follows: 1. The Recitals, by this reference, are hereby incorporated in this Second Amendment. 2. Capitalized terms used in this Second Amendment without definition shall have the meanings assigned to such terms in the Agreement unless the context expressly requires otherwise. 3. Section 3(C) of the Agreement is hereby deleted in its entirety and replaced with the following: C. The initial term of this Agreement was for approximately two (2) years and commenced on the Effective Date and was set to expire May 31, 2024. On February 7, 2024, the term of this Agreement was extended two (2) years and was set to expire May 31, 2026. The term of this Agreement is now extended an additional two (2) years and now is for approximately six (6) years and shall expire May 31, 2028. 4. This Second Amendment is subject to cancellation pursuant to the provisions of A.R.S. § 38-511. 5. The foregoing paragraphs contain all the changes made by this Second Amendment. All other terms and conditions of the Agreement remain the same and in full force and effect.
