APS TAKE CHARGE PROGRAM 
ELECTRIC VEHICLE CHARGING EQUIPMENT 
TRANSFER OF OWNERSHIP AND ACKNOWLEDGEMENT 
 
This Transfer of Ownership and Acknowledgement (“Transfer and Acknowledgement”) 
is entered into between Maricopa County (“Customer”) and Arizona Public Service 
Company (“APS”) (each a “Party,” and together, the “Parties”) as of the Effective Date 
(as defined below). Reference is made to the Electric Vehicle Charging Station 
Agreement (the “Agreement”) entered into between the Parties. Capitalized terms in this 
Transfer and Acknowledgement have the same definition as those in the Agreement, 
unless otherwise defined herein. 
 
Your Agreement is set to expire on 1/24/2027. Pursuant to Section 8(b) of the Agreement, 
the Customer may elect to take ownership of the Charging Station(s) at the end of the 
Term. Customer elects, and APS agrees, to take ownership of the Charging Station(s) 
prior to the end of the Term, on 3/11/2026 (the “Effective Date”). As of the Effective 
Date, APS hereby transfers to the Customer the Charging Station(s) and Infrastructure, as 
defined below. Customer shall have title and full rights to the Charging Station(s) and 
Infrastructure and acknowledges and agrees that the Charging Station(s) and 
Infrastructure are being transferred to Customer “as is” and without any warranty of any 
kind. Customer further acknowledges that upon transfer of the Charging Station(s) and 
Infrastructure, APS will have no further responsibility or liability for the removal or 
disposal of the Charging Station(s) or Infrastructure. Customer assumes all obligations, 
costs, and liabilities associated with the continued use, disposition or disposal of the 
Charging Station(s) and Infrastructure in compliance with all applicable laws and 
regulations. 
 
As of the Effective Date, the Customer agrees to take full responsibility for the operation 
and maintenance of the Infrastructure and Charging Station(s). “Infrastructure” is defined 
as the physical structures necessary or beneficial to the operation of the Charging Stations 
from the Point of Delivery. “Point of Delivery” in the case of overhead service is the 
point at which APS’s service conductors terminate at the weatherhead or bus riser. “Point 
of Delivery” in the case of underground service is the point at which APS’s service 
conductors terminate in the service equipment. In the case of Point of Delivery for 
underground service, Customer must maintain any risers, raceways, or termination 
cabinet necessary for routing APS’s underground service conductors. For the sake of 
clarity, Infrastructure may include, but is not limited to, service equipment, transformers 
(used downstream from the APS meter), risers, conductors between the Point of Delivery 
and the Charging Stations, shut-off switches, bollards, and signage. 
 
Pursuant to Section 8(b) of the Agreement, APS has performed a fair market value 
analysis of the Charging Stations and assess that value as $49,312.25. 
 
The transfer of the electric vehicle Charging Station(s) and Infrastructure may have tax 
implications. APS will not issue a Form 1099 upon transfer of ownership but advises the

Customer to consult a tax advisor regarding possible tax liability resulting from the 
transfer. 
Following the Effective Date and execution of this Transfer and Acknowledgement, APS 
will release the easement and/or license agreements attached to the Charging Station.
