Statement of Work
Solution: Community Health Worker Integration Pilot

This Statement of Work (“SOW”) is an Attachment that is incorporated by reference into the 
CommunityCares Agreement (the “Agreement”). This SOW is subject to the terms and conditions 
contained in the Agreement between the parties and is made a part thereof. In the event of any 
conflict or inconsistency between the terms of this SOW and the terms of the Agreement, the 
terms of this SOW shall govern and prevail. The exhibit(s) to this SOW, if any, shall be deemed 
to be a part hereof. In the event of any inconsistencies between the terms of the body of this SOW 
and the terms of the exhibit(s) hereto, the terms of the body of this SOW shall prevail.

1.0
Definitions: All capitalized words and phrases not defined in this Statement of Work have 
the meanings given elsewhere in the Agreement, including in the Cover Sheet and the 
HIE General Terms and Conditions. 
a.
“Effective Date” means the later of January 1, 2025, or the date of last signature 
on this SOW (for SOWs executed after January 1, 2025).
b.
“Implementation” means the installation and initial testing of the services described 
in this SOW.
2.0
Contexture Solution: Contexture will use commercially reasonable efforts to provide the 
following Solution:
Community Health Worker Integration Pilot
The Community Health Worker Integration Pilot is a pilot initiative led by the City of Tempe to 
integrate Community Health Workers (CHWs) into emergency response efforts alongside 
Tempe Fire Medical Rescue. The program aims to address high utilizers of the 9-1-1 system, 
particularly those at risk of opioid misuse and overdose, by connecting them to care and social 
services through the CommunityCares closed-loop referral platform. The initiative supports 
health priorities, strengthens cross-sector collaboration, and seeks to improve referral 
completion, reduce emergency service overuse, and expand access to coordinated care.
3.0
Contexture Obligations
a.
General Obligations:
i.
Project and Implementation Support. Contexture will assign a 
Community Advisor to oversee implementation, scheduling, and pilot 
execution, including all activities in Section 4 that require Contexture 
participation. The Advisor will coordinate with Tempe Fire Medical Rescue 
and the City of Tempe Human Services Department.
ii.
Ongoing Technical Assistance & Monitoring Support. Contexture will 
provide ongoing technical assistance and monitor referral completion, 
CHW billing, and data tracking.
iii.
Invoice Payment. Contexture will provide timely invoice payment for 
services rendered, up to the not to exceed amount described in Section 5.
4.0
Participant Obligations: Participant agrees to support the implementation of the CHW 
Integration Pilot as follows:
a.
General Obligations:

i.
Make the necessary personnel available for implementation, including 
CHWs and administrative staff.
ii.
Participate in monthly and ad-hoc meetings with Contexture and project 
partners, as appropriate. 
iii.
Ensure timely submission of invoices. 
iv.
Ensure HIPAA compliance.
v.
Cooperate with all reasonable requests from Contexture relating to the Pilot 
implementation and any necessary reporting. 
vi.
Pilot Lead Functions: 
1.
Establish Project Governance and Partnerships  
a.

2.
System Setup and Integration  
a.
Work with Contexure to implement the CommunityCares 
platform across all participating entities. 
b.
Integrate CommunityCares with existing City systems and 
CBO workflows where feasible, including optional Electronic 
Health Record (EHR) connections. 
c.
Configure referral pathways for opioid misuse, overdose, 
diabetes and other social determinants of health. 
d.
Ensure data security, privacy compliance, and HIPAA 
adherence for all users. 
3.
Staff Onboarding and Training
a.
Recruit and onboard two CHWs to work alongside Tempe 
Fire Medical Rescue. 
b.
 Conduct training on CommunityCares platform usage, 
referral tracking, and documentation requirements. 
c.
Provide cross-system training with Tempe Fire and CBO 
staff to ensure seamless collaboration. 
d.
Include billing training to enable CHWs and partner CBOs 
to submit claims for Medicaid/Medicare services. 
4.
Pilot Implementation   
a.
Launch a pilot phase with a defined cohort of 9-1-1 high 
utilizers and partner CBOs. 
b.
CHWs conduct outreach, intake, and referral entry into 
CommunityCares. 
c.
 Monitor referral completion rates, client engagement, and 
billing submissions. 
d.
 Collect feedback from CHWs, Tempe Fire, and CBOs to 
refine workflows.
vii.
Submission of a close-out report upon the end of the pilot. 
viii.
Project Delays. Contexture and Participant acknowledge that delays 
beyond their control may occur during the project, including but not limited

to, obtaining approvals and resource availability. Participant is accountable 
for engaging its vendor(s) and working to mitigate any delays caused by 
vendor organization(s).
5.0
Incentives and Payment: The following incentives are payable to Participant by 
electronic means (such as e-check or ACH transfer), unless Contexture determines that 
is not feasible. Incentives are non-refundable.
a.
Incentives Structure
i.
Incentives will be paid based on the milestones described below: 
1.
$50,000- Signature of a CommunityCares Access Agreement, 
begins using the CommunityCares system and agrees to receive 
referrals for at least one service. 
2.
$10,000- Resolution of first 5 CHW referrals. 
3.
$10,000- Completion of all Pilot Function Activities in Section 4 and 
submission of close-out report. 
ii.
Not to Exceed Amount: Invoices will be paid up to a not to exceed amount 
of $70,000. 
b.
Invoicing and Payment.
i.
Invoices shall be submitted by Participant upon milestone attainment, no 
later than one month following milestone attainment. 
ii.
Invoices shall contain all relevant information to support payment, including 
relevant data from the CommunityCares platform to support utilization and 
case resolution for payment. 
iii.
Contexture shall pay invoices within 45 days of receipt. 
iv.
Incentive payment is based on the availability of funds. 
v.
Participant shall provide an email address to Contexture for electronic 
invoicing and shall update Contexture within 14 business days of any 
change in that email address. 
6.0
Term, Termination and Suspension:
a.
Term:  The term of this Agreement shall run from the Effective Date until December 
31st of the year contract signed, or until the not to exceed amount in Section 5 is 
reached, whichever is first. 
b.
SOW Renewal: If the not to exceed amount is not met by December 31, 2025, this 
SOW will automatically renew for additional one (1) year terms, beginning January 
1st after the expiration of the initial term, until the not to exceed amount is ultimately 
met. 
c.
SOW Termination: SOW may be terminated by either Party without terminating 
the entire Agreement for any reason. 
7.0

Each of the individuals signing below on behalf of either Party hereby represents and 
warrants that they are signing with full and complete authority to bind the party, and each 
identified Affiliate listed in Exhibit C on whose behalf they are signing to each term of this 
SOW. Participant affirms and agrees that (i) each Affiliate is a Participant under the entire 
Agreement and (ii) the signer below agrees on behalf of each Affiliate to all applicable 
terms of the Agreement, including, but not limited to, the HIE General Terms and

Conditions, any applicable Special Terms and Conditions, and the Business Associate 
Agreement/Addendum.
