ACTION:  Adopt a resolution authorizing the Mayor to execute Addendum No. 2 and Release (C95-
136A2) Linoff Parking Agreement. (Resolution No. R2026.14)
FISCAL IMPACT:  Approval of this action will terminate the City’s receipt of parking rental revenue in 
the amount of $532.87 per month under the Linoff Parking Agreement. The associated revenue is no 
longer anticipated. The parking spaces will revert back to the City of Tempe for future use.
RECOMMENDATION:  Adopt Resolution No. R2026.14.
 
BACKGROUND INFORMATION:  On August 22, 1996, the City of Tempe (“City”) and Linoff 
Development Company, Inc., now known as Linoff Investments, LLC (“Linoff”), entered into the Linoff 
Parking Agreement (C95-136), which provided for the use of certain parking spaces associated with the 
Linoff property. On September 8, 2016, the City and Linoff approved a First Amendment to the Linoff 
Parking Agreement, which was recorded with the Maricopa County Recorder at Docket No. 2016-
0664370.
Linoff has since determined that neither it nor the Linoff property has a continued need for the parking 
spaces provided under the Parking Agreement. As a result, the City and Linoff have mutually agreed 
that it is in the best interest of both parties to release one another from the obligations set forth in the 
original Parking Agreement and the First Amendment.
This Second Amendment and Release formalizes the mutual release of obligations between the City 
and Linoff. Council approval is required to authorize the Mayor to execute Addendum No. 2 and Release 
(C95-136A2).
