A RESOLUTION OF THE MAYOR AND COUNCIL OF THE CITY
OF SURPRISE, ARIZONA APPROVING A FIRST AMENDMENT
TO AN INTERGOVERNMENTAL AGREEMENT BETWEEN THE
CITY OF SURPRISE AND THE CITY OF EL MIRAGE FOR
SHARING FIRE-MEDICAL RECORD SOFTWARE.

WHEREAS, pursuant to Arizona Revised Statute §11-951, et seq., the City of
Surprise has the authority to enter into intergovernmental agreement with other
governmental entities for the purposes set forth within;

WHEREAS, the parties entered into an Intergovernmental Agreement on June 2,
2020 for the sharing of certain Fire-Medical software, the Image Trend records
management system (RMS) (the “Intergovernmental Agreement’), which is incorporated
by reference; and

WHEREAS, the parties now wish to amend the Intergovernmental Agreement to
allow for automatic extensions thereunder.

NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council of the City of
Surprise, Arizona, as follows.

Section 1. The First Amendment to the Intergovernmental Agreement between
the City of Surprise and the City of El Mirage, attached as Exhibit A, is approved.

Section 2. The City Manager, or his designee, is hereby authorized to execute
and submit all documents and other necessary or desirable instruments in connection
with said agreement.

EXHIBIT A

FIRST AMENDMENT TO
INTERGOVERNMENTAL AGREEMENT
BETWEEN THE CITY OF SURPRISE
AND THE CITY OF EL MIRAGE
FOR SHARING FIRE-MEDICAL RECORD SOFTWARE

This First Amendment to the above-named Intergovernmental Agreement (“Amendment”)
is made between the City of Surprise, Arizona (“Surprise”), and the City of El Mirage (“El Mirage”).
Surprise and El Mirage may each be referred to as a “Party” or collectively as the “Parties.”

WHEREAS, the Parties entered into an Intergovernmental Agreement dated June 2, 2020
(“Agreement”) for the sharing of Fire-Medical record software, which is hereby incorporated by
reference; and

WHEREAS, the Parties now wish to amend the Agreement to implement an auto-renewal
of the Agreement each year.

NOW, THEREFORE, in consideration of the foregoing recitals, the following mutual
representations and promises, and other good and valuable consideration the receipt and
sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. The second sentence of Section 1 (Effective date/Duration) is hereby replaced entirely
with the following sentence(s):

The initial term of this Agreement shall be from the effective date through midnight
on June 30, 2020, and shall automatically renew itself annually upon the first day
of July each year without further action of the Parties. Either Party may terminate
the Agreement, pursuant to this section, by providing written notice to the other
Party at least thirty (30) days from the date of annual renewal of that Party’s intent
to terminate.

2. The foregoing recitals are incorporated by reference, as if fully set forth herein.

3. To the extent that the terms and conditions set forth in the Agreement vary from those in
this Amendment, the provisions of this Amendment shall take precedence.

4. All other terms and conditions contained in the Agreement shall remain in full force and
effect.
