MAINTENANCE AND
SUPPORT AGREEMENT
MorphoTrak, LLC, ("MorphoTrak" or "Seller") having a principal place of business at 5515 E. La
Palma Avenue, Suite 100, Anaheim, CA 92007 and El Mirage Police Department ("Customer"),
having a place of business 12401 W, Cinnabar Avenue, El Mirage, AZ 05335 enter Into this
Maintenance ancl Support Agreement ("Agreement"), pursuant to which Customer will purchase
and Seller will sell the maintenance and support services as clescribed below and In the allached
exhibits. Seller and Customer may be referred lo lndlvldually os "party" and collectively as
"parties."
For good and valuable consideration, the parties agree as follows.
Section 1.
EXHIBITS
The Exhibits listed below are Incorporated Into oncl made a part of this Agreement. In Interpreting
this Agreement and resolving any ambiguities, the main body of this Agreement will take
precedence over the Exhibits and any Inconsistency between the Exhibits wlll be resolved In the
order In which they are listed below.

DEFINITIONS
"Equipment" means the physical hardware purchased by Customer from Seller pursuant to a
separate System Agreement, Products Agreement, or other form of agreement.
"MorphoTrak" means MorphoTrak, Inc.
''MorphoTrak Software" means Software that MorphoTrak or Seller owns. The term includos
Product Releases, Standard Releases, and Supplemental Releases.
"Non·MorphoTrak Software" means Software lhal a party other IIH111 MorphoTrak or Seller owns.
"Optional Technical Support Services" means fee·basocl technical support services that aro not
covered ns part or the slnnclarcl Technical Support Services.
"Patch" moans a specific change lo lho Software that does not require a Release.
"Principal Period of Maintenance" or "PPM" means tho speclllocl days, and limes during tho days,
that 111atnI0na11ce ancl support services will bo provided unclor this /\groemonl. Tho PPM setoctecl
by Customer Is Indicated 111 lho Support Plan Options ancl Pricing Worksheet.
"Products" moans tho Equlp1110nl (If applicable ns lnclicatecl in tho Doscrlplion of Covorocl
l'roclucts) and Software proviclocl by Seller.
"11eleases" means an Update or Upgrade to tho Morph0Tral1 Software and aro characterlzocl as
"Supplomontal Roloasos," "Stanclarcl Releases," or "Product f1oloasos."

configuration, a Supplemental Release might not be applicable. Supplemental Releases are
ldentirled by the third digit of the three-digit release number, shown here as underllnacr: "f .2.~". A
"Standard Release" Is defined as a major release or MorphoTrak Software that contains product
enhancements and Improvements, such as new databases, modifications to databases, or new
servers. A Standard Release may Involve rile and database conversions, System configuration
changes, hardware changes, additional training, on-site lnstallallon, and System downtime.
Standard Releases are Identified by the second digit or the three-digit release number, shown
here as underlined: "1.g,3". A "Product Release" Is defined as a major release or MorphoTrak
Software considered lo be the next generation or an existing product or a new product offering.
Product Releases are ldenlified by Iha first digit of the three-digit release number, shown here as
underlined: "1,2.3". II a question arises as to whether a Product otrering Is a Standard Release or
a Product Release, MorphoTrak's opinion wlll prevail, provided that MorphoTrak treats the
Product offering as a new Product or feature for Its encl user customers generally.
"Residual Error" moans a software mallunction or a programming, coding, or syntax error that
causes Iha Software to fall to conform to the Specifications.
"Services" means those maintenance and support services described In the Support Plan ancl
provided under this Agreement.
"Sollware" means the MorphoTrak Sollwme and Non-MorphoTrak Software that Is furnished with
the System or Equipment.
"Specifications" means the design, form, funclionality, or performance requirements described In
published descriptions of the Software, and If also applicable, In any moclilicatlons to the
published specifications as expressly agreed to In writing by the parties.
"Standard Business Day" means Monday through Friday, 8:00 a.m. to 5:00 p.111. local limo,
excll1dlng ostabllshed MorphoTrak holidays.
"Standard Business Hour" moans a sixty (60) minute porlocl or time within a Slanclarcl Business
Day(s).
"Start Date" means Iha elate upon which this Agreement boglns. The Start Date Is specified 111 the
Support Plan Options and Pricing Worksheet.
"System" means the Products and sorvlcos provldocl by Seller ns a system as more fully
described In tho Technical and lmplementatlon Documents attached as oxhiblls lo a Systom
AgreeInen1 between Customer and Seller (or MorphoTrak).
''Technical Support Sorvlcos" moans Iha romoto telephonic support provlclocl by Soller on a
standard and centralized basis concerning the Products, Including diagnostic services ancl
troubleshootlng lo asslsl Customer 111 ascerlalnlng the nature of a problem being experienced by
tho Customer, minor assistance co11c0rnin(J tho use ol lite Software (Including advising or
nssisting tho Customer 111 attempting data/database recovery, c.Jotabase sol up, clionl-sorvor
advice), and assistance or advice on Installation or Releases provided under this Agree1110111.
"Update" means a Supplomontal Release or a Standard Release.
"Upgrade' means a Product Roloaso.

Section 3.
SCOPE AND TERM OF SERVICES
3.1.
In accordance wllh lhe provisions ol this Agreement and In conslderntion ol the payment
by Customer of the price for tho Services, Seller will provide to Customer the Services In
accordance with Customer's selecllons as Indicated In tho Support Plan Opllons and Pricing
Worksheet, and such Services will apply only to the Producls described In the Description ol
Covered Products.
3.2.
The Term ol this Agreement will commence upon the Start Dalo and will conllnuo until
Iha fourth anniversary of the EHective Date unless either party nolifies the olher of Its fnlenlion to
1101 renew Iha Agreement (In whole or part) not less than thirty (30) clays before the anniversary
dale or lhis Agreement Is lermlnaled for default by a party.
3.3.
This Agreement covers all copies of Iha specified Software llslod In the Description of
Covered Products lfial are licensed by Seller to Customer. If tho price for Services Is based upon
a per unit lee, such price will be calculated on the total number of units of tho Software lhat are
licensed to Customer as of the beginning of the annual maintenance and support period. If,
during an annual maintenance and supporl period, Customer acquires additional units of the
Software that Is covered by this Agreemenl, tho price for maintenance and support services for
those addltlonal units will be calculated and added to the total price either (1) If and when lhe
annunl maintenance and support period Is renewed or (2) Immediately when Customer acquires
Iha aclclitlonaf units, as MorphoTrak determines. Seller may adjust the price of the maintenance
and support services effective as ol a renewal If It provides to Customer notice of the price
adjustment at feast lorty•llve (45) clays before the explrallon ol lhe annual maintenance and
support period.
ff Customer notifies Seller of Its Intention not to renew this Agreement as
permitted by Section 3.2 and later wishes to reinstate lhls Agreement, II rnny do so with Seller's
consent provided (a) Customer pays lo Seller the amount that II would have paid If Customer Imel
kepi this Agreemenl current, (b) Customer ensures that all applicable Equipment Is In good
operallng conditions al the time of relnstalement, and (c) all copies ol the specified Software
listed In Iha Description of Covered Products mo covered.
3.'I.
When Soller performs Services at the location of lnslallecl Producls, Cuslomer agroos to
provlclo to Soller, al no charge, a non-hazardous environment for worl1 with shelter, heat, llght,
and power, and with lull and free access lo the covered Products. Customer will provide all
information pertaining to Iha hardware Mel software with which tho Products are Interfacing to
enable Seller to perform lls obligations under this Agreement.
3.5.
All Customer requests for covered Services will be made inltlally with tho call intako
cantor ldontlflecl In the Support Plan Options and Pricing Worksheet.
3.6.
Saller will provide lo Customer Technical Support Services and Releases as follows:
3.6.1. Soller will provide unlimllocl Technical Support Services and correction of Fleslclual
Errors during tho PPM In c1ccorclanc0 with the exhibits. The level of Technical Support clopencls
upon the Customer's solectlon as lnclicnted In the Supporl Plan Options nncl Pricing Worl<sheel.
/\ny Tochnlcal Support Services that are performed by Soller outside tho conlrnctecl PPM and
any f·leslclual Error corroctlons that mo outside tho scope shall be billed al the tfu~n currenl hourly

3.6.2. Unless olherwiso slated In paragraph 3.6.3 or If the Supporl Plan Options and
Pricing Worl<sheet expressly provides to the contrary, Soller will provide to Customer without
addllional license lees an available Supplemental or Standard Release aftor receipt or a requosl
lrom Customer, but Cuslomor musl pay lor any lnstallallon or other services and any nocossary
Equipment or lhlrd party sollwaro provlcfecl by Soller In connection with such Supplementc1f or
Stnndard Release.
Any services wlll be performed In accordnnco with a mulually agreed
schedule.
3.6.3
Soller will provide to Customer an avallable Product Release afler receipt of a
request from Customer, but Customer must pay for all additional license feos, nny lnstallnllon or
other services, and any necessary Equipment provided by Seller In connection with such Product
Release. Any services will be performed In nccordanco with n mutunlly agreed schedule.
3.6.4.
Soller does not warrant that a Release will moot Customer's pnrtlcular
requirement, operate in tho combinations that Customer will select lor use, be uninterrupted or
error-free, be backward compatible, or that all errors will be corrected. Full compalibllity of a
Release with the capabllltles and funcllons of earlier versions of the Soltware may not be
technlcally feasible.
II II Is technlcally feasible, services to Integrate those capabllitlos and
functions to the updated or upgraded version of the Sollware may be purchased at Customer's
request on a lime and materials basis at Seller's then current rates for professional services.
3.6.5.
Seller's responsibllillos under this Agreement to provide Technical Support
Services shall be limited to the current Standard Release plus the two (2) prior Standard
Releases (colleclively referred to In this section as "Covered Standard Releases.").
Notwilhstanding the preceding sentence, Soller will provide Technical Support Services for o
Severity Level 1 or 2 error concerning a Standard Release that precedes Iha Covered Standard
Releases unless such error has been corrected by a Covered Standard Roleaso (In which case
Customer shall Install the Standard Release that fixes the reported orror or terminate this
Agreement as to the applicable Sollwaro).
3.7.
The maintenance and support Services described In this Agreement are the only covered
services. Unless Optional Technical Support Services aro purchased, these Services specifically
exclude and Soller shall not be responsible for:
3.7.1.
Any service work roqulrecl due to Incorrect or laulty op0ratlo11al conclillons,
Including but not limited to Equipment not connected directly to an electric surgo protector, or not-
properly malntalnocl In nccordnnco wilh the manufacturer's gulclolines.
3.7.2.
Tho repair or replacement ol Products or parts resulting from falluro of 1110
Cuslomer's facilities, Customer's personal property and/or devices connooled to the System (or
lntorconnocted to devices) whothor or not lnslallecl by Seller's ropresontalives.
3.7.3. Tho repair or roplacement of Equipment l11at has bocorno dofoclivo or damaged
duo to physical or chemical rnlsuso or abuse, Customer's negligence, or lrom causes such as
lightning, power surges, or liquids.

worlclwicle web, or lor Equipment mallunclion caused by such transmission medium.
3.7.5. Accessories, custom or Special Products; modillecl units; or rnoclifiod Software.

unauthorized by Seller or tho lailuro of lho System cluo to oxtraorcllnary uses.

3.7.7. Opornlion oncl/or runctionnlily or Customer's personal properly, equipment, and/or
porlphernls and any applicatlon software not provided by Seller.
3.7.8. Services lor any roplacemont or Producls or parts directly related to tho removal,
relocation, or rolnstallatlon of the System or nny System component.
3.7.9. Services to diagnose technical issues caL1sed by the installation of unauthorlzod
componenls or misuse of the System.
3.7.1 O SeNices to diagnose malfunctions or lnoperability or Iha Software caused by
changes, nddHlons, onhancomenls, or modifications In the Customer's platform or In Iha
Sortware.
3.7.11
Services to correct errors round to be caused by Customer-supplied data,
machines, or operator !allure.
3.7.12. Operational supplies, lnclucling but not limllocl to, printer paper, printer ribbons,
toner, photographic paper, magnetic tapes and any supplies In addition to that delivered with Iha
System; battery replacement for uninterruplible power supply (UPS); office furniture Including
chairs or workslalions.
3.7.13. Third-party sortware unless specifically listed on the Descrlpllon or Covered
Products.
3.7.14. Supporl of any inlerlace(s) beyond Seller-provided port or cable, or any services
that aro necessary because third party hardware, sollware or supplies fall lo conform to lho
speclllcations concerning the Products.
3.7.15. Services rolatecl lo customer's failure to back up Its dala or !allure to use an UPS
system to protect against power Interruptions.
3.7.16.
/\ny design consultation such as, but not limited to, configuration analysis,
consultation with Customer's third-party provlder(s), and System analysis for modifications or
Upgrades or Updates which are not directly related to a Residual Error report.
3.8.
The Customer hereby ngrees to:
3.0.1. Maintain Hny ancl all electrical and physical environments in accordance with tho
System manuracturor's speclricalions.
3.8.2.
Provide standard lnduslry pr0caut1011s (o,g. bacl1-up files) ensuring clatalJaso
security, por Seller's recommenclecl backup procedures.
3.0.3. Ensure System accessillilily, which lncluclos physical access lo buildings as woll
,is remote electronic access. Hemote access can bo stipulated ancl schecluled wllh customer;
llowover, remote access Is required and will nol be subsliluted with on-site visits II accoss is nol
allowed or available.
3.0.4. Appoint one or more qualillecl 0111ployees to perlor111 Systorn Administration duties,
including acting as a primary point or contact to Seller's Customor Support organization for
roportlng ancl verifying problems, and performing System backup. At least one member or tho
System Aclrnlnlstrators group should havo completed Seller's End-User training nnd System
Aclmlnlstrntor training (if nvallable).
Tho comblnecl slillls or this Systom Aclmlnistrators group

updating, adding, and d0lellng Sysl0111 mid user information, and lh0 cli0nl, server and stand
alone personal computer hardware. Th0 System Administrator shall follow the Residual Error
reporting process described herein and make all reasonable efforts lo duplicate nnd verily
problems and assign a Severity Level according to definitions provided herein. Customer ngrees
lo use reasonable efforts to ensure 11ml all problems are reported and verified by the System
Admlnlslrnlor beroro reporting them to Seller. Customer shall nsslst Soller In determining that
errors are not the product of tho operation or an external system, data llnl<s between system, or
network administration Issues. If a Severity Level 1 or 2 Resldunl Error occurs, any Customer
ropresenlalive rnay contact Seller's Customer Support Center by telephone, but the System
Administrator must follow up wilh Seller's Customer Support as soon as practical thereafter.
3.9.
In performing repairs under this Agreement, Seller may use parts that are not newly
manufnctured but which are warranted to be equivalent to new in performance. Paris replaced by
Seller shall become Seller's property.
3.1 O
Customer shall permit and cooperate wilh Seller so th al Soller may periodically conduct
nudlts of Customer's records and operations pertinent to the Services, Products, and usage ol
application and data base management software. If the results ol any such audit Indicate t11c11
price has been understated, Seller may correct the price and Immediately Invoice Customer for
the difference (as well as any unpaid but owing llcens·e fees). Seller will limit the number or audils
to no moro limn one (1) per year except Seller may conduct quarterly audits If a prior nudit
Indicated the price had been understated.
3. 11 .
If Customer replaces, upgrades, or modifies equipment, or replaces, upgrades, or
modifies hardware or software that Interfaces with the covered Products, Soller wlll have tho right
to adjust tho price for the Services to tho oppropriate current prico for the new configuration.
3.12
Customer shall agree not to attompl or apply any update(s), alteratlon(s), or chnnge(s) to
tho database soflwme without the prior npproval of the Seller.
Section 4.
RIGHT TO SUBCONTRACT AND ASSIGN
Seller may assign Its rights and obligations under lhls Agroernenl nnd may subcontract any
portion of Seller's perlormance called for by this Agreement.
Section 5.
PRICING, PAYMENT AND TERMS
5.1
Prices In United States dollars me shown In Iha Support Plan Options and Pricing
Worl<sheol and nre subject to a 5% escalnlion fee lor ench subsequent support year. Unless this
exhibit oxpressly provides to the contrary, the price Is payable annunlly In advance. Sellar will
provide to Customer an lnvoico, and Customer will mal<o payments to Sailor within twenty (20)
clays after the elate ol each invoice. During tho torm of this Agreemonl, Customer will mal<e
paymonts when duo in the form ol a check, cashier's check, or wire transfor drawn on o Unltod
States flnanclal Institution.
5.2.
Ovordue Invoices will boar simple Interest al the rate of ten percont ( f 0%) por nnnum,
unless such rato oxceocls the maximum allowed by law, In which case It will be reducocl to tho

5.3

upon Seller, Customer shalt reimburse Soller upon receipt of proper documentation of such
assessments.
Section 6.
LIMITATION OF LIABILITY
This limitation of liability provision shall apply notwithstanding any contrnry provision In
this Agreement. Except for personal Injury or death, Seller's (Including any of Ila nlllllated
companies) total llablllty arising from this Agreement will be llmlted to tho direct damages
recoverable under law, but not to oxceed the price of the maintenance and support
services being provided for one (1) year under this Agreement. ALTHOUGH THE PARTIES
ACKNOWLEDGE THE POSSIBILITY OF SUCH LOSSES OR DAMAGES, THEY AGREE THAT
SELLER (INCLUDING ANY OF ITS AFFILIATED COMPANIES) WILL NOT BE LIABLE FOR
ANY COMMERCIAL LOSS; INCONVENIENCE; LOSS OF USE, TIME, DATA, GOOD WILL,
REVENUES, PROFITS OR SAVINGS; OR OTHER SPECIAL, INCIDENTAL, INDIRECT, OR
CONSEQUENTIAL DAMAGES IN ANY WAY RELATED TO OR ARISING FROM THIS
AGREEMENT, THE SALE OR USE OF THE SYSTEM, EQUIPMENT OR SOFTWARE, OR THE
PERFORMANCE or SERVICES BY SELLER PURSUANT TO THIS AGREEMENT.
This
limitation of llablllty wlll survive tho expiration or termination of this Agreement. No action
for breach of this Agreement or otherwise relating lo tho transactions oontemplated by
this Agreement may be brought more than one (1) year after tho accrual of such causo of
action, except for money due upon on open account.
Section 7.
DEFAULT/TERMINATION
7.1. If MorphoTrak broaches a material obligation under this Agree111enl (unless Customer or a
Force Majeure causes such failure of performance), Customer may consider MorphoTrak to be in
default. If Customer asserts a default, II will give MorphoTrak wrlllen and detnllecl notice of the
default. MorphoTrak will have thirty (30) clays lheroaftor oliher to dispute tho assertion or provide
a w,illen plnn to cure the default that Is acceptnble lo Customer. H MorphoTrak provides a cure
plan, It wlll begin lmplementlng the cure plan lmmocllately alter receipt or Customer's npproval of
the plan.
7.2.
II Customer breaches a lllaterlc1I oblig«llon under this Agreernenl (unless MorphoTrak or
a Force Majeure causes such failure ol perlormance); If Customer breaches a material obligation
under the Sollwaro License Agreement that governs the Sortwaro covered by this Agroemenl; or
If Customer falls to pay any amount when clue under this /\groemonl, Indicates that Ii Is unable to
pay any c1111ount when due, Indicates It Is urrnble lo pay Its debts generally as they become duo,
files a voluntary petition under banlm1ptcy law, or falls to have dismissed within ninety (90) clays
any Involuntary petition under bankruptcy law, MorphoTrnl< nrny consider Custolllor to be In
default. If MorphoTrak osserts a default, It will give Customer wrlilen ond cletallod notice of tho
dofault and Customor will have thirty (30) d11ys lherec1lter to (I) dispute tho assertion, (ii) cure any
111onelmy default (Including Interest), or (iii) provide a written plan to cure tho clofaull that Is
c1ccoptable lo MorphoTrnlc II Customer provides fl cure plan, It will begin Implementing tho curo
plan Immediately alter receipt of MorphoTrnk's approval of tho plc1n.

of this Agreement and may pursue any legal or equitable remedies available to It subject to Iha

this Agreernenl. Confidential lnformalion shall include: (a) proprielary materials and Information
regarding technical plans; (b) any and all other Information, of whatever type and In whatever
medlllm Including data, dovelopmonts, trade secrets and Improvements, that Is disclosed by
Seller to Customer In connection with this Agreement; (o) all goographlc Information system,
address, telephone, or like records and datn provided by Customer to Seller in connection with
this Agreement tlrnt is required by lnw to be held confidential.
Secllon 8.
GENERAL TERMS AND CONDITIONS
8.1.

writing and either dallverad in parson or sent to tho address shown below by certified mall, return
