All work to be completed in a professional manner according to standard practices. Any alteration or deviation from above specifications involving extra costs will become an extra charge over and above the estimate. Redhawk Solutions carries general liability and workers compensation insurance. EXCLUSIONS: Unless otherwise noted, this proposal price does not include permits (grading, traffic control, dust control, hauling, demolition, etc...), SWPP details (silt barrier, hay bales, track-out control, etc...), removal of any non-native trees/vegetation, moving of boulders, removal and/or handling of any hazardous materials or horse manure, dust control out of specific area of work or off project site, over-excavation, barricades, or safety fencing, 2. NOT APPLICABLE 3. PAYMENT: Mobilization payments are due prior to start of work. Unless otherwise agreed in writing, payment for work is due immediately upon completion. Any balance still due past such date will be charged interest at 1.5% per month. All outstanding invoices must be paid in full before any subsequent phases will be commenced. It will be the full responsibility of the contractor to pay all accrued interest and legal fees incurred by Redhawk Solutions LLC. to obtain full payment. The undersigned person for contractor personally guarantees payment to Redhawk Solutions LLC. If the undersigned is married both partners must sign. 4. This proposal may be withdrawn by us if not accepted and construction commenced within 30 calendar days of bid date. 5. Once this Proposal is signed and all necessary deposits are received Redhawk Solutions LLC. will proceed with the Work per the verbal direction of the Contractor and as coordinated with our schedule. Contractor is solely liable to obtain any/all building permit, demo permit, grading permit, dust control permit and/or any other necessary permits or approvals before commencement of work and to ensure they are active and properly posted. It is not the responsibility of Redhawk Solutions LLC to obtain and/or confirm issuance of any/all necessary permits. Any cost incurred due to down time, de-mobilization, and/or re-mobilization due to the lack of the Contractor properly procuring the necessary permits will be billed to the Contractor. 6. Contractor shall inspect site and the work prior to final payment to Redhawk Solutions LLC. To verify that the work and site conditions are in accordance with the plans and specifications and/or the Contractor’s directions and/or requirements. Final payment constitutes an acceptance of the work and relieves Redhawk Solutions LLC. from any and all liability or responsibility—including indemnity obligations. 7 Any work requested of Redhawk Solutions LLC by Owner and/or Contractor outside of the specific scope of work set forth above will be done on a time and material basis under the terms and conditions set forth in this proposal. Contractor agrees to pay for such requested services billed at the current time and material rates. 8. Redhawk Solutions LLC. shall not be responsible for any defects in its work caused by any other contractors or trades. 9. Redhawk Solutions LLC. will have the opportunity to cure any deficiencies before termination. A written notice must be faxed or hand delivered to our office at above address or fax number, and Redhawk Solutions LLC. will be given five (5) working days to correct any deficiencies. 10. This proposal does not include applicable sales tax. Owner hereby agrees and acknowledges that Owner is liable for any and all transaction privilege tax (sales tax) relating to this proposal and/or project, and due on such contracting activity at time of payment. Owner agrees to pay the cost of sales tax appropriately billed. 11. This agreement is solely for the benefit of the signatories hereto and represents the entire and integrated agreement between the parties hereto and consummates and supersedes all prior negotiations, representations, or agreements, either written or oral. Faxed signatures will be considered legal and binding for this contract and all subsequent approved change orders requiring signatures. Disputes pertaining to this contract shall be resolved under Arizona law in Phoenix, Arizona. 12. To the extent that this proposal conflicts with any other term in the parties’ contract, this proposal shall govern.
