AGREEMENT TO RESURRECT AND MODIFY AND AGREEMENT FOR BILLING 
AND ROUTINE  
OPERATION AND MAINTENANCE SERVICES FOR THE  
CASITAS BONITAS SANITARY SEWER IMPROVEMENT DISTRICT 
 
This Agreement to Resurrect and Modify the Agreement for Billing and Routine Operation 
and Maintenance Services for the Casitas Bonitas Sanitary Sewer Improvement District 
(“Amendment”) is entered into this 20th  day of August, 2025 by and between Casitas Bonitas 
Sanitary Sewar Improvement District (“CBID”), a county improvement district administered by 
the Office of the Superintendent of Streets of Maricopa County, Arizona, and Liberty Utilities 
(Sub) Corp. (“Liberty”), an Arizona corporation.  Liberty and CBID may be referred to 
individually as a “Party” or collectively as the “Parties” in this Amendment. 
 
RECITALS 
 
 
WHEREAS, Liberty and CBID entered into the Agreement for Billing and Routine 
Operation and Maintenance Services for the Casitas Bonitas Sanitary Sewer Improvement District 
(“Agreement”) on November 17, 2021.  The Agreement was for a term of 12 months.   
 
 
WHEREAS, the Parties desire to resurrect and modify the term of the Agreement to make 
the Agreement for a term of 24 months from the date of this Amendment. 
 
  
NOW THEREFORE, in consideration of the mutual promises contained herein, and other 
good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, 
the Parties hereby agree as follows: 
 
RESURRECTION AND MODIFICATION 
 
A. 
The Agreement is hereby resurrected as if it had never expired. 
 
B. 
The Term of the Resurrected and Modified Agreement shall be from the Effective 
Date of this Amendment and shall continue for a period of 24 months from the Effective Date 
unless otherwise terminated by the Parties as set forth in the Agreement.  The Effective Date shall 
be the date when both Parties have executed this Amendment.  In the event neither party has 
terminated this Agreement upon 24 months from the Effective Date, the Agreement shall continue 
on a month-to-month basis until terminated as set forth in the Agreement.  
  
C. 
Except as modified by this Amendment, the Agreement shall remain unchanged 
and in full force and effect.   
 
D. 
The terms used in this Amendment, unless otherwise defined herein, shall have the 
meanings as set forth in the Agreement. 
 
E. 
In the event of a conflict or inconsistency between the terms and conditions of this 
Amendment and the Agreement, the terms and conditions of this Amendment shall control.    
 
F. 
The Agreement is subject to cancelation pursuant to A.R.S. § 38-511.
