AMENDMENT NO. 4 TO TRANSPORTATION SERVICE CONTRACT SERVICE AGREEMENT BETWEEN THE CITY OF EL MIRAGE AND NORTHWEST VALLEY CONNECT THIS AMENDMENT NO. 4 to the Transportation Service Contract service agreement is made and entered into this _16th____ day of __April______, 2024, by and between the City of El Mirage, an Arizona municipal corporation (“City”), and Northwest Valley Connect, an Arizona nonprofit corporation, on behalf of itself (“Contractor”). RECITALS A. WHEREAS, City of El Mirage entered into an agreement with Northwest Valley Connect commencing on July 1, 2020, for the City’s dial-a-ride transportation services (“Agreement”) for an initial contract period of twelve (12) months, until June 30, 2021. B. WHEREAS, the Agreement provides for two (2) additional two (2)-year extension periods in accordance with Section 3.1, TERM AND EXTENSION of the Agreement. C. WHEREAS, City desires to exercise the final extension to extend the Agreement until June 30, 2025. D. The City of El Mirage is authorized and empowered by provisions of the City Code to execute agreements for professional services by and through its City Manager; AGREEMENT NOW, THEREFORE, in consideration of the mutual promises and obligations set forth herein, the parties hereto agree as follows: 1. In accordance with Section 3.1, TERM AND EXTENSION of the Agreement, the term of the Agreement shall be extended through June 30, 2025. 2. All terms, conditions and provisions of the Agreement shall remain unchanged and apply during the renewal period unless otherwise amended. IN WITNESS WHEREOF, the parties have executed this Amendment as of the date and year first set forth above. EXHIBIT “A” ADDENDUM NORTHWEST VALLEY CONNECT Cost Estimate FY 24-25 The cost estimate for FY24-25 reduces the estimate for Accessible Trips and considers the increase in Rideshare demand in the FY23-24 period. A) 1,476 Estimated Accessible Trips 1 to 7 miles (1,400 estimated annual trips) $36 per trip x 1,400 = $50,400 8 to 15 miles (70 estimated annual trips) $48 per trip x 70 = $3,360 16 to 25 miles (6 estimated annual trips) $60 per trip x 6 = $360 26 miles plus - Negotiable - not to be included in cost proposal. Total Annual Estimated Cost of Accessible Trips $54,120 B) 4,795 Authorized Rideshare Provider Trips = $119,875 Total Annual Administrative Fees: 4,795 x $7.50 per trip = $35,963 Total Annual Cost of Rideshare Provider Trips $155,838 C) Senior Bus Program - 1,900 Estimated Annual Trips Monthly Fee: $2,000 per month x 12 = $24.000 Total Annual Cost of Senior Bus Program $24,000 D) Senior Center Group Trips $250 per trip (4-6 hours) x 2 per month x 12 months= $6,000 Total Annual Cost for Senior Center Group Trips $6,000 ---------------------------------------------------------------------------------------------------- Total Annual Cost Proposal (A+ B + C+ D) $239,958 Riders will be charged $2 for each one-way trip and consultant will be responsible for billing the rider.
