May 7, 2024 City of El Mirage Attn: City Manager 10000 North El Mirage Road El Mirage, Arizona 85335 Re: Transportation Service Contract Dear City Manager: The City of El Mirage (“City”) and Northwest Valley Connect (“Consultant”) are parties to a Transportation Service Agreement dated July 1, 2020 (“Agreement”) whereby Consultant provides Dial-a-Ride on-demand door-to-door shared-ride transportation services to qualified residents of El Mirage. We are writing to notify you of the proposed acquisition of Consultant by Foundation for Senior Living, an Arizona nonprofit corporation. Under the terms of the Agreement, Consultant requires your consent to assign the Agreement, whether in whole or in part. Consultant and Foundation for Senior Living have decided that it is in both entities’ best interests for Foundation for Senior Living to acquire Consultant’s assets, including the Agreement, to best serve the transportation needs of seniors and improve their quality of life. As a result of the acquisition, Consultant’s assets will be assigned and come under the control of Foundation for Senior Living. We currently expect to complete the acquisition on or around June 30, 2024. Please confirm the City’s written consent of the assignment of the Agreement to Foundation for Senior Living by executing and returning the acknowledgement on the following page.
