AMENDMENT #08 TO REVENUE CONTRACT PURSUANT TO RFP This Amendment #08 (“Amendment”) takes effect as of September 1, 2025 (“Amendment Effective Date”), and amends and revises that certain Revenue Contract Pursuant to RFP, Contract No. 180214-RFP, dated June 12, 2019, as amended from time to time (the “Contract”), by and between Global Tel*Link Corporation d/b/a ViaPath Technologies with an address of 3120 Fairview Park Drive, Suite 300, Falls Church, Virginia 22042 (the “Company”), and Maricopa County, with an address of 160 S. 4th Avenue, Phoenix, Arizona 85003-2494 (“County” or “Premises Provider”) (Company and Premises Provider collectively, the “Parties” and each a “Party”). All capitalized terms not defined herein shall have the definitions set forth in the Contract. WHEREAS, the Parties have agreed to amend the Contract as further described below, with said amendments to become effective on September 1, 2025; and NOW, THEREFORE, in consideration of the promises and covenants set forth in this Amendment, and for good and valuable consideration, the sufficiency of which is acknowledged by the Parties’ signatures, the Parties agree as follows: 1. The following is hereby added to the Contract as Section 3.0: 3.0 COMPENSATION: 3.1 Compensation to the County shall be a Minimum Annual Guarantee (“MAG”) of Three Million, One Hundred Thousand Dollars ($3,100,000.00). Company shall pay the County the MAG divided by twelve months: Two Hundred Fifty-Eight Thousand, Three Hundred Thirty-Three Dollars and Thirty-Three Cents ($258,333.33). 3.2 Compensation shall be made to the following address no later than the thirty (30) days following the calendar month for which Compensation is being paid. Maricopa County Sheriff’s Office Dept. #880138 PO Box 29650 Phoenix, Arizona 85038-9650 3.3 In the event this Contract is terminated for any reason prior to the end of the current term of the Contract, Company shall only be obligated to pay the MAG on a pro rata basis through the month in which termination becomes effective. No further MAG payments shall be due for any period following the effective date of termination. 2. Section 4 of EXHIBIT C (Inmate Telephone Services Schedule) of the Contract is hereby deleted in its entirety and replaced with the following: 4. Rates and Charges for Inmate Telephone Services. The per-minute-of-use call rate shall not exceed the maximum rates authorized by the state’s telecommunication regulatory authority (“PUC”) and the FCC. i. Interstate ITS calls, made using a collect format: $0.16 per minute of use. ii. Interstate ITS calls, whether made using a debit, prepaid/AdvancePay™ format: $0.16 per minute of use. iii. Local and Intrastate ITS calls, whether made using a collect, debit, prepaid/AdvancePay™ format: $0.16 per minute of use. iv. International ITS calls, whether made using a debit or prepaid/AdvancePay™ format: $0.16 per minute of use plus the applicable call termination rate for the international destination of the call as published on the Company’s website, which may be updated every 3 months in accordance with the FCC Order. These rates can be found at: https://www.gtl.net/legal-and-privacy/federal-tariffs-and-price-lists/. v. No per call, per connection, or flat-rate calling charges shall apply to international, interstate, and intrastate ITS per minute of use calls. vi. The ITS rates set forth above are exclusive of taxes and other amounts collected by the Company on behalf of, or paid to, third parties, including but not limited to payments in support of statutory or regulatory programs mandated by governmental or quasi- governmental authorities, such as the Federal Universal Service Fee, and any costs incurred by the Company in connection with such programs. 3. EXHIBIT D (Service Schedule Enhanced Services - IP-Enabled Tablets) of the Contract is hereby modified as follows: a. Subsection c of Section 7 (Enhanced Services and Accessories Rates) is hereby deleted in its entirety and replaced with the following: c. Video Visitation Services: $0.25 per minute Remote Visit Price b. Section 8 (Tablet Commissions) is hereby deleted in its entirety. 4. Section 7 of EXHIBIT E (Service Schedule Enhanced Services –Flex Kiosks) of the Contract is hereby deleted in its entirety and replaced with the following: 7. Enhanced Services Rates. a. Voice Communication will be charged at the same per-minute rate as ITS under this Contract. b. On-Premises Video Visits. The inmate’s first on-Premises video visit per week shall not incur a charge. Additional on-Premises video visits after the first one per week shall be $0.25 per minute. c. Remote Video Visits. Remote video visits shall be $0.25 per minute. In the event of any inconsistencies between the terms and conditions contained in the Contract and the terms and conditions contained herein, the terms and conditions contained herein shall control. Except as set forth in this Amendment, the Contract remains in full force and effect, without modification or amendment, and is hereby ratified and confirmed. This Amendment may be executed in multiple counterparts, each of which shall be an original, and all of which shall be one and the same contract. Original signatures transmitted by facsimile or electronic mail shall be effective to create such counterparts. Each person whose signature appears below warrants and represents that they have the requisite authority to execute this Amendment on behalf of the entity for which they are signing.
