BUYER AND SELLER ACKNOWLEDGE AND AGREE THAT THIS PURCHASE AGREEMENT IS GOVERNED BY
1- Upon the acceptance of this Purchase Agreement by signature, strict confidentiality is required between Buyer and Seller and /or their employees concerning the terms and conditions of this
Purchase Agreement.
2- The following exhibits are attached to this Purchase Agreement: (a) 2025 Kodiak 900 Standard Equipment, (b) Terms and Conditions, (c) 2025 Kodiak Limited Warranty Policy, (d) 2025 Kodiak
Maintenance Program.

Includes Training as described by Seller, FAA filings, registration, and custom "N" number selection.
3. In the event that any tariffs, taxes, duties of any kind or import/export restrictions (hereinafter referred to as "Taxes") are enacted or increased by any governmental authority which directly or
indirectly affect the cost of production or the cost of import on delivery as specified in this Agreement of any Goods/Products/Items or services provided under this Agreement, the Parties agree that
the Contract Price may be subject to adjustment. Such adjustment shall be made to reflect the actual cost increase resulting from the Taxes changes, calculated on the basis of the affected
Goods/Products/Items or services.
The Seller shall notify the Purchaser in writing within thirty [30] calendar days of the Taxes change, including documentation of the increase and the calculation of the additional costs. The Parties
shall then mutually agree the appropriate adjustment to the contract prices, which shall be incorporated into this Agreement by written amendment.
This clause is intended to ensure that neither party is unduly burdened by unforeseen tariff increases, and both parties agree to cooperate in good faith to reach a fair and reasonable resolution.
In the event that an increase in Taxes leads the Seller to propose a price increase equal to or less than 2% of the initial price of the Goods/Products/Items’ original price, the Seller shall be entitled
to add this additional price to the initial price of the Goods/Products/Items and to invoice the Purchaser at the time of delivery which the Purchaser hereby accepts.
In the event that an increase in Taxes leads the Seller to propose a price increase of more than 2 % of the Goods/Products/Items’ original price, the Purchaser shall have the right to terminate
according to the terms of the Agreement.

Terms and Conditions
1.
PRICES AND TERMS OF PAYMENT.
(a) Prices shown on this Agreement are in U.S. dollars for an Aircraft delivered from Seller’s facility in Sandpoint, Idaho. Prices do include federal,
state or local taxes, excise tariffs or charges, customs duties, customs broker’s fees, or other levies incurred in the country of export, United
States of America (collectively, “Export Governmental Charges”), applicable to the manufacture, sale or export of the Aircraft, which Export
Governmental Charges will be paid by Seller.
(b) All other defined terms used herein and not otherwise defined shall have the meanings assigned to those terms as set forth in the Aircraft Flight
Manual (AFM)/Pilot Operating Handbook (POH) (if they are defined therein and as such manual/handbook is revised and amended from time to
time) provided by Seller with each new aircraft sold by Seller, a copy of which has been supplied to Buyer.
(c) Any and all sales, use or related taxes, that may be due to any jurisdiction(s) resultant from Buyer’s acquisition of the Aircraft shall be paid by
Buyer and Buyer agrees to indemnify Seller, and hold Seller harmless from any and all such taxes, including Seller’s reasonable attorney’s fees
and costs incurred in defense of any collection action, whether incurred at trial or in conjunction with any and all appeals. This provision shall
survive closing.
(d) Unless otherwise agreed by and between the parties, Buyer agrees to make payments with Seller in the amount(s) specified by the date(s)
specified on Page 1 of this Agreement.
(e) All payments shall be made in U.S. dollars on Seller’s account, without setoff.
2.
DELIVERY AND ACCEPTANCE.
(a) The Aircraft shall be delivered from Seller’s facility in Sandpoint, Idaho. Transfer of title of the Aircraft shall pass to Buyer upon delivery thereof
to Buyer at Seller’s facility in Sandpoint, Idaho.
(b) When Seller issues an aircraft Ready Notice to Buyer notifying Buyer of the Delivery Date of the Aircraft which is ready for final acceptance and
delivery, Buyer shall make arrangements for an authorized representative to perform an inspection and acceptance of the Aircraft within five (5)
days of receipt of this notification.
(c) Upon acceptance of the Aircraft, Buyer’s authorized representative shall sign an Acceptance Certificate and a tax affidavit.
(d) Once Seller confirms receipt of the closing funds, the Aircraft will be released to Buyer’s representative. The date when this happens is the
“Delivery Date” of the Aircraft.
(e) Transfer of risk of loss of the Aircraft shall pass to Buyer when the Aircraft has been accepted by Buyer’s representative and released to Buyer’s
representative at Seller’s facility, at which point any insurance coverage for the Aircraft maintained by Seller will be terminated.
(f) Transportation and insurance charges to destinations beyond Seller’s facility shall be at Buyer’s expense.
(g) In the event Buyer cancels this Agreement and/or fails to accept delivery of the Aircraft as provided for herein (other than for reason of defects
substantially impairing the value of the Aircraft in accordance with Paragraph 2(h) hereof), or to make any payments that may be due to Seller,
prior to or at delivery of any Aircraft, or breaches any of the terms or provisions hereof at or prior to the Delivery Date, or fails to comply with any
production or specification due date(s) or deadline(s) as defined by Seller, Seller may cancel this Agreement and retain/recover an amount equal
to ten percent (10%) of the final purchase price set forth in this Agreement. This amount is agreed upon as liquidated damages and not as a
penalty. Buyer and Seller have agreed upon this amount in an attempt to make a reasonable forecast of the probable actual damages to Seller
as a result of cancellation of this Agreement, which damages are, at this time, difficult to ascertain with certainty.
(h) Within ten (10) days after delivery and acceptance of the Aircraft, Buyer may, after making reasonable inspection of the Aircraft, revoke such
acceptance if the Aircraft is found not to conform to the published specifications for such Aircraft, by giving written notice to Seller of any claim to
that effect setting forth in reasonable detail the manner in which the Aircraft allegedly does not conform. If Buyer retains the Aircraft without giving
Seller such notice as required within ten (10) days after delivery thereof, such failure shall constitute an irrevocable acceptance of the Aircraft
except with respect to defects not reasonably discoverable by such inspection. Rejection or revocation of acceptance of the Aircraft shall be only
for defects substantially impairing the value of the Aircraft, and Buyer’s remedy for lesser defects shall be in accordance with the standard warranty
herein provided. Should Buyer be entitled to reject or revoke acceptance of the Aircraft because of any non-conformity to the published
specifications for such Aircraft, which substantially impairs the value thereof, Buyer’s sole and exclusive remedy shall be the refund of the final
purchase price.
3.
DELAYS.
(a) In the event delivery of the Aircraft as provided for herein is delayed by Seller in excess of thirty (30) days after the Delivery Date (except for an
“Excusable Delay” as defined in paragraph 3(b) below), Buyer may cancel this Agreement, in which event the sole liability of Seller to Buyer shall
be for the return of all payments made on the final purchase price by Buyer to Seller.
(b) Seller shall not be responsible, or liable in any way, for any failure to perform or delay in performance by Seller due, in whole or in part, to
Excusable Delays. An Excusable Delay is any failure to perform or delay in performance that is due to causes beyond Seller’s control, including
but not limited to acts of God; fire; explosion; acts of the public enemy; war; insurrection; sabotage; labor disputes (regardless of reasonableness
of demands of labor); shortages of labor, fuel, power or materials; failure or delays in transportation; equipment or machinery breakdown; failure
or delay of Sellers’ sources of supplies; acts, orders or priorities (whether compliance therewith is mandatory or voluntary) of any government,
state, or political subdivision or agency thereof; or judicial action. However, in the event an Excusable Delay causes delay in delivery of Aircraft
in excess of one hundred eighty (180) days, either party hereto may cancel this Agreement as to any Aircraft, and the sole liability of Seller shall
be to return to Buyer any payments made on the final purchase price of such undelivered Aircraft by Buyer to Seller.
(c) Seller will compensate Buyer for its reasonable and documented costs (interest only) if the Aircraft is not made available at Seller’s facility in
Idaho for final acceptance within three (3) weeks following the day of wiring the Aircraft balance payment to either Seller or the escrow agent, for
a reason attributable to a major quality or airworthiness issue, which cannot reasonably be handled under the standard warranty.
4.
LIMITED WARRANTY.
The Kodiak Aircraft Company, Inc. 2025 Limited Warranty Policy is attached hereto and is an integral part to this Agreement. This warranty

shall automatically be activated (i) one (1) year after the date of execution of the Acceptance Certificate of the Aircraft between Buyer and Seller,
or (ii) when the Aircraft Hobbs meter reported on said Acceptance Certificate plus one hundred (100) hours, whichever first occurs. THE
WARRANTY SET OUT IN THE KODIAK AIRCRAFT COMPANY, INC. 2025 LIMITED WARRANTY POLICY IS IN LIEU OF ALL OTHER
EXPRESS, IMPLIED OR STATUTORY WARRANTIES AND LIMITS THE DURATION OF THE WARRANTY, CONTAINS EXCLUSIONS, AND
LIMITS THE REMEDIES AVAILABLE TO BUYER. FULL DETAILS ARE SET OUT IN THAT DOCUMENT.
5.
EXCLUSIVE MAINTENANCE PROGRAM.
The Kodiak Maintenance Program is attached hereto and is an integral part to this Agreement.
6.
PRICE ADJUSTMENT AND/OR STANDARD EQUIPMENT CHANGES.
6.1 AT SELLER’S REQUEST.
All prices are subject to adjustment, provided that written notice of any adjustment shall be given at least thirty (30) days prior to the Delivery
Date, and provided, further, that Buyer may cancel its order to purchase any Aircraft, the price of which is increased, by giving written notice
thereof to Seller within ten (10) days after receipt of notice of such increase. The specifications concerning the Aircraft covered hereunder are
subject to change by Seller in order to permit incorporation of changes and improvements in the continued development of Seller’s Aircraft. Any
adjustment in prices resulting from specification changes shall be subject to the first sentence of this paragraph 6.1.
6.2 AT BUYER’S REQUEST.
Buyer may ask to change the Aircraft’s specifications at any time. Seller will then quote the cost of specifications changes to Buyer and the new
Delivery Date, if any. Buyer’s specification change request shall not be deemed accepted by Seller until Buyer has agreed in writing to the new
price and/or the new Delivery Date.
7.
UNCERTIFIED AND PRE-PRODUCTION AIRCRAFT.
The Aircraft to be sold hereunder have been certified by the Federal Aviation Administration (“FAA”).
8.
APPLICABLE LAW, FORUM, PROCEDURES, ETC.
(a) This Agreement and the rights of the parties hereto arising directly or indirectly, under or in connection with this Agreement, shall in every respect
be governed by the substantive law of the State of Idaho without reference to its conflict of law rules. Buyer and Seller acknowledge and agree
that the United States District Court in Coeur d’Alene, Idaho or, if such court lacks jurisdiction, the First Judicial District Court of Kootenai County,
Idaho (or its successor) , shall be the exclusive venue and proper forum in which to adjudicate any case or controversy arising, directly or indirectly,
under or in connection with this Agreement and/or Buyer’s ownership and/or operation of the Aircraft purchased pursuant thereto. The parties
further agree that, in the event of litigation arising out of or in conjunction with this Agreement and/or Buyer’s ownership and/or operation of the
Products purchased pursuant thereto, in these courts, they will not contest or challenge the jurisdiction or venue of these courts. Neither Buyer
nor Seller, nor any assignee, successor or legal representative of Buyer or Seller, shall seek a jury trial in any lawsuit, proceeding, or counterclaim
arising, directly or indirectly, under or in connection with, this Agreement and/or Buyer’s ownership and/or operation of the Aircraft purchased
pursuant thereto. Additionally, neither Seller nor Buyer will seek to consolidate any such action in which a jury trial has been waived, with any
other action in which a jury trial cannot be or has not been waived.
(b) In any action arising directly or indirectly, under or in conjunction with this Agreement, the prevailing party herein shall be entitled to recover from
the other party thereto its reasonable attorney’s fees (both at trial and any and all appeals), and costs in connection therewith.
9.
NOTICES.
All notices, requests, and other communications hereunder shall be in writing and shall be deemed to be given and received (a) when personally
delivered by hand to the recipient, (b) three (3) days after deposit in registered or certified first class U.S. mail (or comparable national postal
system, if appropriate), postage prepaid, to the recipient at the address set forth under such recipient’s name on the first page of this Agreement,
(c) facsimile transmission, provided the sending telecopier automatically produces a confirmation of the receipt of the transmission by the receiving
telecopier, and a copy of the notice is also sent by one of the foregoing methods on the same day, or (iv) by electronic mail with a copy sent by
U.S. mail or overnight courier (such as Federal Express) to the party to whom said notice is to be given, in all events with all postage or other
charges paid by the sender of the notice.
10.
MODIFICATIONS.
This Agreement, together with the Kodiak Aircraft Company, Inc. 2025 Limited Warranty Policy and the 2025 Kodiak Maintenance Program, which
are incorporated herein, constitutes the final written expression of all the terms of this Agreement and the transactions contemplated hereby, and
is the complete and exclusive statement of those terms. No modification or change made to the printed terms and conditions of this Agreement
shall be effective until both parties shall have signified their acceptance of such modification or change thereto in writing. Any subsequent
modification, amendment, or waiver, of or to this Agreement, must be in writing and signed by both Buyer and Seller.
11.
GENERAL.
Buyer shall neither assign any right nor delegate any duty under this Agreement without the prior written consent of Seller, which consent shall
not be unreasonably withheld.

12.
EXPORT CERTIFICATE OF AIRWORTHINESS.
Seller shall provide a United States Export Certificate of Airworthiness for
. Buyer shall be responsible for all costs associated with
registering the Aircraft. Any equipment or modifications to the Aircraft that is/are required in addition to those set forth in the Standard Equipment and the options
included on Page 1 of this Agreement, in order to achieve registration and certification approval and/or support operational requirements of Buyer shall be at
Buyer’s sole cost and expense and are considered outside the scope of this Agreement.
13.
SUBSEQUENT EXPORT.
Any subsequent export of the Aircraft shall be accomplished pursuant to the export laws of the United States of America. In the event of such export, Buyer
shall comply with all export control laws and regulations of the United States of America which are applicable to the Aircraft (including, without limitation, the
United States Export Administration Act of 1979, as amended, and the Export Administration Regulations made pursuant to that Act) and shall indemnify
Seller from and against the consequences of any failure by Buyer to comply with such laws and regulations. Diversion of the Aircraft contrary to laws of the
United States of America is strictly prohibited.
14.
INTERNATIONAL REGISTRY.
The transaction contemplated by this Agreement may be subject to the Convention on International Interests in Mobile Equipment (the “Convention”), the
Protocol to the Convention on International Interests in Mobile Equipment on Matters Specific to Aircraft Equipment (the “Protocol”), both signed in Cape Town,
South Africa on November 16, 2001, together with the Regulations for the International Registry and the International Registry Procedures, and all other rules,
amendments, supplements, and revisions thereto (collectively, the “Cape Town Treaty”). Upon request in writing by Buyer, Seller will cooperate with Buyer
in order to register the FAA Bill of Sale as a Contract of Sale (as defined in the Cape Town Treaty) on the International Registry (established pursuant to the
Cape Town Treaty). Buyer hereby acknowledges and agrees that, without specific authorization in writing from Seller, Buyer will not register, or consent to
or allow any registration whatsoever (including a registration of a prospective international interest or prospective contract of sale) against the Aircraft pursuant
to the Cape Town Treaty. Any and all fees and costs (including legal fees) associated with making a registration under the Cape Town Treaty will be paid by
Buyer. Seller makes no representation whatsoever as to the application of the Cape Town Treaty to this Agreement, or the validity, priority, or enforceability of
any registration under the Cape Town Treaty.

GENERAL
KODIAK AIRCRAFT COMPANY, INC. (“DAHER”) warrants that Kodiak aircraft serial number TBD (the
“Aircraft”) is free from defects in material and workmanship for the periods defined in this 2025 Kodiak
Limited Warranty Policy (the “Warranty”).
This Warranty applies only to the Aircraft identified by the Aircraft serial number specified in this
Warranty and factory installed options, accessories and items of equipment or components included
thereon at the time of acceptance of the Aircraft by its original retail buyer (“Retail Buyer”), subject to
the conditions, exclusions and procedural requirements specified herein.
This Warranty is for the coverage by DAHER of a proven defect which existed after the date of the
Retail Buyer’s acceptance of the Aircraft (the “Delivery Date”), which is detected during the Warranty
period and which is reported within thirty (30) days after its detection.
ACTIVATION AND EFFECTIVITY
This Warranty becomes activated and effective as of the Delivery Date of the Aircraft to the Retail Buyer,
at which time the Retail Buyer shall also submit to DAHER a completed and signed copy of the Warranty
Activation Form attached hereto as Exhibit C. Effective on the Delivery Date DAHER shall:
a)
Activate the Warranty in the name of the Retail Buyer;
b)
Notify the manufacturers of the engine, propeller, avionics and other major components
installed in the Aircraft; and
c)
Forward the Warranty Activation Form to the authorized service center which will perform
warranty work on the Aircraft.

WARRANTY PERIODS
This Warranty shall remain in effect as follows (all warranty periods are calculated from the Delivery
Date):
a)
2 Years / 1,000 Hours Airframe Warranty:
Two (2) years or one thousand (1,000) hours of Aircraft operation, whichever term expires first, for
exterior paint and Aircraft structural components and assemblies as defined in the first column of
Exhibit A attached hereto.
b)
2 Years / 1,000 Hours Systems Warranty:
Two (2) years or one thousand (1,000) hours of Aircraft operation, whichever term expires first, for
interior furnishings and Aircraft components and systems as defined in the second column of Exhibit
A attached hereto. This period also applies to the listed Aircraft structural components and assemblies
if the optional extension of the warranties for such components is not selected.
c)
Optional Extension to 4 Years / 1,000 Hours Airframe & Systems Warranty:
If the Kodiak Maintenance Program is selected on the Purchase Agreement, warranty is extended
to four (4) years or one thousand (1,000) hours of Aircraft operation, whichever term expires first,
for Aircraft structural components and systems, listed on Exhibit A attached hereto.

WARRANTY SCOPE AND EXCLUSIONS
This Warranty is an integral part to the Purchase Agreement of the Aircraft. This Warranty shall
automatically be activated by DAHER (i) one (1) year after the date of execution of the Certificate of
Acceptance of the Aircraft by the Distributor, or (ii) when the Aircraft Hobbs meter reads the time
reported on said Certificate of Acceptance plus one hundred (100) hours, whichever first occurs.
Should this Aircraft be delivered to a Retail Buyer prior to this automatic activation, this Warranty shall
be activated as described in Section 2 of the Limited Warranty Policy.
This Warranty shall apply to the Aircraft and all its components and accessories provided they are
continuously operated, inspected, serviced, maintained and stored within the limits and in strict
compliance with all operating, inspection, service, maintenance and storage instructions and
procedures issued by DAHER and, where applicable, the component manufacturer.
DAHER PROVIDES NO WARRANTY WITH REGARD TO THE AIRCRAFT ENGINE, ENGINE
ACCESSORIES, PROPELLER, INSTALLED AVIONICS, WHEELS & BRAKES, OXYGEN SYSTEM,
ENVIRONMENTAL CONTROLS, ELT, STORMSCOPE, ESI, SINGLE POINT REFUELING, AND AOA,
WHICH ARE COVERED SOLELY UNDER SEPARATE AND INDEPENDENT WARRANTIES ISSUED
BY THEIR RESPECTIVE MANUFACTURERS THROUGH THEIR ESTABLISHED FIELD SERVICE
ORGANIZATIONS, AND WARRANTY POLICIES AND PROCEDURES. THOSE MANUFACTURERS
ARE SOLELY RESPONSIBLE FOR THE HANDLING AND PERFORMANCE OF THEIR WARRANTY
PROCESS. EXHIBIT B GIVES, FOR INFORMATION ONLY, THOSE MANUFACTURERS’ CURRENT
STANDARD WARRANTY PERIODS.
When the Kodiak Maintenance Program is selected on the Aircraft Purchase Agreement, DAHER will
cover the cost of failed parts, and the cost of labor required to remove and replace these failed parts, for
the period between the expiration of the supplier standard warranty period referenced on Exhibit B, and
the first of 4 years or 1,000 hours. These costs must be pre-approved by DAHER.
This Warranty does not constitute a perpetual upgrade or product improvement program, nor does it
provide coverage for special programs and campaigns offered by DAHER or any component
manufacturers. Campaigns and programs are subject to their own rules of coverage exclusive of this
Warranty.
The provisions of this Warranty apply neither to labor nor to parts utilized in connection with (i) non-
mandatory Aircraft Service Bulletins (“SBs”) issued or (ii) normal maintenance and inspection services
including, but not limited to, scheduled inspections, pre- and post-flight servicing, cleaning and polishing,
routine rigging and calibration checks, or engine rigging. Parts and labor for mandatory SBs published
by DAHER are covered as stated on the SBs.
The provisions of this Warranty do not apply to any Aircraft system, part, component or material which
has been subject to misuse, negligence, unauthorized alteration or accident or, which has deteriorated
due to extraordinary wear or exposure, including, but not limited to, the effects of hail, volcanic eruption,
"acid" rain, dust and/or sand storms, chemical discharges, foreign objects (e.g. stone impact) and other
such unpredictable phenomenon, whether natural or manmade, which is beyond the control of DAHER.
Normal wear and tear, regular maintenance and overhaul as a result of (i) acts of God or the public
enemy, war, sabotage, riots and vandalism or (ii) continued operation of the Aircraft, components
and/or accessories thereof after and despite the detection of an alleged defect shall not be covered
under this Warranty.
The provisions of this Warranty do not apply to any modification in any form whatsoever to the Aircraft or
its systems unless specifically recommended or required and approved by DAHER. Optional
modifications other than those that are installed by DAHER prior to the retail Delivery of the Aircraft are
not covered by this Warranty.
The provisions of this Warranty do not apply to fluids, gases, agents and components subject to normal
operational consumption, servicing, and wear and tear, including, but not limited to, fuel, oil, hydraulic
fluid, oxygen, nitrogen, tire tread, brake linings, batteries, light bulbs, neon bulbs, lubricants, polishes,

waxes, or cleaning agents.
Excluded from the exterior paint warranty is paint deterioration from wear or exposure, the loss of
gloss/luster, and paint splits that occur at skin junctions. Normal paint erosion on wing and stabilizer
leading edges, engine cowlings and windshield retainers are not covered by Warranty. Ground-
handling damage or FOD damage to landing gears is not covered by warranty. Access panels and
fasteners removed for maintenance/inspections may need to be touched-up, however, the paint is not
restored to its original factory seamless condition by warranty.
Any costs and expenses resulting from shipping or transportation in connection with the Delivery of the
Aircraft for warranty repairs or returning replacement parts or applying for warranty credit, are not
covered under this Warranty.
Any costs and expenses resulting from shipping or transportation in connection with the delivery of a
replaced part are covered under this Warranty.
This Warranty shall become null and void for any part of the Aircraft from which the Manufacturer's
trademark or name or Serial Number has been removed such that its origins cannot be identified.
DAHER does not warrant, and is hereby relieved of any obligation to warrant, any accessory, equipment
or part incorporated in the Aircraft which is not furnished pursuant to this Agreement, or any amendment
to this Agreement, including, without limitation, installations of accessories, equipment or parts, or the
repair, alteration or modification to or of the Aircraft made by the Retail Buyer or any third party.
THE RETAIL BUYER SHALL NOT BE ENTITLED TO THE BENEFITS OF THIS WARRANTY IF THE
RETAIL BUYER OPERATES THE AIRCRAFT WITH PARTS OR COMPONENTS WHICH ARE NOT
APPROVED BY DAHER, AND THIS WARRANTY SHALL BECOME NULL AND VOID UPON
INSTALLATION OF SUCH PARTS OR COMPONENTS. IN ANY EVENT, DAHER SHALL NOT BE
LIABLE FOR ANY LOSS OR DAMAGE OF PROPERTY, INJURY OR DEATH IN ASSOCIATION WITH
ANY AND ALL FAILURES, INCIDENTS, AND ACCIDENTS INVOLVING SUCH NON-APPROVED
PARTS OR COMPONENTS.
The Retail Buyer shall not be entitled to the benefits of this Warranty if the Retail Buyer does not (i)
maintain complete records of operations and maintenance of the Aircraft and (ii) make such records
available to DAHER. The failure of the Retail Buyer to maintain such records shall relieve DAHER of its
Warranty obligations. The Retail Buyer shall notify any subsequent retail buyer, owner, assignee,
operator or transferee of the Aircraft of their obligation to maintain such records and to make them
available for DAHER’s inspection. Whether notified or not, if such person does not comply with the
foregoing, that person shall not be entitled to the benefits of this Warranty.

DEFECT NOTIFICATION
Upon discovery of an alleged defect, the Retail Buyer shall, within thirty (30) days from such discovery,
notify DAHER in writing (care@daher.com) or any DAHER authorized service center.
DAHER requires proof of original equipment installation or, in the case of replacement parts warranty,
proof of purchase from DAHER of the defective parts and any replacement parts. DAHER requires
return of the defective parts or components for evaluation prior to the approval of any warranty Credit.
All materials for which warranty Credit has been issued shall become the sole property of DAHER.
A defect falls within this Warranty if it is detected during the warranty period even if the written notice
has not been submitted by the Retail Buyer before the expiration of this period.
Any defects, which are not reported to DAHER or any DAHER authorized service center within thirty
(30) days from the day of their discovery, shall not qualify for any claims under this Warranty.

The Program includes all scheduled maintenance for serial number
date of the Retail Buyer’s acceptance of the Aircraft, as follows:

• All work must be performed at a DAHER Authorized Service Center.
• Shop supply charges up to a maximum of USD $300 for Standard Inspections.
Any and all maintenance covered by this Program is to be completed at a DAHER Authorized Service Center. The
Retail Buyer hereby authorizes the Distributor/Dealer to disclose the terms and conditions of this agreement to such
DAHER Authorized Service Center.

This Program is subject to the Terms and Conditions of the affiliated Retail Purchase Agreement and the 2025 Kodiak
Limited Warranty Policy for the Aircraft. The Retail Buyer agrees not to assign or delegate any duty under this

representative and that the Retail Buyer is fully authorized and empowered to accept the conditions of this Program

CORRECTIVE ACTIONS
Upon receipt of prompt notification and satisfactory evidence of a covered defect including return of
defective materials and confirmation of the existence of a defect under this Warranty, DAHER’s sole
obligation under this Warranty shall be to correct the defect or deficiency of the component(s) to an
airworthy condition in accordance with DAHER’s technical, and design specifications.
DAHER reserves the right to replace parts with repaired, overhauled, or new parts when available.
Any items corrected or furnished under warranty shall be in accordance with this Warranty. However,
the applicable warranty period for repaired and/or replaced parts will be either the remainder of the
original Warranty period as stated in Section 3, the specific warranty period of the part supplied under
warranty, or as listed below, whichever is the longest.
a)
6 Months New Parts Warranty:
Six (6) months from the date of first installation according to the maintenance records for all of the New
Replacement Parts for the Aircraft Airframe or Systems as defined in Exhibit A, attached hereto.
b)
3 Months Repaired or Overhauled Parts Warranty:
Three (3) months from the date of first installation according to the maintenance records, for all of the
Repaired or Overhauled Replacement Parts for the Aircraft Airframe or Systems as defined in Exhibit A,
attached hereto.
The repair or replacement of defective parts under an accepted warranty claim will be made without
charge to the Retail Buyer for parts or labor, or for the removal, installation, or repair of defective parts,
and in all cases excluding transportation, sales or use taxes, if any. All warranty parts are subject to the
Spare Parts Sales Terms and Conditions and the Exclusive Limited Warranty, available upon request.

NO FAULT FOUND
If a duly reported defect cannot be confirmed as such by DAHER and therefore no repair or
replacement was necessary, the Retail Buyer shall bear all costs accrued in connection with the
examination and/or replacement of the alleged defect. Round-trip transportation charges for the
transportation from the location of such items to DAHER’s authorized service center and the risk of
loss thereof shall be borne by the Retail Buyer.

LABOR UNDER WARRANTY
Labor costs covered under this Warranty are, costs of labor required in order to remove and replace a
defective part or to correct a defective installation and/or process. Compensation for labor shall be in
accordance with the DAHER Labor Allowance Guide at the approved regular rates and no overtime
labor shall be utilized unless prior and specific approval in writing has been provided by DAHER.
Corrective action in association with Aircraft on Ground (AOG) is exempt from this overtime rule.
Trouble-shooting labor time is not covered under this Warranty.

ASSIGNMENT OF WARRANTY
The rights of the Retail Buyer under this Warranty, if any, may be transferred and assigned to subsequent
owner(s) of the Aircraft if written notification is provided to DAHER that is duly signed by both the selling
and purchasing parties involved. In order to become valid, the notification to DAHER of such transfer
and assignment must be made within thirty (30) days of the transfer of title to the new retail buyer. Upon
receipt, DAHER shall:
•
Acknowledge the transfer of Warranty and notify the new retail buyer of any warranty remaining
on the Aircraft;

Notify the manufacturers of the components of the Aircraft of the transfer of Aircraft ownership.
However, warranty claims which have been filed on or before the time of transfer of Aircraft ownership
may not be assigned or otherwise transferred and shall exclusively be settled between DAHER and the
Retail Buyer at the time the claim was initially filed.

RIGHTS, DISCLAIMERS, WAIVERS, EXCLUSIONS, AND LIMITATIONS OF REMEDIES
THE LIMITED WARRANTY GIVEN HEREIN IS GIVEN IN LIEU OF AND EXPRESSLY SUPERSEDES
AND EXCLUDES, AND DAHER EXPRESSLY DISCLAIMS AND THE RETAIL BUYER EXPRESSLY
WAIVES, ALL OTHER WARRANTIES BY DAHER IN RELATION TO THE IDENTIFIED AIRCRAFT AND
ITS INSTALLED OPTIONS, ACCESSORIES, EQUIPMENT, AND COMPONENTS AND ANY
SERVICES PROVIDED BY THE SELLER OR THE MANUFACTURER. THIS EXCLUSION AND
WAIVER OF WARRANTIES APPLIES TO ALL OTHER WRITTEN OR ORAL WARRANTIES,
EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED
WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
IN NO EVENT SHALL DAHER BE LIABLE TO THE RETAIL BUYER OR ANY SUBSEQUENT OWNER
FOR ANY AMOUNTS REPRESENTING INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY,
CONSEQUENTIAL, OR PUNITIVE DAMAGES INCLUDING, WITHOUT LIMITATION, ECONOMIC
LOSSES, LOSS OF PROFITS, LOSS OF BUSINESS, AND LOSS OF AIRCRAFT USE,
INCONVENIENCE, COMMERCIAL LOSS, LITIGATION EXPENSES (INCLUDING ATTORNEYS’
FEES), OR OTHER DIRECT OR INDIRECT, CONSEQUENTIAL, INCIDENTAL, GENERAL OR
SPECIAL DAMAGES ARISING IN RELATION TO THE IDENTIFIED AIRCRAFT AND ITS INSTALLED
OPTIONS, ACCESSORIES, EQUIPMENT, AND COMPONENTS AND ANY SERVICES PROVIDED BY
THE SELLER OR THE MANUFACTURER OR ARISING FROM ANY ERRORS OR OMISSIONS BY
DAHER IN THE PERFORMANCE OR NON-PERFORMANCE OF THE PURCHASE AGREEMENT,
THIS LIMITED WARRANTY, OR THE DAHER CARE MAINTENANCE PROGRAM, OR ANY ACTS OR
OMISSIONS ASSOCIATED THEREWITH OR RELATED TO THE USE OF THE AIRCRAFT OR ANY
ASSOCIATED EQUIPMENT, WHETHER THE BASIS OF THE CLAIMED LIABILITY IS BREACH OF
WARRANTY, BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE AND STRICT LIABILITY),
STATUTES, OR ANY OTHER LEGAL THEORY.
THIS LIMITED WARRANTY IS ALSO GIVEN IN LIEU OF AND EXPRESSLY SUPERSEDES AND
EXCLUDES, AND DAHER EXPRESSLY DISCLAIMS AND THE RETAIL BUYER EXPRESSLY
WAIVES, ANY OTHER OBLIGATION OR LIABILITY OF, RIGHT OR CLAIM AGAINST, OR REMEDY
FROM DAHER RELATED TO THE AIRCRAFT AND ITS INSTALLED OPTIONS, ACCESSORIES,
EQUIPMENT, AND COMPONENTS AND/OR THEIR MANUFACTURE, MARKETING, PURCHASE,
SALE, LEASE, PERFORMANCE, RELIABILITY OR USE, WHETHER IN CONTRACT, IN TORT,
UNDER STATUTE, AT LAW, IN EQUITY, OR OTHERWISE, INCLUDING PRODUCTS LIABILITY
BASED ON DAHER’S STRICT LIABILITY (INCLUDING, BUT NOT LIMITED TO, DESIGN OR
MANUFACTURING DEFECTS OR FAILURE TO WARN), NEGLIGENCE, GROSS NEGLIGENCE,
MISREPRESENTATION, OR ON ANY OTHER BASIS.
IF, FOR ANY REASON, A COURT OF COMPETENT JURISDICTION DETERMINES THAT THE
REMEDY PROVIDED FOR IN THIS LIMITED WARRANTY HAS FAILED OF ITS ESSENTIAL
PURPOSE OR THAT ANY BREACH BY DAHER OF THE WARRANTY HAS OCCURRED, DAHER
SHALL NOT IN ANY EVENT BE LIABLE FOR AN AMOUNT IN EXCESS OF THE PRICE PAID FOR
THE SPECIFIC DEFECTIVE AIRCRAFT.
THE COVERAGE, RIGHTS AND REMEDIES EXPRESSLY PROVIDED FOR BY THIS WARRANTY
ARE NOT VALID OR IN EFFECT UNTIL THE WARRANTY IS FULLY EXECUTED. HOWEVER, ALL
DISCLAIMERS, WAIVERS, EXCLUSIONS AND LIMITATIONS OF REMEDIES HEREIN APPLY IN
FULL, FROM THE DATE OF DELIVERY, AND TO ANY CLAIMS MADE DURING OR AFTER THE
PERIOD OF WARRANTY COVERAGE BY THE RETAIL BUYER OR ANY SUBSEQUENT OWNER
