1 07/24/2025 Thomas Galvin Chairman of the Board of Supervisors Maricopa County Animal Care and Control 2500 S 27th Ave Phoenix AZ, 85009 RE: Shelter Insurance Program Agreement Dear Chairman Galvin MetLife Pet Insurance Solutions LLC (“MetLife Pet Insurance”) is proud to support local humane societies and shelters throughout the United States, including Maricopa County Animal Care and Control (“Shelter”), by offering a program that can support your adoption program by helping you help newly adopted dogs and cats transition smoothly to their new forever homes. This letter (“Letter”) will outline the terms of the Shelter Insurance Program offered by MetLife Pet Insurance and the parties’ agreement (“Agreement”) as applicable to Shelter. If Shelter wishes to participate in the Shelter Insurance Program, please execute the Letter where indicated below. The Shelter Insurance Program Under the Shelter Insurance Program, participating shelters make MetLife Pet Insurance’s Shelter 30- day pet insurance policy (“30 Day Policy”) (specimen copy attached as Exhibit B for reference) available to adopting pet owners (“Pet Parents”) by including informational materials (provided to Shelter by MetLife Pet) in the adoption packet and making Pet Owners aware that they can activate coverage under the 30 Day Policy by contacting MetLife Pet. That’s it – there’s no selling! Shelter just makes Pet Owners aware of the availability of the 30 Day Policy – no discussion of any of the substantive terms of the coverage, benefits, limitations or other features of the 30 Day Policy or any of MetLife Pet Insurance’s other available insurance coverages. If Pet Parents have any questions, just direct them to MetLife Pet Insurance and we’ll make sure they get answers! What MetLife Pet Insurance Will Do MetLife Pet Insurance will provide Shelter with all approved for use, descriptive material (“Approved Material”) about the 30 Day Policy that Shelter will need for Shelter to include in Pet Parent’s adoption packets, including codes to activate the 30 Day Policies. MetLife Pet Insurance grants Shelter a revocable, limited, royalty-free, non-exclusive, non-sublicensable, non-transferrable license to use MetLife Pet Insurance’s trademarks and copyrighted images as presented within the Approved Material. This limited license does not convey any ownership interest, title or right. MetLife Pet Insurance will determine the nature and availability of any insurance or other offers (“Other Offers”, typically nominal value promotional items) under its Shelter Insurance Program. It also will service all insurance issued through the Shelter Insurance Program, including billing and collection of premiums from Shelter, process claims and provide customer service support for Pet Parents. MetLife Pet Insurance writes its pet health insurance policies through its underwriting partners, which may change at MetLife’s sole discretion. Currently, MetLife Pet Insurance is authorized to offer and administer pet insurance policies, including a 30 Day Policy, underwritten and by Independence 2 American Insurance Company (“IAIC”), an unaffiliated Delaware insurance company, and Metropolitan General Insurance Company (“MetGen”), an affiliated Rhode Island insurance company. Each 30 Day Policy issued under the Shelter Insurance Program will clearly identify the underwriting insurer. What Shelter Will Do Shelter will make Pet Parents aware of their eligibility to activate coverage for their adopted pet(s) under a 30 Day Policy by providing them with Approved Material about the Policy and coverage. Shelter will announce the availability of the 30 Day Policy but will not discuss any substantive details of the 30 Day Policy coverage, benefits or limitations with Pet Parents. Rather, it will direct Pet Parents to contact MetLife Pet Insurance for more information and/or to activate the Policy. Similarly, if Other Offers are included with the Shelter Insurance Program, Shelter will make Pet Parents aware of such offers by referring them to the Approved Materials or MetLife Pet Insurance for information, but will not discuss substantive terms, benefits or limitations with them. Shelter agrees to use only the Approved Materials to describe the 30 Day Policy and/or Other Offers and not to make any changes or alterations to them or their appearance or use them for purposes or in a manner other than as described in this Letter. Shelter will not, under any circumstance, pass the cost of the premium to or otherwise cause a new Pet Parent to assume the cost of the premium of an activated 30 Day Policy. Shelter agrees that it is not an insurance agent, broker or producer and has no authority to and shall not engage in any marketing or sales activities for 30 Day Policies or any other MetLife Pet Insurance policies, other than announcing the availability of the 30 Day Policy to Pet Parents. Shelter shall ensure that none of its employees or volunteers engage in any marketing or sales activities for 30 Day Policies or any other MetLife Pet Insurance policies or coverage. Shelter shall not sell, solicit or negotiate insurance, or otherwise engage in any activity that would require an insurance producer license. At the end of the Agreement, Shelter will promptly (to the extent applicable): (i) remove references to MetLife Pet Insurance and its programs/product offerings, including any links to MetLife websites, from its own and any affiliated websites where it has posted such information; and (ii) return any information MetLife Pet Insurance has designated as confidential to Shelter. Premium Payment On a monthly basis, MetLife Pet Insurance will invoice Shelter the premium due for each Pet Parent who activated coverage under a 30 Day Policy during the prior month. Shelter’s payment of premium shall be netted against Referral Amounts owed to Shelter by MetLife over the same period. The premium rate per activated policy is shown on Exhibit C. Other Offers Where permitted by law, MetLife Pet Insurance may also make Other Offers available under the Shelter Insurance Program. Any available Other Offers will be noted on Exhibit D. Referral Amounts During the term of this Agreement, MetLife Pet Insurance will pay Shelter a nominal referral amount (“Referral Amount”) at the rate shown on Exhibit E for each Pet Parent referred to MetLife Pet Insurance by Shelter that calls MetLife Pet Insurance. MetLife Pet Insurance’s obligation to pay Shelter the Referral Amount is not contingent in any way upon any Pet Parent activating a 30 Day Policy or Other 3 Offer(s) or purchasing any other insurance product through MetLife Pet Insurance. Mutual Indemnification. Each party (an “Indemnitor”) will indemnify and defend the other party (an “Indemnitee”) if an Indemnitee is sued for the Indemnitor’s negligence, error, omission, breach of this Agreement or breach of confidentiality with respect to the terms of this Agreement. In the event of a claim, the Indemnitee agrees to notify the Indemnitor as soon as possible after it learns of the claim and to cooperate in its resolution and/or defense. This indemnity includes: defense, indemnification and holding harmless of the Indemnitee and its officers, directors and employees from and against all losses, costs, fines, penalties, expenses and outside counsel legal fees which shall actually and reasonably be sustained and which are directly caused by the actions of the Indemnitor. Term/Termination of This Shelter Insurance Program Agreement This Agreement is effective as of the date of this letter stated above and will continue until Shelter or MetLife Pet Insurance gives the other ninety (90) days written notification that it wants to terminate the Agreement. A party may also terminate this Agreement upon thirty (30) days prior written notice if the other party breaches its material obligations hereunder and fails to cure its breach within fifteen (15) days after receiving written notice of such breach. General Terms 1. Amendment The parties may amend this Agreement at any time by mutual agreement in writing. 2. Assignment Neither party may assign this Agreement without the prior written consent of the other. 3. Confidentiality MetLife Pet Insurance and Shelter will each protect any confidential information of the other that they may receive during the term of the Agreement with at least the same degree of care with which they protect their own sensitive confidential information. Additionally, to the extent either party receives or obtains access to non-public personal information (“NPI”) about Pet Parents from the other, they each will protect, use and disclose such information as authorized by the Pet Parent to whom it relates and as required by applicable laws. 4. Counterparts/Electronically Transmitted Signature Pages This Agreement may be executed in two or more counterparts, each of which shall be deemed an original, but which together shall constitute one and the same instrument. Electronic transmission of an executed counterpart of this Agreement shall be deemed to constitute due and sufficient delivery of such counterpart. 5. Governing Law This Agreement and the rights of the parties shall be interpreted and construed in accordance with and governed by the laws of Kentucky excluding its conflict of laws rules. 6. Integration, Modification. 4 This Letter Agreement and its exhibits constitute the entire complete agreement of the parties and supersedes all prior agreements, written or oral, relating to the subject matter hereof. It may not be amended except by mutual written agreement as described herein. 7. No Partnership or Agency. Nothing in this Agreement or otherwise shall create or be deemed to create a partnership or agency relationship between the parties and neither party is authorized to act on behalf of the other unless the other has agreed to such action in writing in advance. 8. Notices. Any notices given under this Agreement shall be in writing and delivered to the applicable party at the mailing address set forth in Exhibit A. Notices sent via tracked carrier delivery or email delivery shall be considered given on the date shown on the delivery receipt (tracked carrier delivery) or one (1) business day after the notice was emailed. Notices mailed via prepaid postage shall be considered received on the fifth (5) business day after mailing. 9. Regulation and Law Compliance Each of the parties agrees that it will comply with applicable laws, rules, regulations and ordinances. 10. Unsolicited Commercial E-mail Law Compliance In the event Shelter communicates with its Pet Parents about the Shelter Insurance Program and such communication is sent to non-Shelter owned email addresses, the Shelter agrees to the following: the name of MetLife will not appear in the subject or re: line and the Shelter shall strictly comply with all applicable laws, regulations and ordinances respecting delivery of commercial emails, including but not limited to the CAN-SPAM Act (15 USCS 7701, et al.) and all state and local laws, regulations, and ordinances of similar impact. 11. Governing Law This Agreement and the rights of the parties shall be interpreted and construed in accordance with and governed by the laws of Arizona. The Referral Amount is a nominal flat fee paid for each Pet Parent that calls MetLife Pet Insurance and indicates that s/he was referred by Shelter. The Referral Amount is a token of gratitude for Shelter’s referral of potential business to MetLife Pet Insurance and is limited to a single, one-time payment per each Pet Parent that calls MetLife Pet Insurance regardless of: (i) how many instances such Pet Parent contacts MetLife Pet Insurance about its available insurance products; or (ii) whether such Pet Parent activates a 30 Day Policy, redeems an Other Offer(s) or purchases any other insurance products through MetLife Pet Insurance. The Referral Amount is subject to periodic review and adjustment as determined by MetLife Pet Insurance in its reasonable discretion and shall be automatically amended to comply with applicable law.
