AMENDMENT NO. ONE
ZONE 4 RESERVIOR & BOOSTER STATION PUMP CAN REHAB
(PROJECT 192020, Contract No. C20-0586)

This Amendment No. One (“Amendment”) to the Professional Services Agreement
(“Agreement”) is made this day of , 20 , (“Effective Date”), by and
between the City of Glendale, an Arizona municipal corporation (“City”) and HDR
Engineering, Inc., a Nebraska corporation authorized to do business in Arizona
(“Contractor”).

RECITALS

A. City and HDR Engineering, Inc., (“Contractor”) previously entered into a
Professional Services Agreement, Contract No. C20-0586, dated July 7, 2020
(“Agreement”); and

B. The City is seeking to expand the scope of services provided under the original
Agreement; and

Cc, The City is increasing the amount of compensation to be paid under this agreement
by $50,886; and
D. City and Contractor wish to modify and amend the Agreement subject to and strictly

in accordance with the terms of this Amendment.
AGREEMENT
In consideration of the mutual promises set forth herein and other good and valuable
consideration, the receipt and sufficiency of which are hereby acknowledged, the City and

Contractor hereby agree as follows:

1. Recitals. The recitals set forth above are not merely recitals, but form an integral
part of this Amendment.

2. Term. The term of the Agreement is unchanged and shall expire on July 7, 2022.

3. Scope of Work. See attached Amended Exhibit B.

4. Compensation. Increase compensation by an additional $50,866 to a revised not to
exceed total of $95,150.

5. Insurance Certificate. Current certificate will expire on June 1, 2022 and a new

certificate applying to the extended term must be provided prior to this date to
Materials Management and the Contract Administrator.

6. Non-disctimination. Contractor must not discriminate against any employee or
applicant for employment on the basis of race, color, religion, sex, national origin,

age, marital status, sexual orientation, gender identity or expression, genetic
characteristics, familial status, U.S. military veteran status or any disability.
Contractor will require any Sub-contractor to be bound to the same requirements as
stated within this section. Contractor, and on behalf of any subcontractors, warrants
compliance with this section.

No Boycott of Israel. To the extent A.R.S § 35-393 through § 35-393.03 are
applicable, the parties hereby certify that they are not currently engaged in, and agree
for the duration of the Agreement to not engage in, a boycott of goods or services
from Israel, as that term is defined in A.R.S § 35-393.

Attestation of PCI Compliance. When applicable, the Contractor will provide the
City annually with a Payment Card Industry Data Security Standard (PCI DSS)
attestation of compliance certificate signed by an officer of Contractor with oversight
responsibility.

Ratification of Agreement. City and Contractor hereby agree that except as
expressly provided herein, the provisions of the Agreement shall be, and remain in
full fotce and effect and that if any provision of this Amendment conflicts with the
Agreement, then the provisions of this Amendment shall prevail.

Revised Exhibit B

Scope of Services

The scope of services describes the work to be performed by HDR on behalf of the City. The
work to be performed includes Project Management, Submittal Review, Inspection, as defined

below.

Task 1 — Project Management and Meetings

Objective:

Perform overall project management of the work effort.

Services Provided by HDR:

Set-up and maintain project filing system.

Prepare project management and safety plans.

Prepare agreements/purchase order requisitions for subconsultants/vendors.
Prepare and review project correspondence.

Conduct regular internal project team meetings to track project status, identify
information needs, and provide overall coordination of the work effort.
Conduct and document internal management reviews of the work progress and quality
assurance/quality control (QC/QC) reviews of the work product.

Prepare monthly project invoices and progress reports.

Meeting to coordinate pump can inspection requirements.

Deliverables

Set-up and maintain project filing system

Task 2 Coating Specification

Objective:

Prepare a coating specification recommendation for the pump cans.

Services Provided by HDR:

HDR shall prepare a coating specification recommendation for recoating the pump cans.
The specification shall identify the required surface preparation, coating material,
thickness, etc.

Deliverables

Draft and final specification

Task 3 Submittal Review

Objective:
e Review contractor submittals

Services Provided by HDR:

© Review up to four contractor submittals. A total of 24 hours have been budgeted for
submittal review.

e Submittal review comments
e Submittal tracking log

Task 4 — Inspection Services

HDR and RFI Consultants LLC, as subconsultant to HDR, will provide inspection services for the
pump can repairs. The inspection services will include the following for each of the seven pump
cans:

Surface Preparation Inspection

Applied coating inspection and holiday test

Re-inspect any repairs to the applied coating system and holiday test the repairs.

In order to complete the inspection, City and Contractor shall be responsible for the
following:

Consultant shall enter pump can under the Contractor's confined space program.
Contractor shall provide confined space equipment including tripod, active ventilation,
etc.

e Consultant shall enter pump can under the Contractor's permit.

e Contractor shall provide tripod and entry supervisor for entering each pump can.

A total of 21 inspections has been included in this task. Subconsultant inspection fee shall be
$650 per pump can. Additional inspections in excess of 21 can be provided for an additional fee.
