AMENDMENT NO. 1 
LINKING AGREEMENT 
(Informer Systems, LLC, Contract No. C21-0292) 
 
This Amendment No. 1 (“Amendment”) to the Linking Agreement for Schedule Express 
workforce management scheduling solution (“Agreement”) is made this ______ day of 
________________, 2022, (“Effective Date”), by and between the City of Glendale, an 
Arizona municipal corporation (“City”), and Informer Systems, LLC, d/b/a SafeCities, a 
Delaware limited liability company, authorized to do business in Arizona (“Contractor”), 
herein individually as a “Party” and collectively as the “Parties.” 
 
RECITALS 
 
A. 
City and Contractor previously entered into a Linking Agreement for Schedule 
Express workforce management scheduling solution, Contract No. C21-0292, dated 
April 13, 2021 (“Agreement”); and 
 
B. 
The Agreement has an initial two-year term, with the option to renew for three 
additional one-year periods; and 
 
C. 
The City needs to add 127 users to Schedule Express for a new total of 428 users; 
and  
 
D. 
City and Contractor wish to modify and amend the Agreement subject to and strictly 
in accordance with the terms of this Amendment; and 
 
E. 
All other provisions of the Agreement except as set forth in this Amendment shall 
remain in their entirety. 
 
 
AGREEMENT 
 
In consideration of the mutual promises set forth herein and other good and valuable 
consideration, the receipt and sufficiency of which are hereby acknowledged, the City and 
District hereby agree as follows: 
 
1. 
Recitals.  The recitals set forth above are not merely recitals but form an integral 
part of this Amendment. 
 
2. 
Term.  The initial term of the Agreement remains unchanged and shall expire June 
24, 2023, unless otherwise terminated or canceled as provided by the Agreement.   
 
 
3.  
Compensation. The original compensation reflected in Section 3 of the Agreement 
is being amended and increased.  The total purchase price for the supplies and/or 
services purchased under this Agreement shall not exceed sixty-four thousand two 
hundred dollars ($64,200) annually or three hundred twenty-one thousand ($321,000) 
for the entire term of the Agreement (initial term plus any renewals).

4. 
No Boycott of Israel.  To the extent A.R.S. § 35-393 through § 35-393.03 are 
applicable, the parties hereby certify that they are not currently engaged in, and agree 
for the duration of the Agreement to not engage in, a boycott of goods or services 
from Israel, as that term is defined in A.R.S. § 35-393. 
 
5. 
Ratification of Agreement.  City and Contractor hereby agree that except as 
expressly provided herein, the provisions of the Agreement shall be, and remain in 
full force and effect and that if any provision of this Amendment conflicts with the 
Agreement, then the provisions of this Amendment shall prevail.
