AMENDMENT NO. 1
LINKING AGREEMENT WITH MOTOROLA SOLUTIONS, INC.
(State Contract No. CTR046830, Contract No. C20-1112)
This Amendment No. 1 (“Amendment”) to the Linking Agreement with Motorola
Solutions, Inc. (“Agreement”) is made this ______ day of ________, 2022, (“Effective
Date”), by and between the City of Glendale, an Arizona municipal corporation (“City”) and
Motorola Solutions, Inc., a Delaware corporation authorized to do business in Arizona
(“Contractor”).
RECITALS
A.
City and Motorola Solutions, Inc. (“Contractor”) previously entered into a Linking
Agreement, Contract No. C20-1112, dated December 17, 2020 (“Agreement”); and
B.
City and Contractor wish to modify and amend the Agreement subject to and strictly
in accordance with the terms of this Amendment.
AGREEMENT
In consideration of the mutual promises set forth herein and other good and valuable
consideration, the receipt and sufficiency of which are hereby acknowledged, the City and
Contractor hereby agree as follows:
1.
Recitals. The recitals set forth above are not merely recitals, but form an integral
part of this Amendment.
2.
Term. The original term of the Agreement is unchanged and shall expire on
October 9, 2024.
3.
Scope of Work. The Scope of Work is being amended to add NICE Elite Logging
Recorder Solution. Additional Scope of Work can be found in Exhibit A.
4.
Compensation. The compensation is being amended to a not to exceed amount of
$720,688.00.
5.
Non-discrimination. Contractor must not discriminate against any employee or
applicant for employment on the basis of race, color, religion, sex, national origin,
age, marital status, sexual orientation, gender identity or expression, genetic
characteristics, familial status, U.S. military veteran status or any disability.
Contractor will require any Sub-contractor to be bound to the same requirements as
stated within this section. Contractor, and on behalf of any subcontractors, warrants
compliance with this section.
6.
No Boycott of Israel. To the extent A.R.S § 35-393 through § 35-393.03 are
applicable, the parties hereby certify that they are not currently engaged in, and agree

for the duration of the Agreement to not engage in, a boycott of goods or services
from Israel, as that term is defined in A.R.S. § 35-393.
7.
Ratification of Agreement. City and Contractor hereby agree that except as
expressly provided herein, the provisions of the Agreement shall be, and remain in
full force and effect and that if any provision of this Amendment conflicts with the
Agreement, then the provisions of this Amendment shall prevail.

SECTION 1
SYSTEM
DESCRIPTION
1.1
INTRODUCTION
Motorola Solutions Inc. (“Motorola”) is proposing a NICE Inform Multimedia Recorder
solution to replace the City of Glendale’s (“Glendale”) existing Verint recording system.
The NICE Inform Multimedia Recorder can capture and integrate data from digital,
analog, and VoIP calls, as well as conventional and P25 radio transmissions, LTE
(ESN), text–to-911, video, images, console screens, and ICCS and CAD data. It gives
agencies unmatched flexibility to record, log, share, and collaborate on local and multi-
site communications. With a combination of on-premise and cloud-based deployments,
customers can move closer to i3 compliance.
1.2
PROPOSED SOLUTION
The solution consists of 85 primary channels, 24 radio channels, 61 resilient channels,
screen recording for 13 PC’s and includes CAD integration with Glendale’s PremierOne
Computer-Aided Dispatch backup server. Glendale’s existing AIS logging interface will
be reused to supply audio and metadata to the 24 channels of IPLog radio recording.
1.2.1
Inform V10 Elite Software Solution
The NICE Inform Server hosts the NICE Inform database, the NICE Inform Server
software services, and the web interface that is used by the clients to start the NICE
Inform Applications. The NICE Inform Server software provides a single-entry point into
the underlying logging systems. The following Modules and functionality are included:

Hardware and Channels:
The “NICE Inform Recorder” (NIR) solution platform will be deployed in the following
user scenarios for this proposed deployment.
An NIR Astro 25 IPLog Radio Channel logger HP DL360 Moto V1 2021 which will
support logging 24 channels of Astro 25 talkgroups and will be installed on the Motorola
Radio Network Interface (RNI). Deployed on the RNI with the IPLog server will be a
second HP DL360 Local Backup Server (LBS).

A primary NIR telephony logger (HP ML350) will support the recording of the following
devices:
13 Vesta consoles via SPAN port with ECDR.
16 Mitel phones via customer provided 2-wire analog output.
32 analog 2-wire connections.
Inform Server V10 with MS SQL 2019.
A 2N NIR telephony logger (HP ML350) will support the recording of the following
devices:
13 Vesta consoles via SPAN port with ECDR.

Inform Health Manager.
The NICE Inform Health Manager is an alarm management solution that provides
detailed device monitoring of the system. The NICE Health Manager software will be
installed on the secondary Inform / Storage Server. See System Health and Security
(1.3.4.4)
Screen Capture server HP DL380 is provided as a satellite server to the Primary NIR
and is responsible for screen capture and logging of the 13 PC’s.
Retention: The solution can support two years of retention with fourteen days of screen
recording.
1.3
RACK SPACE AND POWER REQUIREMENTS
The proposed system consists of 2 HPDL360 servers, 1 DL380 server and 2 ML350
servers. These servers will need to be rack mounted in the current data room where the
existing Verint recorders reside to access the logging inputs utilized for installation of the
system. The new NICE system is recommended to be completely installed in a separate
rack leaving the current logging system intact. Parallel operation will promote the best
solution to cutover minimizing data loss if any.
The recording system will require 21RU of rack space (36 inches) including air
circulation spaces and a Motorola supplied KVM. Floor load weight will be approximately
388 pounds. 26 amps of current draw capacity is required for the five servers and the
KVM.
For air conditioning considerations, the total BTU thermal heat dispersion per hour will
be 11123 BTU’s.
1.4
DESIGN ASSUMPTIONS
Motorola has made several assumptions in preparing this proposal, which are noted
below. Motorola will need to verify all assumptions or seek alternate solutions in the case
of inaccurate assumptions.

The existing equipment location will have sufficient space available for the system
described as required/specified by Motorola’s R56 Guidelines for Communications
sites
The Customer will be responsible for providing ANI/ALI data to the rear (demark) of
the NICE recorder or capture device server. If ANI/ALI is delivered via RS232 the
cable supplied by the customer must be terminated in a DB9 FEMALE connector.
Main and backup power at the proposed site location is sufficient and capable of
supporting the additional equipment and supporting continued operation of legacy
recording equipment if required. Any upgrades required are the responsibility of the
city of Glendale.
The Mitel interface quoted is for analog recording via a customer provided 2-wire
analog output.

1.6.1
Recording
The NICE Inform Multimedia Recorder is designed to meet the mission-critical needs of
the most demanding public safety emergency communications environments. It can be

tailored to meet your specific requirements, with recording capability for both ASTRO 25
and conventional radio, LTE/FirstNet, and TETRA. It reliably records 911 calls for a
variety of Call Handling systems (digital, analog, and VoIP – including i3 SIPREC) and
can automatically collect, store and associate detailed call data with each 911 call.
Similarly, text–to-911 communications can also be recorded and automatically
synchronized with voice communications.
Depending on the extent of its configuration and licensing, the NICE recorder can
capture console screen activity, CAD data and events, location data from mobile radio
units and phones, GIS Mapping, Enhanced Data EIDD, and more. The solution can also
incorporate other NG911 elements, such as pictures and videos.
The solution can scale and adapt from single-position Public Safety Answering Points
(PSAPs), to complex environments with multiple sites and multiple networks. It can also
integrate local recording with cloud-based media and data capture in ESInet.
1.6.1.1 Motorola Solutions Certified IP Radio Recording
Feature highlights
Integrates with the Motorola Solutions ASTRO 25 radio network and MCC7500

Captures a wealth of data with each recording, including Talk Group, Alias, Unit ID,
Emergency Button activation and much more.
Accommodates as many as 256 Talk Groups per logger (no additional cost).
Records in high-quality digital format. User can listen to calls as the Dispatcher
heard it (no enhancements) or use enhancements to better hear what was said.
1.6.1.2 Call Taking Audio (NIR Loggers)
The NICE Recording platform can be configured to capture a variety of audio inputs,
including analog, digital TDM, and IP telephony (i3 – SIP). It offers the highest security
levels through rules-based access, AES 256-bit encryption at rest and in transit, MD5
fingerprinting, granular user access profiles, and web-based administration.
NICE Inform Multimedia Recorder can also span all forms of NG 911 communications,
including inbound and outbound text messages, certified direct IP, web interface, and
TTY.
The NICE Recording platform can capture a wide variety of data with every call. The
solution integrates with the data spill for the most popular call handling systems.
Tested at all industry collaboration events, NICE Inform Multimedia Recorder is a future-
proof platform designed to comply with National Emergency Number Association’s
(NENA’s) i3 NG911 standards, and European Emergency Number Association’s
(EENA’s) NG112 standards.
By taking advantage of commercial off-the-shelf (COTS) hardware and customer-
provided network storage devices, this award-winning voice recording solution provides
dependable performance while reducing total cost of ownership.

1.6.1.3 Call Data for 911
NICE delivers vendor-specific integrations with all major Call Taking and Dispatch
vendors, resulting in enhanced metadata collection specific to the call handling and
dispatch processes.
NICE also captures ANI/ALI data (with re-bids) from a variety of providers and carriers.
Further, NICE shows the moment of delivery on the call timeline in the user-friendly GUI
– helping customers see how the event unfolded and when data arrived or changed.
1.6.1.4 CAD Integration
NICE Inform can automatically collect and synchronize CAD incident data and events
with recorded communications. CAD integration also enhances the quality and scope of
insights from reporting and quality assessment of emergency communications.
1.6.1.5 Text-to-911
The solution logs all SMS Text-to-9-1-1 communications and associated metadata. It
links and synchronizes text interaction recordings with all other forms of communication,
facilitating comprehensive searches, reporting, incident reconstruction, and quality
evaluation.

1.6.1.6 Screen Recording
The NICE Inform Multimedia Recorder captures all activities on multiple operator
workstation screens for each position. Recorded screen video is synchronized with other

recorded multimedia information, such as 9-1-1 calls, radio transmissions, and text-to-
911 for complete incident reconstruction.
1.6.1.7 Centralized Archiving
This secure, central archiving architecture supports multiple, distributed recording
systems. It also provides a stepping stone to a cloud archiving solution. With Centralized
Archiving in place, NICE Inform can replay recordings from the Centralized Archive, if
site/original loggers are not available.
1.6.2
Built-in Resiliency and Fault Tolerance
Motorola Solutions offers high-value options for redundancy and resiliency of both
hardware and software components of the recording solution.
A seamless user experience is assured with centralized search and replay; the solution
allows recordings from primary and backup resources to be automatically paired, but
can suppress the display of duplicate calls in user interfaces. This means that although
the calls are recorded twice, only a single call is returned in search results.
1.6.2.1 Resiliency Standard
Each logger has RAID 1 or RAID, 5 to prevent data loss.
Each logger has redundant power supplies
Radio Loggers offer up to 150,000 hours of redundant storage in the standard
bundle. The NICE radio recording solution comes with two servers; one for Logging
and one for storage. The Logger holds up to 150,000 hours of audio, and the
Storage Server holds up to 500,000 hours. This means that the most recent 150,000
hours of audio are stored separately in two servers.
The Storage Server can also be used to provide a backup of call metadata stored in
your MS SQL database. Distributed Architecture: Separate recording servers for
radio and telephone prevent a single failure from disabling your entire recording. E
The Motorola Solutions Radio Network and the Customer Network are connected by
a Border Router and Firewall. A Motorola Solutions Certified solution by NICE
resides on the radio network and so does not depend on these devices. This
reduces the number of possible points of failure. Non-Certified recording solutions
require the proper functioning of both Border Router and Firewall.
1.6.2.2 Redundant Recording
Parallel recording redundancy (2N) offers the most secure data protection. Redundant
recording servers can be dispersed across sites, enabling 9-1-1 centers to achieve
geographic redundancy, facilitating recovery of data in the event of a disaster.
Redundant replay infrastructure (parallel NICE Inform servers in primary/backup
configuration) assures uninterrupted user access to recordings. Redundant recording
server configurations (2N / N+1 Satellite resilience, CTI Server resilience etc.) add
flexibility to the design of resilient systems when full 2N resilience is not appropriate.

Inform Applications
1.6.3.1 Reconstruction – Search, Visualization, Playback
NICE Inform interface is comprised of modular applications for advanced incident
information management. Using NICE Inform, the process of event reconstruction,
investigation and information-sharing is efficient and complete.
A single interface allows users to store incident information in an incident folder. Users
can then enrich the incident folder by adding post-incident information. Tools are
available to securely share this information with others.
Every action taken on any of the recordings, or within the system itself, is logged in audit
trail, enabling detailed activity monitoring as an added layer of security.

1.6.3.2 Audio Search, Replay & Live Monitoring
NICE Inform Elite provides an application for the search and replay of all recordings –
combining radio, telephony, and text-to-911 calls. It consolidates all captured recordings
into a single, synchronized timeline for true incident reconstruction and playback.
Quickly find recorded communications based on caller ID, incident type, location
information, call duration, date and time, user name, channel ID, call direction, CLI/dialed
numbers, Incident ID, Incident type, notes, and/or marked calls.
Recent Call Replay
Authorized users may replay the last recordings (over configurable search period) on up
to 50 resources.

Audio Redaction
Fully integrated with the NICE Inform Reconstruction application. Redacted call
segments are replaced with silence or audible tone in a copy of the recording. Original
recording remains intact.
GIS Mapping of Incident Recordings and Data
Associates radio transmissions or telephone calls with geographic locations and displays
all information on a map. Location-based searches allow users to click and drag around
the map view to define or refine their search.
Inform Matrix Multi-Agency System Sharing
The solution allows shared access to recordings between servers in a controlled and
secure manner with multi-tenancy, involving agency-partitioned servers, linked to local
recorders.
Search for Recordings using CAD Data – Included
Note: Prerequisite CAD integration is required for this feature.
Allows users to find all recordings related to the same incident and related incidents
more quickly and with greater precision using unlimited scope of CAD data. Search
results include visualizations of recorded phone, radio and text communications,
synchronized with incident events. such as incident entry time, time of dispatch, en-
route, on-scene, and more.
1.6.3.3 System and User Administration
The System Administration function enables an authorized user to configure the Inform
applications server to connect to the media capture servers and to label system
resources.
User administrators set up system-wide and user-by-user security for the system. Every
user requires a security account, which is used to control access to all Inform modules,
module features, and recorded channels and resources in the system.

The principal tasks involved with Inform System Administration include:
Addition, editing, and removal of recording systems or recorders.
Assigning user-specified names or labels to each channel
Pairing primary and secondary channels.
Creating groups of channels to enable security rights management of a group of
channels as a single entity.

NICE Inform guards and verifies the authenticity of each recording, from capture and
inclusion in incident reconstruction folders to distribution and sharing.
Access to recordings and other user actions is tracked and logged in audit trails for
comprehensive monitoring.

The solution also monitors system events and initiates alarms and alerts in response to
anomalies.

Audit Trail Reporting
An audit trail of all actions taken on any of the recordings (or within the system itself) is
kept in quarantine. Solution interface enables searches to pinpoint a specific user or
system action. The desired audit trail information can be exported in a CSV file.
Monitoring and Alarming
System status is tracked using SNMP alerts. Hardware and software components are
SNMP-compliant (each with a custom MIB file) and provide real-time system monitoring
and alerting to the SNMP Manager(s).
1.6.3.5 Organizer – Incident Reconstruction
NICE Inform Organizer is a unique incident management application for information
assembly, debriefing, and distribution. This application makes it easier to collect,
organize, and share multimedia content for investigations, while protecting chain of
custody.
Assemble and organize any number of records into folders created for each incident.
Include multimedia recordings captured by NICE system and add documents, photos,
video clips, audio, or virtually any other third-party content, including accident or crime
scene evidence from citizen mobile phones.

This application also streamlines and standardizes sharing of incident records with
internal and external parties.

Distribution with Media Player
Authorized users can export incident folders as encrypted, password-protected,
executable files. Include certification audio to authenticate and introduce contents of the
folder. Redact one or multiple sensitive segments of audio recordings prior to exporting,
while preserving the integrity of originals. Recipients can visualize and play the contents
of the exported files in the same synchronized manner as the Sender – as well as view
any notations. If you wish to burn the records onto CD or DVD media, the burning
software is built-in for your convenience.
1.6.3.6 Evaluator – Quality Assurance Evaluation
NICE provides a Public Safety quality assurance and improvement (QA/QI) solution that
helps PSAPs reduce risk and improve emergency response – by identifying
telecommunicator knowledge gaps and compliance weaknesses.

Through consistent, objective, and properly focused quality evaluation, PSAPs can
provide constructive feedback. This helps with recognizing consistent, exemplary
performance, improving employee accountability, professionalism, and job satisfaction.
Inform Evaluator
Inform Evaluator helps emergency centers better identify and remedy performance
issues, knowledge gaps and compliance violations. It adapts to specific requirements of
each agency by providing interfaces for the creation of custom QA rating forms. Users
can also take advantage of pre-created, default evaluation forms that mirror the forms
offered in the APCO & NENA standards for QA.
NICE Inform Evaluator also improves the objectivity of call selection for QA with
automated, rules-based schedules that select recordings for review and assign them to
evaluators.
The QA process becomes even more efficient when CAD data is added to the solution.
Defining searches and auto-selection rules using Incident Numbers, Severity, and other
CAD data can significantly improve the speed and effectiveness of the QA process. This
also enables increased focus on specific types or categories of recordings, such as
‘Priority 1’ or specific incident types such as cardiac arrest, drug overdose, domestic
violence, etc.

SECTION 3
STATEMENT OF
WORK
3.1
INTRODUCTION
Motorola will install and configure the proposed equipment summarized in the attached
System Description and Equipment List. The following table describes the project tasks
and responsibilities involved throughout the lifecycle of the project.
Prior to starting any equipment installations, Motorola and Glendale shall conduct a site
readiness review examine existing work, or work performed by others, that is required to
support the proposed design.
Implementation services included as part of this proposal are based on a single
mobilization and will occur during normal business hours, Monday – Friday. Should
Glendale require services to occur during non-business hours, additional costs may
apply and will be handled via the change order process.
Customer is responsible to provide to NICE a remote access solution to allow for
remote connection.

Either Party may request changes to the general scope of this Agreement. If a requested
change causes an increase or decrease in the cost or a change in system configuration
the Parties will agree to an equitable adjustment of the Contract Price and will reflect the
adjustment in a Change Order. Neither Party is obligated to perform requested changes
unless both Parties execute a written Change Order.

The estimated time for completion of the project is six months from Project Kickoff

TRAINING PLAN
Motorola’s proposal includes the following training to be delivered by NICE. A detailed
training schedule will be developed prior to project implementation.
NICE Inform: 2-day instructor led training - (2 Sessions) for up to 6 students each
session held at client site or remotely. Covers Verify, Monitor, Reconstruction, Organizer
and Reporter, as well as administration applications.
NICE Inform QA Pack (Inform Evaluator and Reporter) 1-day instructor led training
– (2 Sessions) for up to 6 students each session.
NICE Inform Health Manager : 4-hour instructor led training for Basic / Operator
users for up to 6 students. Delivered remotely by default.
Training facilities will need to be provided by Glendale including:
Comfortable conditions for the training sessions
Playback PC workstations connected to the Inform server (in adequate numbers)
Projector connected to a Playback PC
A whiteboard or flip chart is desirable
Customer is responsible for downloading Webex for any remote delivered training.

PLAN
System Acceptance of the proposed solution will occur upon successful completion of a
Functional Acceptance Test Plan (FATP), which will test the features, functions, and
failure modes for the installed equipment in order to verify that the solution operates
according to its design. This plan will validate that the proposed solution will operate
according to its design. A detailed FATP will be developed and finalized during the
Design Review.

WARRANTY AND
MAINTENANCE
Motorola Solutions will provide warranty services per our standard warranty terms and
conditions as outlined within the terms and conditions of Arizona State Contract #
CTR046830. In addition to the warranty services, Motorola Solutions will provide during
the Warranty Period above-warranty services that are described generally below. A full
description and statement of work describing the services that will be provided are
available upon request.
7.1.1
Technical Support
Technical support provides centralized remote telephone support for technical issues
through the experienced system technologists at Motorola's Solutions Support Center
(SSC). Once personnel call for support, a support case will be opened and logged. The
SSC technologists will use their experience, a consolidated solutions database, in-house
test labs, and development engineers to ensure the rapid resolution of the issue.
Incident management and escalation procedures are in place to ensure that contracted
response and restore times are met. Since each incident is monitored and recorded, the
resulting metrics can be analyzed to ensure ongoing system performance.
7.1.2
Infrastructure Repair
Infrastructure Repair provides for the repair of the equipment in the proposed solution,
whether it is manufactured by Motorola or by another vendor. All equipment will be sent
to Motorola's Infrastructure Depot Operations Center (IDO), a centralized location, where
factory-trained technicians will use ISO9001 and TL9000-certified methodologies to
troubleshoot, repair, and test the equipment to bring it to working order. Motorola will
also send third-party equipment to the original equipment manufacturer or third-party
vendor for service, coordinating and tracking its repair and return. All components will be
repaired or replaced prior to return.
7.1.3
Onsite Infrastructure Response
Onsite Infrastructure Response provides local qualified technicians who arrive at your
location to diagnose and restore the system. Following proven response and restore
processes, Motorola's Call Center contacts the local authorized service center in your
area and dispatches a qualified technician. Our case management and escalation
process ensures that arrival of the technician on-site and system restoration comply with
contracted response times. If the technician is unable to resolve the issue on site, the
case is escalated to the Solutions Support Center (SSC) or product engineering teams
for support as needed.

7.1.4
Dispatch and Incident Management
Dispatch ensures that local, trained and qualified technicians will arrive at the equipment
location to diagnose and restore their communications network. When a notification
occurs from an automatic alarm or through a scheduled maintenance notification,
Motorola's Call Center assigns a number to the incident and triages the issue with the
appropriate support team. The Call Center oversees all aspects of the event and
incident management process during repair and restoration, tracking open issues to
ensure that they are managed to resolution within the required time frame. This
continuous oversight provides a record of events associated with each case that can be
presented in the form of incident activity reports.
7.2
POST WARRANTY SERVICES
Upon expiration of the Warranty Period, the solution may be added to the existing
support agreements and pricing will be updated per the terms of the support agreement.

8.1
PAYMENT TERMS
Payment for the System purchase will be in accordance with the following milestones.
System Purchase:
1. 50% of the Contract Price due upon contract execution (due upon effective date);
2. 50% of the Contract Price due upon Final Acceptance.
Motorola shall make partial shipments of equipment and will request payment upon
shipment of such equipment. In addition, Motorola shall invoice for installations
completed on a site-by-site basis or when professional services are completed, when
applicable. The value of the equipment shipped/services performed will be determined
by the value shipped/services performed as a percentage of the total milestone value.
