LINKING AGREEMENT
BETWEEN
THE CITY OF GLENDALE, ARIZONA
AND
CINTAS CORPORATION NO. 2
THIS LINKING AGREEMENT (this “Agteement”) is entered into as of this day of
, 2022, between the City of Glendale, an Arizona municipal corporation (the “City”), and Cintas
Corporation No. 2, 2 Nevada corporation authorized to do business in Arizona (“Contractor”),
collectively, the “Parties.”
RECITALS
On December 13, 2018 under OMNIA / US Communities, the Prince William County Public
Schools entered into a contract with Contractor to purchase the goods and services described
in the Facilities Management Products and Solutions, Master Agreement R-BB-19002
(“Cooperative Purchasing Agreement”), which is attached hereto as Exhibit A. The
Cooperative Purchasing Agreement permits its cooperative use by other governmental
agencies including the City.
Section 2-149 of the City’s Procurement Code permits the Materials Manager to procure goods
and seryices by patticipating with othet governmental units in cooperative purchasing
agreements when the best interests of the City would be served.
Section 2-149 also provides that the Materials Manager may enter into such cooperative
agreements without meeting the formal or informal solicitation and bid requirements of
Glendale City Code Sections 2-145 and 2-146.
The City desires to contract with Contractor fot supplies or services identical, or nearly
identical, to the supplies ot services Contractot is providing other units of government under
the Cooperative Purchasing Agreement. Contractor consents to the City’s utilization of the
Cooperative Purchasing Agreement as the basis of this Agreement, and Contractor desites to
enter into this Agreement to provide the supplies and services set forth in this Agreement.
AGREEMENT
NOW, THEREFORE, in consideration of the foregoing recitals, which are incorporated by reference,
and the covenants and promises contained in this Linking Agreement, the parties agree as follows:
1.
Term of Agreement. The City is purchasing supplies and/or services from Contractor
pursuant to the Cooperative Purchasing Agreement. According to the Cooperative
Purchasing Agreement, purchases can be made by governmental entities from the date of
awatd, which was December 13, 2018, until the date the contract expites on October 31, 2023
unless the term of the Cooperative Purchasing Agreement is extended by the mutual
agteement of the original contracting parties. The Cooperative Purchasing Agreement,
however, may not be extended beyond October 31, 2027. The initial period of this Agreement,
therefote, is the period from the Effective Date of this Agreement until October 31, 2023.
The City may renew the term of this Agreement for two (2) two-year periods until the
1/2/2020

Cooperative Purchasing Agreement expires on October 31, 2027. Glendale renewals are not
automatic and shall only occur if the City gives the Contractor notice of its intent to renew.
The City may give the Contractor notice of its intent to renew this Agreement 30 days prior
to the anniversary of the Effective Date to effectuate such renewal.
Scope of Work; Terms, Conditions, and Specifications.
A. Contractor shall provide City the supplies and/or services identified in the Scope of
Work attached as Exhibit B.
B. Contractor agrees to comply with all the terms, conditions and specifications of the
Cooperative Purchasing Agreement. Such terms, conditions and specifications are
specifically incorporated into and are an enforceable part of this Agreement.
Compensation.
A. City shall pay Contractor compensation at the same rate and on the same schedule as
provided in the Coopetative Purchasing Agreement, which is attached heteto as
Exhibit C.
B. The total purchase price for the supplies and/or services purchased under this
Agreement shall not exceed $124,740 dollars for the entite term of the Agreement
(initial term plus any renewals).
Cancellation. This Agreement may be cancelled pursuant to A.RS. § 38-511.
Non-discrimination, Contractor must not discriminate against any employee or applicant for
employment on the basis of race, color, religion, sex, national origin, age, marital status, sexual
orientation, gender identity or expression, genetic characteristics, familial status, U.S. military
veteran status or any disability. Contractor will require any Sub-contractor to be bound to the
same requirements as stated within this section. Contractor, and on behalf of any
subcontractors, warrants compliance with this section.
Insurance Cettificate. A certificate of insurance applying to this Agreement must be provided
to the City prior to the Effective Date.
E-verify, Contractor complies with A.RS. § 23-214 and agrees to comply with the
requirements of ARS. § 41-4401.
No Boycott of Israel. To the extent A.R.S § 35-393 through § 35-393.03 are applicable, the
parties hereby certify that they are not currently engaged in, and agree for the duration of the
Agreement to not engage in, a boycott of goods or services from Israel, as that term is defined
in A.R.S § 35-393.
Attestation of PCI Compliance. When applicable, the Contractor will provide the City
annually with a Payment Card Industry Data Security Standard (PCI DSS) attestation of
compliance certificate signed by an officer of Contractor with oversight responsibility.

any of its subsidiaries and affiliates) _ 6800 Cintas Bivd., Mason OH 45040, hereinafter referred
to as the “Contractor” and Prince William County School Board, P.O. Box 389, Manassas, VA
20108, hereinafter referred to as the “Prince William County Public Schools’, “Purchasing Agency”
or “PWCS”.
WITNESSETH that the Contractor and PWCS, in consideration of the mutual covenants, promises
and agreements herein contained, agree as follows:
1.
SCOPE OF CONTRACT: Contractor shall provide Facilities Management Products and
Solutions for Prince William County Schools, Virginia on behalf of all states, local
governments, school districts, and higher education institutions in the United States of
America, and other governmental agencies and nonprofit organizations.
CONTRACT DOCUMENTS: The contract documents shall consist of the following:
2.1. This signed Contract document;
2.2, Memorandum of Negotiations dated November 1, 2018 (Attachment A)
CONTRACT TERM AND RENEWAL:
3.1. The initial term of this contract shall be from December 13, 2018 through
October 31, 2023, with the option to renew for two (2) additional two (2) year
periods, upon mutual written consent of the parties to the contract. Proposed
prices shall remain firm for the initial term of the contract.
3.2. The products and services which are the subject of this Master Agreement may
be covered by a service or maintenance agreement. The term of the service or
maintenance agreement shall be governed by that document and may survive
the expiration of this Master Agreement.
CONTRACT ADMINISTRATOR: As the Contract Administrator, the following individual,
or his designee, shall serve as the interpreter of the conditions of the contract and shall
use all powers under the contract to enforce its faithful performance.

PRICING: In accordance with applicable percentage discounts and prices, per attached
Contractor's response dated September 25, 2018 and negotiated prices/rates negotiated
September 25, 2018 (see attached).
PAYMENT TERMS: 2% Discount Net 15, Standard terms are Net 30 days
7. TERMINATION FOR CONVENIENCE:
7.1. If this agreement is cancelled for convenience in the first twelve months of the
term, Customer shall pay as a termination fee equal to 50 weeks of rental service.
7.2. If this agreement is cancelled for convenience in months thirteen (13) through
eighteen (18) of the term, Customer shall pay as a termination fee. equal to 36
weeks of rental service.
7.3. If this agreement is cancelled for convenience in months nineteen (19) through
twenty-four (24) of the term, Customer shall pay as a termination fee equal to-23
weeks of rental service.
7.4. \f this agreement is cancelled for convenience after 24 months of service,
Customer shall pay as a termination fee of 10 weeks of rental service.
7.5. Customer shall also be responsible to return all of the Merchandise allocated ‘to
such Customer locations terminating this Agreement or pay for any damaged, lost
or unreturned goods at the then current Loss/Damage Replacement Values and
for any unpaid charges on Customer's account prior to termination.

Prince William County Schools (hereinafter calléd PWCS) and Cintas Corporation No. 2
(hereinafter called the Contractor) hereby agree to the following in the execution of
Contract R-BB-19002 for Facilities Management Products and Solutions. The final
Contract contains the following documents:

GOMPANY HAS MADE NO REPRESENTATION, WARRANTY, OR COVENANT
WITH RESPECT TO THE FLAME-RESISTANT QUALITIES OR OTHER
CHARACTERISTICS OF THE FRC OR WITH RESPECT TO THEIR FITNESS
OR SUITABILITY FOR THIS OR ANY OTHER PURPOSE. COMPANY MAKES
NO REPRESENTATION WHETHER THE FRC CONSTITUTES APPROPRIATE
PERSONAL PROTECTIVE EQUIPMENT FOR THE ENVIRONMENT(S). TO
WHICH CUSTOMER’S EMPLOYEES OR AGENTS MAY BE EXPOSED OR AS
TO THE FRC’S ABILITY TO PROTECT USERS FROM INJURY OR DEATH.
Customer agrees to. notify all employees and other agenis of Customer who may
wear or will be wearing the FRC that it is not designed for substantial heat
exposure or for use around open flames, Customer acknowledges that
compliance with any and all OSHA or other similar regulatioris or requirements
relating to personal protective equipment is the sole responsibility of Customer.
Further, Customer releases Company from any and all liability that results or may
result from the use. of the garments, including but not' limited to any alleged
failure of the FRC to function as flame-resistant or provide protection against fire
and/or heat. Customer hereby agrees to defend, indemnify and hold harmless
Company from any claims and damages arising out of or associated with this
Agreement or resulting from Customer's or its employees’ use of the FRC.
i. For high visibility garrnents: Customer bears sole‘responsibility for: (a)
determining the level of visibility needed by wearers, of the garments for their
specific work conditions. or uses: (b) identifying and selecting which garments
meet the required level of visibility for any particular work conditions or uses; and
(c) determining when garments require repair or replacement to meet the
réquired level of visibility. If garment needs to be replaced outside of normal wear
and tear, the customer will be charged the then current replacement value.
Customer acknowledges and understands that the garments alone do not ensure
visibility of the wearer. Customer further acknowledges that Company is relyirig
upon Customer to determine whether any garments need repair or replacement
to maintain the required level of visibility. Company represents only that.the
garments supplied satisfy certain ANSIIISEA standards to the extent the
gatrnents are so labeled. Customer acknowledges that Company has made. no
other representations, covenants or warranties whether express or implied,
related to the garments.

1. How often do you update your inventory? Are all new deployments brand new
uniforms or are they recycled from past agencies?
All rental uniforms-are put through quality Inspection weekly when turned in for
laundry. If it is-determined that a garment needs replaced due to normal wear; it will be
upgraded. Age of garment is not a factor as QA is graded upon condition. New wearers
cauld get new uniform if not available in ttie local stockroom, However, I? stock is
available, uniforms can be recycled If they are in-“llke-new" graded condition. Customer
can request-all new hires get new uniforms, however the lead tinve to install would be
extended.
2. Are your vending options available asa part of this proposal (for scrubs or other

We have-attached the scope of work for both Coil Cleaning and-our procéss for Tile and
Carpet Cleaning. As the work of both services is proprietary, we would ask that the
attached relative to those services be redacted. While we do have experience with
regutations like MS4. We have also attached our protocol for the discharge of both
liquid and solid wastes Incurred in the performance of these services, Cintas’ Deep

16. Why does California have different pricing for fire and safety?
It cost more to do business in California due to regulatory policies, labar laws, ete.
17. On page 142 you mention “minimal” charges for lockers, rolling racks and soiled
hampers; Can these be provided at no charge? Can these be repaired or replaced as
needed at no charge?
Yes, these will be No Charge.
18. Please explain the additional charges on page 34 for Garment Rental.
Minimtira stop Charge: $35.00-this is the minimum<a site:can average for Cintas to stop
the truck. Agency pays the difference to make-the sérvice at least $35.00, Ex: Actual
weekly rental is $30.00 for tinlfornis ahd mats. Customer ls charged $5.00 as the “min
stop charge” oh top of the $30. To reach a total of $35. We normally suggest product
additions to equal 4 min stop so the customer is paying for products/services.

AED Limitation of Liability. City acknowledges and agrees that Contractor cannot predict the
potential amount, extent, or severity of any damages or injuries that City or others may incur due
to the failure of any AED to work as intended. IF CONTRACTOR OR ITS REPRESENTATIVES
ARE HELD LIABLE FOR ANY REASON FOR ANY LOSS, INJURY, OR DAMAGES OF
ANY KIND THAT ARISES OUT OF, RESULTS FROM, OR IS RELATED TO AEDS
(INCLUDING, WITHOUT LIMITATION, LOSSES, INJURIES OR DAMAGES RESULTING
FROM CONTRACTOR’S SOLE OR PARTIAL NEGLIGENCE, WHETHER ACTIVE OR
PASSIVE), CITY AGREES AND WARRANTS THAT CONTRACTOR’S AND ITS
REPRESENTATIVES’ COLLECTIVE LIABILITY TO CITY, ITS AGENTS, OFFICERS,
DIRECTORS, EMPLOYEES, INVITEES, AND ANY THIRD PARTY SHALL BE LIMITED
EXCLUSIVELY TO $1,000 AS LIQUIDATED DAMAGES. If City wishes to increase the
limitation of liability, City may, as of right, enter into a supplemental agreement with Contractor
to obtain a higher limit by paying an additional amount consistent with the increase in liability.
CITY AGREES THAT THE LIMITS ON THE LIABILITY OF CONTRACTOR AND THE
WAIVERS SET FORTH IN THIS AGREEMENT ARE A FAIR ALLOCATION OF RISKS
AND LIABILITIES BETWEEN CONTRACTOR, CITY, AND ANY OTHER AFFECTED
PARTIES. CITY ACKNOWLEDGES AND AGREES THAT WERE CONTRACTOR TO
HAVE LIABILITY GREATER THAN THAT STATED ABOVE, IT WOULD NOT PROVIDE
THE AED DEVICES TO CITY AT THE PRICES SET FORTH IN THIS AGREEMENT. Neither
party shall be liable to the other or any other person for any incidental, punitive, speculative, or
consequential damages of any type, including, but not limited to, loss of profits or business
opportunity.
