AMENDMENT NO. 2

PARKS DEPARTMENT CUSTODIAL SERVICES
(City of Glendale Solicitation No, 21-17, Contract No. C21-0114)

This Amendment No. 2 (“Amendment”) to the Parks Department Custodial Services
(“Agreement”) is made this day of , 2022, (“Effective Date”), by and
between the City of Glendale, an Arizona municipal corporation (“City”) and PBC Phoenix
Inc., dba CCS Facility Services, a Delaware corporation authorized to do business in Arizona
(“Contractor”).

RECITALS

A. City and CCS Facility Services (“Contractor”) previously entered into the Parks
Department Custodial Services Agreement, Contract No. C21-0114, dated February
9, 2021 (“Agreement”); and

B. The Agreement had an initial one-year term beginning February 9, 2021, through
February 8, 2022, and provided the option to extend for an additional four (4) years
in one-year increments; and

Cc. City and Contractor previously entered into Amendment No. 1 (C21-0114-1), that
increased the scope of work to include seven days a week cleaning services at GYSC
located at 6044 North 91" Avenue, Glendale, AZ 85305; and

D City and Contractor previously entered into Contract Extension No. 1 (C21-0114-2),
extending the term of the Agreement from February 9, 2022 through February 8,
2023; and

1A City and Contractor wish to modify and amend the Agteement subject to and strictly
in accordance with the terms of this Amendment.

AGREEMENT

In consideration of the mutual promises set forth herein and other good and valuable
consideration, the receipt and sufficiency of which are hereby acknowledged, the City and
Contractor hereby agree as follows:

1. Recitals, The recitals set forth above are not merely recitals, but form an integral
part of this Amendment.

2. Term. The term of the Agreement is unchanged and shall expire on February 8,
2023.

3. Scope of Work. The scope of work is hereby amended to include the following
services:

1. Seven days a week cleaning service for the restrooms located at Rose Lane Park,
5003 W. Marlette Ave., O'Neil Park, 6448 W. Missouri Ave., and Bonsall Park, 5821
W. Bethany Home Rd., Glendale, AZ 85305.

2. Cleaning of the Fruit Packing Shed at Sahuaro Ranch Park on an as-needed basis.
The Fruit Packing Shed is located at 9802 N. 59 Avenue, Glendale, AZ 85302.

Compensation. The total compensation for the additional scope and the addition of
the cleaning services added in Amendment No. 1, shall increase the contracted
amount by $337,311, and shall not exceed $1,057,311.

Insurance Certificate. Current certificate will expire on Oct. 1, 2022, and a new
certificate applying to the extended term must be provided prior to this date to
Materials Management and the Contract Administrator.

Non-discrimination. Contractor must not discriminate against any employee or
applicant for employment on the basis of race, color, religion, sex, national origin,
age, marital status, sexual orientation, gender identity or expression, genetic
characteristics, familial status, U.S. military veteran status or any disability.
Contractor will require any Sub-contractor to be bound to the same requirements as
stated within this section. Contractor, and on behalf of any subcontractors, watrants
compliance with this section.

No Boycott of Israel. To the extent A.RS § 35-393 through § 35-393.03 ate
applicable, the parties hereby certify that they ate not currently engaged in, and agree
for the duration of the Agreement to not engage in, a boycott of goods or services
from Israel, as that term is defined in A.R.S § 35-393.

Attestation of PCI Compliance. When applicable, the Contractor will provide the
City annually with a Payment Card Industry Data Security Standard (PCI DSS)
attestation of compliance certificate signed by an officer of Contractor with oversight
responsibility.

Ratification of Agreement. City and Contractor hereby agree that except as
expressly provided herein, the provisions of the Agreement shall be, and remain in

full force and effect and that if any provision of this Amendment conflicts with the
Agreement, then the provisions of this Amendment shall prevail.
