INTERGOVERNMENTAL AGREEMENT 
BETWEEN 
THE STATE OF ARIZONA 
AND 
FLOOD CONTROL DISTRICT OF MARICOPA COUNTY 
THIS AGREEMENT (“Agreement”) is entered into this date ________________________________, pursuant 
to the Arizona Revised Statutes (“A.R.S.”) §§ 11-951 through 11-954 between the STATE OF 
ARIZONA, acting by and through its DEPARTMENT OF TRANSPORTATION (the “State” or “ADOT”) 
and the FLOOD CONTROL DISTRICT OF MARICOPA COUNTY (the “District”), a political subdivision 
of the State of Arizona, acting by and through its Board of Directors. The State and the District are 
each individually referred to as a “Party” and are collectively referred to as the “Parties.” 
I.
RECITALS
1.
The State is empowered by A.R.S. § 28-401 to enter into this Agreement and has delegated
to the undersigned the authority to execute this Agreement on behalf of the State.
2.
The District is empowered by A.R.S. § 48-3603 to construct, operate and maintain flood
control structures and facilities and enter into the Agreement and has authorized the
undersigned to execute this Agreement on behalf of the District.
3.
The State will construct State Route 303 Loop (SR 303 L), from MC 85 to Van Buren Street,
(the “Project”). The District owns, operates and maintains the Loop 303 Outfall Channel (the
“Outfall Channel”) along an alignment similar to the Project.  The purpose of this Agreement
is to define the relationship of the Parties with reference to maintenance and allowing joint
access between ADOT and the District within the other Parties’ access roads. The Project
includes realignment and reconstruction of the Outfall Channel south of the Union Pacific
Railroad (UPRR), a flowage easement to the District on the realigned portion of the Outfall
Channel, a new first flush diversion structure, construction of new outlet structures to the
Outfall Channel, land rights for a portion of the District’s fee land south of the UPRR,
easements for inlet and outlet structures. The Parties will require joint access onto all

existing access roads.  The elements of this Project are shown in Exhibit A, attached and 
made a part of this Agreement. If there are any changes in ADOT’s right of way in the future 
(for example, expansion of roadway) at this location, ADOT and the District will work 
together to maintain joint use. 
4.
The foregoing Recitals and Exhibit A shall be incorporated into this Agreement.
In consideration of the mutual terms expressed herein, the Parties agree as follows: 
II. SCOPE OF WORK
1.
The State will:
a.
Grant, without cost requirements, a permit that renews automatically to the District for 
their use of the State’s access roads to perform necessary inspections and repairs of the 
District’s drainage, structures and associated facilities.
b.
Maintain the drainage features outside the limits of the District’s Outfall Channel right of 
way.
c.
Provide to the District, at no cost, a flowage easement for surface runoff conveyance 
rights to the realigned Outfall Channel within ADOT’s right of way.  Any future 
modifications to the Outfall Channel within the flowage easement shall require a Right-
of-Way Use Permit from the District.
d.
Purchase from the District, pursuant to A.R.S. § 48-3603, any District fee property 
necessary for the Project.
e.
Be responsible for funding, designing, constructing the Project’s storm drain 
connections to the Outfall Channel, the First Flush Basin and diversion structure, and 
the realignment of the Outfall Channel south of the UPRR tracks.
f.
Take the lead, with input from the District, for all aspects of the Project that impacts the 
District’s facilities including land acquisition, easements, environmental permits, utility 
relocations, public involvement, design, landscape and aesthetics, construction and 
construction management.
g.
Obtain a Right-of-Way Use Permit from the District for all preconstruction, 
construction, inspection and maintenance of State improvements within District right-
of-way.  Submit design plans and specifications to the District for review and comment, 
to be provided within 30 days of receipt of the submittal. Incorporate the District’s 
comments as appropriate.
h.
Construct the Outfall Channel facilities in accordance with the District’s latest Design 
Criteria and Specifications and provide design capacity to convey the 100-year flow.
i.
Be responsible for operation and maintenance of the Outfall Channel during 
construction. In addition, be responsible for any cleanup and repairs made necessary by

stormwater or any other discharges in the Outfall Channel during the construction of 
the State Project. 
j.
Require submittal of a new right of way permit from the District for any new work
within its right of way or joint use access roads, prior to the start of any work.
k.
Be responsible for the maintenance and operation of the First Flush Basin and diversion
structure, storm drains that outlet into the Outfall Channel and the realigned Outfall
Channel within ADOT’s right of way.
l.
The State shall participate, as desired by the District, with the District in an annual
inspection of the Project.  Any deficiencies relating to flood control that impact the safe
operation or functioning of the Outfall Channel, and for which the State is responsible,
shall be corrected by the State within sixty (60) calendar days.  If the State has not taken
corrective action within this time, the District reserves the right to perform the
corrective action and will invoice the State for the total costs incurred by the District.
m. Will provide the District with a construction sequencing plan and an emergency plan to
maintain flows in the Outfall Channel during construction.
n.
Provide the District with access to its facilities during the construction of the State
Project.
o.
Maintain ADOT right of way and the SR 303 L features outside of the District’s Outfall
Channel right of way. Repair damage to District access roads, fencing, or gates due to
any State maintenance vehicles and/or equipment accessing the area.
p.
Manage trespass enforcement within ADOT and FCD rights of way within the joint use
areas and coordinate with District Operations and Maintenance for trespass clean up on
District rights of way and maintained areas.
2.
The District will:
a.
Review design plans and specifications and provide comments within the standard
District review time, approximately 30 days of receipt of the submittal, or sooner.
b.
Grant to the State (and its agents and/or contractors), by way of Right-of-Way Use
Permit, the right to enter the District’s right of way, as required, to conduct any and all
preconstruction and construction related activities for the Project and to operate and
maintain State constructed improvements, grant easements to the State for their use of
the District’s access roads to perform necessary inspections and repairs and for
locations of outlet structures into outfall channel.
c.
Maintain all District access roads shown in Exhibit A.  Repair damage to ADOT access
roads, fencing, or gates due to any District maintenance vehicles and/or equipment
accessing the area.
d.
Be responsible for any modifications to the State’s Project that are requested by the
District after plan approval by the District of the State’s Project.

e.
Be responsible for operation and maintenance of the Outfall Channel, except for items
identified in section II.1.k and the area within the State’s right of way, after completion
of the State’s Project.
f.
Be responsible to submit an encroachment permit application for any new construction,
installation, or access within ADOT’s right of way. Permits will be issued when
appropriate insurance documents are provided as required by ADOT Risk Management.
ADOT will work with the District to continue to maintain joint use on any future
changes that are within ADOT’s right of way.
g.
Have the right to participate in Project construction meetings and inspections.
III. MISCELLANEOUS PROVISIONS
1.
Effective Date. This Agreement shall become effective upon signing and dating of all Parties.
2.
Amendments. Any change or modification to this Agreement will only occur with the mutual
written consent of all Parties.
3.
Duration. The terms, conditions and provisions of this Agreement shall remain in full force
and effect until completion of the Project. Any and all obligations of maintenance hereunder
shall remain perpetual and shall survive any termination hereof and the assignment or
assumption of this Agreement or the Project by another competent jurisdiction or entity.
4.
Cancellation. This Agreement may be canceled at any time up to 30 days before the award of
the Project contract, so long as the canceling Party provides at least 30 days’ prior written
notice to the other Party. It is further understood and agreed that in the event the Local
Agency terminates this Agreement, the State shall in no way be obligated to complete or
maintain the Project
5.
Federal Funding Accountability and Transparency Act. The Parties warrant compliance with
the Federal Funding Accountability and Transparency Act of 2006 and associated 2008
Amendments (the “Act”). Additionally, in a timely manner, the District will provide
information that is requested by the State to enable the State to comply with the
requirements of the Act, as may be applicable.
6.
Governing Law. This Agreement shall be governed by and construed in accordance with
Arizona laws. 
7.
Conflicts of Interest. This Agreement may be cancelled in accordance with A.R.S. § 38-511.
8.
Inspection and Audit. The Local Agency shall retain all books, accounts, reports, files and
other records relating to this Agreement which shall be subject at all reasonable times to
inspection and audit by the State for five years after completion of the Project. Such records
shall be produced by the Local Agency, electronically or at the State office as set forth in this
Agreement, at the request of ADOT.

9.
Title VI. The Parties acknowledge and will comply with Title VI of the Civil Rights Act Of
1964. 
10. Non-Discrimination. This Agreement is subject to all applicable provisions of the Americans
with Disabilities Act (Public Law 101-336, 42 U.S.C. 12101-12213) and all applicable federal
regulations under the Act, including 28 CFR Parts 35 and 36. The Parties to this Agreement
shall comply with Executive Order Number 2009-09, as amended by Executive Order 2023-
01, issued by the Governor of the State of Arizona and incorporated in this Agreement by
reference regarding “Non-Discrimination.”
11. Non-Availability of Funds. Every obligation of the State under this Agreement is conditioned
upon the availability of funds appropriated or allocated for the fulfillment of such
obligations. If funds are not allocated and available for the continuance of this Agreement,
this Agreement may be terminated by the State at the end of the period for which the funds
are available. No liability shall accrue to the State in the event this provision is exercised,
and the State shall not be obligated or liable for any future payments as a result of
termination under this paragraph.
12. Arbitration. In the event of any controversy, which may arise out of this Agreement, the
Parties agree to abide by arbitration as is set forth for public works contracts if required by
A.R.S. § 12-1518.
13. E-Verify. The Parties shall comply with the applicable requirements of A.R.S. § 41-4401.
14. Contractor Certifications. The Parties shall certify that all contractors comply with the
applicable requirements of A.R.S. §§ 35-393.01 and 35-394.
15. Other Applicable Laws. The Parties shall comply with all applicable laws, rules, regulations
and ordinances, as may be amended.
16. Notices. All notices or demands upon any Party to this Agreement shall be in writing and
shall be delivered electronically, in person, or sent by mail, addressed as follows:

17. Revisions to Contacts. Any revisions to the names and addresses above may be updated
administratively by any Party and shall be in writing.
18. Legal Counsel Approval. In accordance with A.R.S. § 11-952 (D),  the written determination
of each Party’s legal counsel providing that the Parties are authorized under the laws of this
State to enter into this Agreement and that the Agreement is in proper form is set forth
below.
19. Electronic Signatures. This Agreement may be signed in an electronic format including
DocuSign.
